  1.                  Non-Disclosure of Company Information

  3. * This agreement is designed to establish harmonious relationships
  4. between you and potential employees, consultants, representatives,
  5. vendors or other associates, and to protect your company, your ideas,
  6. your assets and your competitive position from inappropriate use of your
  7. confidential information.
  8.  
  9.                  This document consists of two parts:
  10.  
  11.                    Proprietary Information Agreement
  12.                        Termination Certification
  13.  
  14. * Both parts should be provided to the potential associate.  The first
  15. part should be signed when the association begins, with each party
  16. retaining a complete copy.  When the association completes, the
  17. Termination Certification (still attached to the first two parts),
  18. should be completed.
  19.  
  20. Notice: Do not use this agreement AS-IS.  Read it thoroughly and make
  21. all appropriate changes to fit your requirements.  "(Company)" and
  22. "(State)" must be changed.  We insist that you have this agreement
  23. approved by a qualified attorney at law.  JIAN/Tools for Sales accepts
  24. no liability for the effectiveness of this agreement for your purposes.

  31.                   Agreement Concerning Non-Disclosure
  32.                                   of
  33.                           Company Information
  34.  
  35. I understand that this statement is a Proprietary Information Agreement
  36. (Agreement) with (Company) and its affiliated companies (collectively,
  37. the Company).  I understand further that:
  38.  
  39. (a) The Agreement contains material restrictions on my right to disclose
  40. or use, during or subsequent to my association, information learned or
  41. developed by me during my association with the Company.
  42.  
  43. (b) The Company considers this Agreement to be vitally important to the
  44. protection of its business.  The Company intends to enforce the terms of
  45. the Agreement and to seek appropriate injunctions or restraining orders,
  46. as well as monetary damages, should I violate the Agreement.
  47.  
  48. (c) I have been advised to consult an attorney regarding any questions I
  49. have, and that the employees and agents of the Company are not
  50. authorized to, and will not, give me legal advice concerning the
  51. Agreement.
  52.  
  53. For the specific purposes of (proposals, evaluation, testing,
  54. formulation) I agree as follows:
  55.

  58.  
  59. 1.  As used in this Agreement:
  60.  
  61. (a) Company includes (Company) and all its present and future
  62. subsidiaries and affiliates;
  63.  
  64. (b) Intellectual Property means Inventions, Works of Authorship and
  65. Trademarks which (i) relate directly to the business of Company or to
  66. the actual or demonstratively anticipated research or development of
  67. Company, or (ii) result from any work performed by me for Company, or
  68. (iii) any Company equipment, supply, facility or trade secret
  69. information is used, or (iv) are not developed entirely on my own time;
  70.  
  71. (c) Inventions mean discoveries, improvements, concepts, and designs,
  72. whether or not they are in writing or reduced to practice and whether or
  73. not they are patentable;
  74.  
  75. (d) Works of Authorship mean those works fixed in any tangible medium of
  76. expression from which they can be perceived, reproduced or otherwise
  77. communicated, either directly or with the aid of a machine or device,
  78. whether or not they are subject to copyright; and
  79.  
  80. (e) Confidential Information means information which is not generally
  81. known and which is proprietary to Company or any of its clients,
  82. consultants, licensors, licensed dealers or distributors, including
  83. without limitation, source codes, designs, customer lists, business
  84. plans, consultants, schematic and trade secrets about Company and its
  85. products and information related to Company's research and development,
  86. manufacturing, engineering, purchasing, finance, marketing, distribution
  87. and selling activities.  All information which I have a reasonable basis
  88. to consider confidential or which is treated by Company as confidential
  89. shall be presumed to be Confidential Information, whether originated by
  90. me or by others.  Confidential information includes trade secrets that
  91. may in the future be developed, acquired or made available to the
  92. Company.  Any Confidential Information acquired by me is the property of
  93. the Company.

  95. 2.  (a) Company Information.  I agree at all times during the term of my
  96. association and thereafter to hold in strictest confidence, and not to
  97. use, except for the benefit of the Company and for the above defined
  98. purposes, or to disclose to any person, firm or corporation without
  99. written authorization of the Board of Directors of the Company, any
  100. confidential information, trade secrets, confidential knowledge, data or
  101. other proprietary information relating to products, processes, know-how,
  102. designs, formulas, developmental or experimental work, computer
  103. programs, data bases, other original works of authorship, customer
  104. lists, business plans, financial information or other subject matter
  105. pertaining to any business of the Company or any of its clients,
  106. consultants or licensees.
  107.  
  108. 2.  (b) Third Party Information.  I recognize that the Company has
  109. received, and in the future will receive confidential or proprietary
  110. information from third parties, subject to a duty on the Company's part
  111. to maintain the confidentiality of such information and to use it only
  112. for certain limited purposes.  I agree that I owe the Company and such
  113. third parties, during the term of my association and thereafter, a duty
  114. to hold all such confidential or proprietary information in the
  115. strictest of confidence and not to disclose it to any person, firm or
  116. corporation (except as necessary in connection with my association with
  117. the Company and the above defined purposes) or to use it for the benefit
  118. of anyone other than for the Company or such third party (consistent
  119. with the Company's agreement with such third party) without the express
  120. written authorization of the Board of Directors of the Company.
  121.  
  122. 3.  At the request of Company or on the termination of association, I
  123. will immediately deliver to my immediate contact all papers, software,
  124. tools, apparatus, and any other material furnished to me by Company or
  125. which were prepared or made, in whole or in part, by me at any time, and
  126. all copies or parts of them, together with the attached Termination
  127. Certification, which I agree to sign and deliver.
  128.  
  129. 4.  I will not disclose to Company or induce Company to use the
  130. proprietary information of others.  I do not have any existing
  131. obligation to others which might be inconsistent with any of the
  132. provisions in this Agreement, except for those obligations identified on
  133. a separate page and attached to this Agreement.
  134.  
  135. 5.  My association with Company may be terminated by me or Company at
  136. any time.
  137.  
  138. 6.  My obligations under this Agreement are binding upon my heirs,
  139. assigns and legal representatives.
  140.  
  141. 7.  This Agreement is governed by the laws of (State).  If any provision
  142. of this Agreement is more restrictive than permitted by law in any
  143. jurisdiction in which enforcement is sought, this Agreement will be
  144. limited only to the extent necessary to bring this Agreement within the
  145. law of such jurisdiction and other provisions of the Agreement will
  146. remain in full force.

  167. This is to certify that I do not have in my possession, nor have I
  168. failed to return, any devices, records, data, notebooks, notes, reports,
  169. proposals, lists, correspondence, specifications, drawings, blueprints,
  170. sketches, materials, equipment, other documents or property, or
  171. reproductions of any aforementioned items belonging to (Company), its
  172. subsidiaries, affiliates, successors or assigns (together, the
  173. "Company").
  174.  
  175. I further certify that I have complied with all the terms of the
  176. Company's Agreement Concerning Non-Disclosure of Company Information
  177. signed by me, including the reporting of any inventions and original
  178. works of authorship (as defined therein), conceived or made by me
  179. (solely or jointly with others) covered by that agreement.

  181. I further agree that, in compliance with the Agreement Concerning
  182. Non-Disclosure of Company Information, I will preserve as confidential
  183. all trade secrets, confidential knowledge, data or other proprietary
  184. information relating to products, processes, know-how, designs,
  185. formulas, developmental or experimental work, computer programs, data
  186. bases, other original works of authorship, customer lists, business
  187. plans, financial information or other subject matter pertaining to any
  188. business of the Company or any of its clients, consultants or licensees.
