  16.                      GUARANTEE AGREEMENT

  19. @001, referred to as GUARANTOR, in consideration of the extension
  20. of credit by @002, CREDITOR, to @003, DEBTOR, agrees:

  23. GUARANTOR unconditionally guarantees to creditors and its
  24. successors and assigns, the full and complete payment, as and
  25. when the same becomes due and payable, the following obligations
  26. of the DEBTOR to the CREDITOR:

  32. and in addition, all extensions, renewals and consolidations of
  33. the obligation, together with such interest and late charges as
  34. may accrue upon the same. For purposes of this agreement, the
  35. term "obligation," "agreement" or "debt" includes any renewals,
  36. replacements or modifications of the same;

  39. Guarantor shall not be released from the obligations herein due
  40. to:
  41.  
  42.  
  43. a) the taking of security for the obligation;
  44.  
  45.  
  46. b) the failure or delay in taking legal action against the
  47. DEBTOR or collateral, if any;

  50. c) any other actions permitted under the loan agreement;

  53. d) any negligence or failure to act of the CREDITOR.

  56. The CREDITOR, in its discretion, may bring suit against the
  57. GUARANTOR, or GUARANTOR(s), jointly severally or individually,
  58. before bringing action against the DEBTOR. The CREDITOR in its
  59. discretion may settle, release and compromise the liability of
  60. debtor or any other guarantor(s) of this agreement without
  61. affecting the liability of the DEBTOR.

  65. and legal representatives of the CREDITOR.
