  10.                                Site License Agreement
  11.  
  12.           If you wish  to use this  software on more  than one computer  a
  13.           site license is required.   A site license  is also required  to
  14.           use this software on  a network.  A  site license allows you  to
  15.           copy and use this software within  your organization on as  many
  16.           computers as contracted for.   An unlimited site license  allows
  17.           unlimited copying of the software for  internal use only.   This
  18.           is copyrighted software and any distribution or reselling of the
  19.           software to third parties is prohibited.

  21.           SoftEngineering grants __________________________ a site license
  22.           for the use of the following software program(s):

  24.           This is a perpetual license for  the use of the software  within
  25.           your organization, and is not  transferable.  This site  license
  26.           allows internal use and  copying of the  software for use  by/on
  27.           _______ users/computers.

  29.           This license  is  distinct from  shareware  use.   It  does  not
  30.           authorize the continued use  of shareware.   If, in addition  to
  31.           the software used under this license, shareware is in use,  that
  32.           shareware must be registered with SoftEngineering
  33.  
  34.           SoftEngineering will provide technical support for one year from
  35.           the date of this agreement to one person, designated as the  key
  36.           contact within your company or organization.

  38.           SoftEngineering warrants that it is the sole owner of the  soft-
  39.           ware and has full power and authority to grant the site  license
  40.           without the consent of any other party.

  42.           SOFTENGINEERING INC. DISCLAIMS ALL  WARRANTIES RELATING TO  THIS
  43.           SOFTWARE, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT  LIMITED
  44.           TO ANY IMPLIED WARRANTIES OF  MERCHANTABILITY AND FITNESS FOR  A
  45.           PARTICULAR PURPOSE, AND  ALL SUCH WARRANTIES  ARE EXPRESSLY  AND
  46.           SPECIFICALLY DISCLAIMED.    NEITHER SOFTENGINEERING  NOR  ANYONE
  47.           ELSE WHO  HAS  BEEN INVOLVED  IN  THE CREATION,  PRODUCTION,  OR
  48.           DELIVERY OF  THIS  SOFTWARE  SHALL BE  LIABLE  FOR  ANY  DIRECT,
  49.           INDIRECT, CONSEQUENTIAL, OR  INCIDENTAL DAMAGES  ARISING OUT  OF
  50.           THE  USE   OR   INABILITY  TO   USE   SUCH  SOFTWARE   EVEN   IF
  51.           SOFTENGINEERING HAS  BEEN ADVISED  OF  THE POSSIBILITY  OF  SUCH
  52.           DAMAGES  OR  CLAIMS.    IN  NO  EVENT  SHALL   SOFTENGINEERING'S
  53.           LIABILITY FOR ANY  DAMAGES EVER EXCEED  THE PRICE  PAID FOR  THE
  54.           LICENSE TO USE THE  SOFTWARE, REGARDLESS OF  THE FORM OF  CLAIM.
  55.           THE PERSON USING THE SOFTWARE BEARS  ALL RISK AS TO THE  QUALITY
  56.           AND PERFORMANCE OF THE SOFTWARE.  (Some states do not allow  the
  57.           exclusion of the limit of  liability for consequential or  inci-
  58.           dental damages, so the above limitation may not apply to you.)

  68.           This agreement shall  be governed by  the laws of  the State  of
  69.           California and shall inure to the benefit of SoftEngineering and
  70.           any successors, administrators, heirs  and assigns.  Any  action
  71.           or proceeding brought by either party against the other  arising
  72.           out of or related to this  agreement shall be brought only in  a
  73.           STATE or FEDERAL COURT of competent jurisdiction located in  Or-
  74.           ange County, California.  The parties hereby consent to in  per-
  75.           sonam jurisdiction of said courts.
