  8.                                SITE LICENSE INFORMATION
  9.  
  10.           Site licensing enables companies, departments, government
  11.           agencies, etc., to equip their personnel with software at greatly
  12.           reduced cost.  The company purchasing a site license (the
  13.           licensee) provides a single point of contact for shipping,
  14.           technical support, upgrades, etc., and we (the licensor) provide
  15.           a single master of the diskettes and manual.
  16.  
  17.           A site license for dtSearch currently costs $150.00 plus $35 per
  18.           user up to 50 users.  Additional users beyond 50 cost $25 per
  19.           user.  After March 28, 1992 please contact DT Software, Inc. for
  20.           new prices.  Also, please contact DT Software, Inc. for prices
  21.           for more than 200 users.

  23.           To obtain a site license, simply print this file, fill it out,
  24.           sign it under LICENSEE, enclose a check or money order for the
  25.           correct amount, and mail it to:

  31.           Upon receipt of the completed, signed form, and a check or money
  32.           order for the correct amount, we will send you the required
  33.           masters and a copy of the license agreement with an authorized
  34.           signature under LICENSOR.

  36.                                        LICENSE
  37.  
  38.           DT Software, Inc. (Licensor) grants to _________________________
  39.  
  40.           ______________________________________________________(Licensee),
  41.           and Licensee accepts, a license to use the licensed program in
  42.           accordance with the terms and conditions contained in this
  43.           agreement.

  45.  
  46.           1.0 DEFINITIONS
  47.  
  48.                1.1 "Licensed program" means the object code version of
  49.           dtSearch and related program user documentation.  No rights to
  50.           the source code versions of the licensed program are granted by
  51.           this license.
  52.  
  53.                1.2 "Object code" means any instruction or set of
  54.           instructions in machine executable form.

  64.                1.3 "User documentation" means any standard manuals or other
  65.           related materials used for user instruction or reference in use
  66.           of the licensed program.

  68.                1.4 "Use" means copying of any portion of the licensed
  69.           program from a storage unit or media into the designated
  70.           equipment and execution of the licensed program on the equipment.
  71.  
  72.           2.0 LICENSE GRANT
  73.  
  74.                2.1 Licensee is granted a nontransferable, nonexclusive
  75.           right to use the number of copies of the licensed program
  76.           indicated below for Licensee's internal use.  Licensor will
  77.           deliver one copy of the licensed program to Licensee.  Licensee
  78.           may make additional copies of the licensed program, up to the
  79.           number of copies licensed herein, provided that each copy of the
  80.           program contains Licensor's copyright notice and any other
  81.           proprietary legends, including legends under the Federal
  82.           Acquisition Regulations (FAR), if any, contained on the delivered
  83.           copy.

  85.                2.2 Each copy of the licensed program provided under this
  86.           license may be used on only one computer at any one time.  If
  87.           used on a network system, each terminal user is automatically
  88.           considered to be using a distinct copy of the licensed program
  89.           whether or not he is actually using it.
  90.  
  91.                2.3 Licensee shall not use, copy, rent, lease, sell, modify,
  92.           decompile, disassemble, otherwise reverse engineer, or transfer
  93.           the licensed program except as provided in this agreement.  Any
  94.           such unauthorized use shall result in immediate and automatic
  95.           termination of this license.

  97.           3.0 TERMS
  98.  
  99.                3.1 This license is effective until terminated.  Licensee
  100.           may terminate it at any time by destroying the licensed program
  101.           and all copies of it and notifying Licensor in writing.  This
  102.           license will also terminate as otherwise provided in this
  103.           agreement.  On termination, Licensee shall return all materials
  104.           not destroyed to Licensor together with a written verification
  105.           that the remaining materials have been destroyed.
  106.  
  107.           4.0 LIMITED WARRANTY
  108.  
  109.                4.1 Licensor warrants that for a period of ninety days from
  110.           the date of delivery of the licensed program, the program, if
  111.           unmodified by the Licensee, will perform in substantial
  112.           conformity with the user documentation.  Any program problems
  113.           reported to Licensor during the warranty period and determined by
  114.

  123.           Licensor to be actual coding errors will be corrected by Licensor
  124.           within a reasonable time.

  126.                4.2 The above warranty does not apply to the extent that any
  127.           failure of the licensed program to perform as warranted is caused
  128.           by the licensed program being (1) not used in accordance with the
  129.           user documentation, or (2) modified other than by Licensor.
  130.  
  131.                4.3 LICENSOR MAKES AND LICENSEE RECEIVES NO OTHER WARRANTY
  132.           OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION,
  133.           ANY WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR
  134.           PURPOSE.
  135.  
  136.           5.0 LIMITATION OF LIABILITY
  137.  
  138.                5.1 The total liability of Licensor or its suppliers for any
  139.           claim or damage arising out of the use of the licensed program or
  140.           otherwise related to this license shall be limited to direct
  141.           damages which shall not exceed the license fee(s) which have been
  142.           paid by Licensee to Licensor for the specific client project
  143.           which is the subject of such claim or damage.
  144.  
  145.                5.2 IN NO EVENT SHALL LICENSOR BE LIABLE TO LICENSEE FOR
  146.           ADDITIONAL DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR
  147.           OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE
  148.           OF OR INABILITY TO USE THE LICENSED PROGRAM, EVEN IF LICENSOR HAS
  149.           BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  150.  
  151.           6.0 TERMINATION.  This license may be terminated by Licensor if:
  152.  
  153.                6.1 Licensee fails to comply with any material term or
  154.           condition of this agreement and Licensee fails to cure such
  155.           failure within fifteen days after notice of such failure by
  156.           Licensor; or
  157.  
  158.                6.2 Licensee's normal business operations are disrupted or
  159.           discontinued for more than thirty days by reason of insolvency,
  160.           bankruptcy, receivership, or business termination.
  161.  
  162.           7.0 GENERAL TERMS
  163.  
  164.                7.1 Neither this agreement nor any rights or obligations
  165.           hereunder shall be assigned or otherwise transferred by Licensee
  166.           without prior written consent of Licensor, which consent will not
  167.           be unreasonably withheld.  Licensor may assign this agreement
  168.           entirely in its discretion upon the express written assumption of
  169.           the obligations hereunder by the assignee.

  171.                7.2 This agreement shall be interpreted and enforced in
  172.           accordance with and shall be governed by the laws of the State of
  173.

  182.           Virginia applicable to contracts between residents.  No suit for
  183.           enforcement of or for a declaration of rights between the parties
  184.           to this agreement shall be commenced in any court other than the
  185.           Municipal or County Court in and for Arlington County, State of
  186.           Virginia, or in the United States District Court for the Northern
  187.           District of the State of Virginia.
  188.  
  189.                7.3 Any controversy or claim arising out of or relating to
  190.           this agreement or the breach thereof shall be settled by
  191.           arbitration in accordance with the commercial rules of the
  192.           American Arbitration Association, using an arbitrator with
  193.           knowledge of computers and software, and judgment upon the award
  194.           rendered by the arbitrator(s) may be entered in any court having
  195.           jurisdiction thereof.  No arbitration or other action arising out
  196.           of any claimed breach of this agreement or transactions under
  197.           this agreement may be demanded by either party more than one year
  198.           after the cause of action accrued.  The prevailing party in any
  199.           such action related to or arising under this agreement shall be
  200.           entitled to reasonable attorneys' fees.  This provision shall not
  201.           apply to any action or proceeding for injunctive relief.

  203.                7.4 This agreement and its exhibits contain the entire
  204.           agreement between the parties hereto, superseding all previous
  205.           agreements, representations, understandings and negotiations.
  206.           This agreement may not be amended other than by a written
  207.           agreement signed by an authorized representative of the parties.
  208.  
  209.                7.5 If any terms or provisions of this agreement shall be
  210.           found to be illegal or unenforceable then, notwithstanding, this
  211.           agreement shall remain in full force and effect and such term or
  212.           provision shall be deemed stricken.
  213.  
  214.                7.6 No amendment of this agreement shall be effective unless
  215.           it is in writing and signed by duly authorized representatives or
  216.           both parties.  No term or provision hereof shall be deemed waived
  217.           and no breach excused unless such waiver or consent shall be in
  218.           writing and signed by the party claimed to have waived or
  219.           consented.  Any consent by any party to or waiver of a breach by
  220.           the other, whether express or implied, shall not constitute a
  221.           consent to, waiver of or excuse for any other, different or
  222.           subsequent breach.

  224.                7.7 This agreement shall be binding on and shall inure to
  225.           the benefit of the heirs, executors, administrators, successors
  226.           and assigns of the parties hereto, but nothing in this paragraph
  227.           shall be construed as a consent to any assignment of this
  228.           agreement by either party except as provided hereinabove.
  229.  
  230.                7.8 Timely payment is of the essence of this agreement.
