- Exercise of over-allotment option
- in connection with public offering of shares -

- St. Genis Pouilly, October 23, 1995 -- SGS-THOMSON
- Microelectronics N.V. ("SGS-THOMSON") announced today that Morgan
- Stanley & Co. International, on behalf of the underwriters for
- its recent public offering of Common Shares, has exercised the
- over-allotment option for an additional 2,700,000 shares, half of
- which will be new shares issued by the Company and half of which
- will be sold by SGS-THOMSON Microelectronics Holding II B.V., its
- largest shareholder.

- The Company shareholders at an extraordinary general meeting held
- on Friday October 20, 1995, among other decisions, authorized the
- Supervisory Board to issue Common Shares and waive the
- shareholders' preemptive rights.

- The settlement and delivery of the Common Shares offered took
- place today.

- As a result of the exercise of the over-allotment option, the
- total gross proceeds to the Company net of underwriting discounts
- and commissions will be increased to approximately US$377 million
- and 138,133,780 Common Shares will be outstanding, of which 69.4%
- will be owned by SGS-THOMSON Microelectronics Holding II B.V.

- The public offering of 20.7 million Common Shares (including
- shares to be sold upon exercise of the over-allotment option) was
- priced on October 17, 1995. In the public offering, 8,960,000
- shares were issued by the Company and 11,740,000 shares were sold
- by SGS-THOMSON Microelectronics Holding II, B.V. and another
- shareholder. The offering price was US$43.50 per share. Morgan
- Stanley & Co. Incorporated acted as Global Coordinator and Banque
- Indosuez, Istituto Mobiliare Italiano S.p.A. and Lehman Brothers
- Inc. as Co-Global Coordinators of the offering, which, totalling
- more than US$900 million, is one of the largest ever completed in
- the technology sector worldwide.

- The Company's Common Shares are currently traded on the New York
- Stock Exchange and on the Paris Bourse and quoted on SEAQ
- International.
