- St. Genis Pouilly, October 18, 1995 - SGS-THOMSON
- Microelectronics N.V. ("SGS-THOMSON") announced today the global
- public offering of 18,000,000 Common Shares at a price of US $
- 43.50 per Common Share.

- Of the Common Shares offered, 7,610,000 Common Shares were
- offered by the Company, 6,815,000 Common Shares by SGS-THOMSON
- Microelectronics Holding II B.V. ("SGS-THOMSON Holding") and
- 3,575,000 Common Shares by Thorn EMI plc. In addition, the
- underwriters have an over-allotment option to offer a further
- 2,700,000 Common Shares, made up of 1,350,000 Common Shares to be
- sold by the Company and 1,350,000 to be sold by SGS-THOMSON
- Holding. The present offering constitutes 13.2% of the
- 136,783,780 Common Shares that will be outstanding after this
- offering (15.0% if the over-allotment option is exercised in
- full). The settlement and closing of the offering is expected to
- take place on Monday, October 23, 1995.

- The Company's Common Shares are currently traded on the New
- York Stock Exchange and on the Paris Bourse and quoted on SEAQ
- International.

- revenues, SGS-THOMSON is the world's leading supplier of analog
- ICs, mixed-signal ICs, power ICs and motion picture experts group
- (MPEG) decoder ICs. SGS-THOMSON is international in scope,
- operating front-end and/or back-end manufacturing facilities in
- Europe, the United States and the Mediterranean and Asia Pacific
- regions, and conducting research and development primarily in
- France and Italy and design, marketing and sales activities in
- each of the electronic industry's major economic regions: Europe,
- the United States, the Asia Pacific region and Japan.

- In December 1994, SGS-THOMSON completed an initial public
- offering of 21 million Common Shares. The Company's majority
- shareholder is composed of a consortium of French shareholders
- (CEA Industrie, France Télécom and Thomson-CSF) and a consortium
- of Italian shareholders (I.R.I. and Comitato SIR). Approximately
- 17% of the Company's Common Shares are already owned by the
- public. After giving effect to the offering, the majority
- shareholder will own approximately 71.1% of the Company's
- outstanding Common Shares (approximately 69.4% if the
- over-allotment option is exercised in full). Thorn EMI plc is
- selling all of its shares of the Company's Common Stock in the
- offering.
