  15. U.S. ROBOTICS AND MEGAHERTZ ANNOUNCE MERGER AGREEMENT

  17. SKOKIE, Ill., -- October 19, 1994 -- U.S. Robotics, Inc. (NASDAQ:USRX),
  18. and Megahertz Holding Corporation (NASDAQ:MEGZ) today announced that
  19. they have signed a definitive merger agreement.  U.S. Robotics is a
  20. worldwide leader in desktop and data center communications systems
  21. and products;  Megahertz is a leading provider of mobile communications
  22. solutions.  The transaction has been approved by the boards of both U.S.
  23. Robotics and Megahertz, and is subject to shareholder approval and
  24. regulatory clearance.

  26. The transaction is structured as a stock-for-stock, tax-free exchange
  27. that will qualify for pooling-of-interests accounting treatment.  Under
  28. the terms of the merger agreement, each share of Megahertz stock will be
  29. exchanged for 0.35 shares of U.S. Robotics common stock, subject to
  30. certain adjustments.  This exchange ratio will result in the issuance of
  31. approximately 6.3 million U.S. Robotics shares.

  34. company that will offer complete solutions for both corporate and
  35. individual communications needs in a rapidly developing and
  36. increasingly competitive market environment," said Casey Cowell, U.S.
  37. Robotics chairman, president and CEO.  "Following the transaction, we
  38. will be able to provide a complete suite of data communications products
  39. and services for mobile and remote office users, desktop applications,
  40. corporate data centers and large network providers.  The combination of
  41. our product lines, complementary technologies and people will enable us
  42. to advance our goal of offering the most comprehensive and competitive
  43. communications products in the world."

  45. Megahertz Chairman, President and CEO Spencer Kirk commented, "We are
  46. excited about this union, because we believe that combining U.S.
  47. Robotics' well-developed sales channels and core technology with our
  48. expertise in mobile communications offers our employees and shareholders
  49. a tremendous opportunity.  This will accelerate our ability to provide
  50. highly competitive mobile data communications solutions for this fast
  51. growing segment."  Mr. Kirk and other senior officers representing
  52. approximately 37% of the outstanding common stock of Megahertz, have
  53. agreed to vote the shares they hold in favor of the transaction.

  55. Following completion of the merger, Megahertz will be operated as a
  56. stand alone subsidiary of U.S. Robotics, with Mr. Kirk continuing to
  57. head the business.

  61. and manufacturing operations are based in Skokie, Illinois.

  63. U.S. Robotics, s.a. in Lille, France and P.N.B.  s.a., based in
  64. Suresnes, France.  The company markets its products to business,
