  12. Acquisition of 82% interest in SC Hightech Center subsidiary of Sumitomo
  13. Corporation will establish landed Japanese presence MOUNTAIN VIEW,
  14. Calif.

  16. June 22, 1992  Synopsys Inc. today announced the execution of a
  17. definitive agreement to acquire from Sumitomo Corporation and certain
  18. individual shareholders an 82 percent interest in SC Hightech Center
  19. for approximately $3 million in cash.  Subject to the satisfaction of
  20. certain closing conditions, the acquisition is currently anticipated
  21. to close on or about July 6, 1992.  The equity investment will enable
  22. Synopsys to establish a landed presence in Japan and a direct commitment
  23. to the Japanese electronics market.

  25. The acquisition represents part of a continuing relationship between
  26. Sumitomo Corporation and Synopsys and a commitment to develop the Japanese
  27. market for high-level integrated circuit (IC) and electronic system
  28. design tools.  SC Hightech Center has been the exclusive distribution
  29. and support center in Japan for Synopsys' high-level design automation
  30. software since 1988.

  32. SC Hightech Center currently employs approximately 55 people in two
  33. locations (Tokyo and Osaka), including sales, technical support and
  34. design engineering personnel.  In December 1990, Sumitomo Corporation
  35. invested $5 million in Synopsys.  "Establishing a landed Japanese
  36. presence is an important milestone for Synopsys in the development of
  37. this strategic market," said Harvey Jones, Synopsys president and CEO.
  38. "In acquiring SC Hightech, we are investing in an established company
  39. with a strong engineering team and solid long-term relationships with
  40. the major electronics companies in Japan."
