  21.     (or share charges) for file downloads, or for online access time (other
  22.     than by subscription) may make the Game available for downloading.

  24. 3. ALL OTHER DISTRIBUTION REQUIRES:

  26.     [1] WRITTEN PERMISSION (WHICH SILVER LIGHTNING SOFTWARE MAY WITHHOLD AT 
  27.     ITS DISCRETION) AND

  29.     [2] PRE-PAYMENT OF A LICENSE FEE.
  30.     This includes distribution by other online services such as America 
  31.     Online, CompuServe, Prodigy, Microsoft Network, Ziff-Net, and any other 
  32.     similar such online services (except for authorized Silver Lightning 
  33.     Software online support sections), and by CD-ROM, shareware catalog, 
  34.     magazine coverdisk, or retail rack.  
  35.     Interested persons are invited to contact Silver Lightning Software.

  37. DISTRIBUTION OTHERWISE IS PROHIBITED BY LAW AND INFRINGES RIGHTS OF SILVER 
  38. LIGHTNING SOFTWARE.

  40.     ALL Claims against violators WILL be pursued.

  42. 4. Sole purpose of any entity using this software is to test it's operation
  43.     on behalf of Silver Lightning Software, and report back via e-mail, fax
  44.     or postal service the details of any "bugs" that might be found.

  48. [1]  DEFINITIONS:  The "Trademarks" consist of the "SILVER LIGHTNING SOFTWARE" 
  49.      words and logo,"RALLY CHALLENGE" words and logo, the name of the Game, 
  50.      game entities, and all other marks used by Silver Lightning Software in 
  51.      connection with the Game.  Other trademarks used for description or 
  52.      comparison purposes are the property of their respective owners.

  54. [2]  OWNERSHIP:  Except to the extent expressly licensed, Silver Lightning 
  55.      Software owns and reserves the exclusive right to distribute the Game, 
  56.      and the right to use the Trademarks in connection with it.  Its content, 
  57.      layout and format are the property of Silver Lightning Software to the 
  58.      extent permitted by law.

  60. [3]  GRANT:  Silver Lightning Software grants a non-exclusive, 
  61.      non-transferable, royalty-free license to distribute the Game only as 
  62.      follows:

  64.      [A] INDIVIDUALS are encouraged to share and give copies of the Game to
  65.          friends, family, co-workers, and members of any not-for-profit
  66.          organization, but only without charge.
  67.  
  68.      [B] ONLINE SERVICES, including BBSs, WWW sites, and FTP sites, which do
  69.          NOT charge (or share charges) for file downloads, or for online access
  70.          time (other than by subscription) may make the Game available for
  71.          downloading.

  73.      [C] These grants are subject to the conditions that no copyright
  74.          information or trademark will be added or removed, and all of the
  75.          Game's files as released by Silver Lightning Software will be 
  76.          included without modification, as listed below.

  168.      [D] *ALL* other distribution (including by lease, online service that
  169.          charges for online access time or multiplayer use, and by CD-ROM,
  170.          catalog, or retail rack) REQUIRES WRITTEN PERMISSION (which Silver 
  171.          Lightning Software may withhold in its discretion) AND PRE-PAYMENT 
  172.          OF A LICENSE FEE. Interested persons are invited to contact

  176. [4]  LIMITED WARRANTY AND LIMITATION OF REMEDIES: If Silver Lightning Software 
  177.      provides a physically defective copy of the Game, Silver Lightning 
  178.      Software will replace it upon prompt submission of the defective one.  
  179.      THE GAME IS OTHERWISE PROVIDED "AS-IS", AND NO WARRANTIES OF ANY KIND 
  180.      (INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A 
  181.      PARTICULAR PURPOSE), EXPRESS OR IMPLIED, ARE MADE AS TO IT OR ANY 
  182.      MEDIUM IT MAY BE ON.  OUR ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY 
  183.      IS SUCH REPLACEMENT, AND UNDER NO CIRCUMSTANCES WILL WE PROVIDE ANY 
  184.      OTHER REMEDY FOR DIRECT, INDIRECT, SPECIAL, CONSEQUENTIAL, PUNITIVE, 
  185.      INCIDENTAL OR OTHER DAMAGES ARISING FROM IT, INCLUDING SUCH FROM 
  186.      NEGLIGENCE, STRICT LIABILITY, OR BREACH OF WARRANTY OR CONTRACT,

  189. [5]  MISCELLANY

  191.      [A] Since we (Silver Lightning Software) would be irreparably damaged if 
  192.          Section [2], [3], ANY OF THE ABOVE were not specifically enforced, 
  193.          we will be entitled without bond, other security or proof of 
  194.          damages, to appropriate equitable remedies with respect to breaches 
  195.          of such sections, in addition to such other remedies as we may have.
  196.  
  197.      [B] You will indemnify and hold us, our partners, affiliates, 
  198.          contractors, employees and agents harmless from damage, loss and 
  199.          expense arising directly or indirectly from your acts and omissions 
  200.          in copying, distributing.
  201.  
  202.      [C] With respect to every matter arising under this, you consent to the
  203.          exclusive jurisdiction and venue of the state and federal courts
  204.          sitting in WESTERN AUSTRALIA, AUSTRALIA and to service by certified 
  205.          mail, return receipt requested, or as otherwise permitted by law.

  207.      [D] Except as explicitly permitted herein, you will not modify the Game.
  208.          Except to the extent, if any, applicable law may require otherwise,
  209.          you will not decompile, disassemble, or reverse engineer the Game, or
  210.          use or disclose any confidential information that it contains.
