THIS YAMAHA S-YG20 TRIAL VERSION LICENSE AGREEMENT ("AGREEMENT") IS A LEGAL AGREEMENT BETWEEN YOU (EITHER AN INDIVIDUAL OR A SINGLE ENTITY) AND YAMAHA CORPORATION ("YAMAHA") FOR S-YG20 TRIAL VERSION PROGRAM, ITS DATA FILE, UPDATE PROGRAM OF S-YG20 (INCLUDE ITS EXPIRATION DATE DEFEATING SOFTWARE) WHICH WILL BE LICENSED UNDER ANY TERMS AND CONDITIONS BY YAMAHA AND ITS DATA FILE WHICH MAY INCLUDE ASSOCIATED SOFTWARE COMPONENTS, MEDIA, PRINTED MATERIALS, AND "ONLINE" OR ELECTRONIC DOCUMENTATION ("SOFTWARE PRODUCT"), IN BINARY EXECUTABLE FORM FOR EVALUATION AND TRIAL USE PURPOSES ONLY.
THIS SOFTWARE CONTAINS CODE THAT DISABLES MOST OF ITS FEATURES AFTER 90 DAYS FROM INSTALLATION. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE PRODUCT, YOU AER DEEMED TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, DELETE ALL OF THE SOFTWARE PRODUCT.
THIS SOFTWARE PRODUCT IS PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL COPYRIGHT TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES.
1. GRANT OF LICENSE.
The SOFTWARE PRODUCT is licensed as follows:
# Installation and Use. YAMAHA grants you the right to install and use copies of the SOFTWARE PRODUCT on your computers running validly licensed copies of the operating system for which the SOFTWARE PRODUCT was designed [e.g., Windows(r) 95; Windows(r) 98; Windows NT(r), Windows 3.x etc.].
# Backup Copies. You may also make copies of the SOFTWARE PRODUCT as may be necessary for backup and archival purposes.
2. PROHIBITIONS AND RESTRICTIONS
# Maintenance of Copyright Notices. You must not remove or alter any copyright notices on all copies of the SOFTWARE PRODUCT.
# Distribution. You may not distribute copies of the SOFTWARE PRODUCT to third parties.
# Rental. You may not rent, lease, or lend the SOFTWARE PRODUCT.
# Prohibition on Reverse Engineering, Decompilation, and Disassembly. You may not reverse-compile, disassemble, reverse-engineer, or use any other method to convert the SOFTWARE PRODUCT into a human-readable form, nor may you allow another person to do so. The SOFTWARE PRODUCT may not be duplicated, corrected, modified, or disposed of in any other way in part or in whole. The creation of derivative works based on the content of the SOFTWARE PRODUCT is also prohibited.
3. TERMINATION
Without prejudice to any other rights, YAMAHA may terminate this AGREEMENT if you fail to comply with the terms and conditions of this AGREEMENT. In such event, you must destroy all copies of the SOFTWARE PRODUCT.
4. COPYRIGHT
All title, including but not limited to copyrights, in and to the SOFTWARE PRODUCT and any copies thereof are owned by YAMAHA or its suppliers. All title and intellectual property rights in and to the content which may be accessed through use of the SOFTWARE PRODUCT is the property of the respective content owner and may be protected by applicable copyright or other intellectual property laws and treaties. This AGREEMENT grants you no rights to use such content. All rights not expressly granted are reserved by YAMAHA.
5. NO WARRANTIES AND LIMITATION OF LIABILITY
The SOFTWARE PRODUCT and any related documentation were developed at, and are copyrighted by, YAMAHA. The SOFTWARE PRODUCT is offered "AS IS" and YAMAHA makes no warranty as to its use or performance. THE ENTIRE RISK ARISING OUT OF USE OR PERFORMANCE OF THE SOFTWARE PRODUCT REMAINS WITH YOU.
YAMAHA AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. YAMAHA AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, MERCHANTABILITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL YAMAHA OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF AN YAMAHA REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.
6. GENERAL
If any provision of this AGREEMENT is held unenforceable, that provision shall be enforced to the maximum extent permissible so as to give effect the intent of this AGREEMENT, and the remainder of this AGREEMENT shall continue in full force and effect. This AGREEMENT shall be governed by the laws of the State of California, U.S.A without reference to conflicts of law principles.
