  64. The BUYER may, on notice to SELLER, assign this repurchase right
  65. to any party holding a security interest in the goods, and if
  66. such option is exercised SELLER agrees not assert as against any 
  67. such bank, finance company or other secured party, any right of 
  68. set-off, recoupment or counterclaim which may now exist or 
  69. hereafter arise under or by virtue of any transaction between 
  70. SELLER and BUYER.

  74. contract unless and until it shall have been furnished assurances 
  75. which are in its opinion adequate to insure that the goods will 
  76. be delivered to SELLER free and clear of any and all liens,

  78. parties to the goods.
