  51.                ESCROW AGREEMENT AND INSTRUCTIONS

  54. @001, referred to herein as "PRINCIPALS" herewith request that
  55. @002, referred to herein as "ESCROW AGENT" establish an escrow
  56. of the following described items, and dispose of them as is
  57. provided herein.

  60. PRINCIPALS herewith deliver the following items to be held by
  61. ESCROW AGENT:

  67. Any cash funds or cash proceeds shall be deposited by the ESCROW
  68. AGENT in an interest bearing account, in institutions which are
  69. federally insured for deposits in the amount of the ESCROW, or in
  70. direct obligations of the United States of America, including
  71. treasury bills or notes with maturity dates coinciding with any
  72. distributions to be made hereunder. In the event that non-cash
  73. items are deposited, the ESCROW AGENT shall maintain such items
  74. in the condition in which they were received.

  77. ESCROW agent shall release the funds and items upon the receipt
  78. of instructions from @004, reciting the following:

  97. be absolutely discharged.

  100. Upon receipt of such instructions and complying with the same,
  101. ESCROW agent shall be discharged as to the amounts so paid.
  102. ESCROW agent shall be absolutely discharged upon such payment and
  103. may rely solely and totally upon such certifications. ESCROW
  104. agent shall not be required to make any independent verification
  105. of the correctness of any instructions or the occurrence of any
  106. required conditions precedent and shall rely solely on
  107. certifications received as provided herein.

  110. In the event of the receipt of conflicting instructions prior to
  111. discharge of the ESCROW agent, ESCROW AGENT shall commence an
  112. arbitration before a single arbitrator acceptable to ESCROW AGENT
  113. under the rules of the American Arbitration Association, whose
  114. decision shall be final. Upon receipt of a final decision from
  115. the arbitrator, the ESCROW AGENT shall comply therewith and upon
  116. such compliance shall be discharged from all further liability.
  117. The decision of the arbitrator shall be final, and may be reduced
  118. to judgment by any party hereto or the escrow agent.

  121. PRINCIPALS shall indemnify ESCROW AGENT for all actions taken in
  122. compliance with this agreement.

  189. delivery service shall be deemed received the next business day.
