  13. ADDENDUM TO LIMITED PARTNERSHIP AGREEMENT OF @826

  16. The undersigned consisting of all of the general and limited
  17. partners of @826, a limited partnership agree:
  18.

  20. That on @300 a declaration of limited partnership was executed
  21. by:

  27. The initial capital contributions set forth in the agreement
  28. herein shall be held by @827, as ESCROW AGENT, in an interest
  29. bearing trust account. All limited or general partners shall pay
  30. over their agreed capital contributions to the ESCROW AGENT, who
  31. shall provide a receipt for all funds received to the payee
  32. thereof.

  35. As each capital contribution is received, the @826 limited
  36. partnership shall deliver to ESCROW AGENT Limited Partnership
  37. certificates representing the interests paid for. These
  38. certificates shall be retained by ESCROW AGENT, in trust, pending
  39. reaching the "Break Escrow amount (defined below)."

  42. ESCROW AGENT shall hold all funds strictly in trust, and shall
  43. only disburse the same to @826 upon the receipt of a minimum
  44. amount of $ @828 (!828 dollars) (referred to as the "break
  45. escrow" amount) have been collected within @829 days. Should the
  46. break escrow amount not be reached by the deadline specified, the
  47. ESCROW AGENT shall refund the sums collected to those depositing
  48. them, together with their proportional interest earned. Further,
  49. the limited partnership certificates shall be returned to the
  50. limited partnership.

  53. If the break escrow amount is reached, the ESCROW AGENT shall
  54. disburse the funds, including any interest earned, to the LIMITED
  55. PARTNERSHIP and shall release the certificates of limited
  56. partnership interest to those having made capital contributions.

  59. Once deposited sums shall not be refundable prior to the deadline
  60. for ascertaining whether escrow has been broken, and, return of
  61. capital contributions shall not be required if escrow is broken.

  64. The ESCROW AGENT shall be indemnified by both parties from any
  65. claims provided that the ESCROW AGENT shall act in accordance
  66. with the escrow instructions set forth herein.

  69. These escrow instructions may only be modified by a writing
  70. executed by all limited and general partners named in the
  71. declaration of limited partnership and any other depositors to
  72. the escrow fund.
