  2.                    NOVELL TERMS AND CONDITIONS

  4. The software files ("SOFTWARE") enclosed in this self extracting file ("FILE") are protected by
  5. the copyright laws  of the United States and international copyright treaties  You may, without
  6. charge, reproduce and distribute, within your organization only, copies of this FILE, and use
  7. copies of the SOFTWARE solely for their intended purpose of supporting legally obtained,
  8. commercially available Novell operating system software, provided: 1) you do not develop or
  9. assist in the development of software that duplicates the functionality of the SOFTWARE in any
  10. way or competes with the SOFTWARE; 2) you do not receive any direct payment, commercial
  11. benefit, or other consideration for the reproduction, distribution or use of the SOFTWARE or
  12. FILE, or distribute the FILE as part of or in combination with any other software or hardware
  13. product without the prior written consent of Novell, Inc.; and, 3) you do not change or omit any
  14. proprietary rights notices appearing on or in the SOFTWARE or FILE.  If you are a reseller of
  15. Novell products, you may, subject to the foregoing, distribute the FILE outside your organization
  16. solely for maintenance and upgrade of SOFTWARE.

  18. You will take all reasonable steps to protect the SOFTWARE and the FILE from unauthorized
  19. copying or use.  The source code of the SOFTWARE represents and embodies trade secrets of
  20. Novell and/or its licensors.  The source code and embodied trade secrets are not licensed to you
  21. and any modification, addition, or deletion is strictly prohibited.  You shall not reverse engineer,
  22. decompile, or disassemble the SOFTWARE.   If the SOFTWARE is used within a country of the
  23. European Community, nothing  in this Agreement shall be construed as restricting any rights
  24. available  under the EC Council Directive 14 May 1991 on the legal protection of  computer
  25. programs.

  27. Nothing contained herein shall be construed as conferring by implication, estoppel or otherwise
  28. any license or right under any patent or trademark of Novell or any third party.  Except as
  29. expressly provided above, nothing contained herein shall be construed as conferring any license
  30. of right under any Novell copyright.

  32. The rights and obligations hereunder will not be governed by  the United Nations Convention on
  33. Contracts for the International Sale of Goods, the  application of which is expressly excluded.
  34. Rather, the parties expressly agree that  such rights and obligations will instead be governed by
  35. the laws of the State of  Utah excluding the application of its conflicts of law rules.

  37. EXCEPT AS RESTRICTED BY LAW, THE SOFTWARE IS PROVIDED "AS IS" WITHOUT
  38. WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT
  39. LIMITED TO WARRANTIES OF MERCHANTABILITY, TITLE OF FITNESS FOR A
  40. PARTICULAR PURPOSE.  Some jurisdictions do not allow the exclusion of implied warranties,
  41. so the above exclusion may not apply to you.

  43. The FILE is subject to the export rules and regulations of the United States government.  The
  44. FILE may not be downloaded, exported or redistributed in any form by:
  45.  
  46. 1) residents or nationals of Cuba, Iran, Iraq, Libya, North Korea,  Syria, or Yugoslavia (which is
  47. comprised of Montenegro, Serbia and Serb controlled sections of Bosnia- Herzegovina);
  48.  
  49. 2) any individuals or entities that have been placed on the Table of Denial Order Listing (U.S.
  50. Department of Commerce), Specially Designated Nationals List (U.S. Department of Treasury),
  51. and/or Debarred List (U.S. Department of State); or
  52.  
  53. 3) entities or individuals involved with the research, development, testing, evaluation,
  54. production, distribution, sale or service of nuclear, chemical, and/or biological weapons and/or
  55. missile technology;
