This JukeItUp! Limited End User Licence Agreement accompanies the JukeItUp! Ecstasy Edition product and related explanatory materials ("Software"). Please read this Licence carefully. At the end, you will be asked to accept this Licence and continue to install or, if you do not wish to accept this Licence, to decline this Licence, in which case you will not be able to use the Software.
Upon your acceptance of this Licence and Installation of the Software, JukeItUp! Limited grants to you a nonexclusive licence to use the Software, in accordance with the following terms and conditions:
1. Use of the Software.
You may install the Software on a hard disk or other storage device, install and use the Software on a file server for use on a network.
You may make and distribute copies of the Software, commercial distribution and distribution payment of any kind accepted, provided that all such copies made and distributed contain this Licence, JukeItUp! Ecstasy Edition installer, and all copyright and other proprietary notices pertaining to this Software contained therein. If you download the Software from the Internet or similar on-line source, you must include the JukeItUp! Limited copyright notice for the Software with any on-line distribution and on any media you distribute that includes the Software. The Software is licensed and distributed by JukeItUp! Limited for the playback and organising of electronic computer music files.
2. Copyright. The Software and all intellectual property rights contained therein (including, without limitation, all codes structures and documents) are proprietary to JukeItUp! Limited and its suppliers. The Software also is protected by English Copyright Law and International Treaty provisions. This Agreement does not grant you any intellectual property rights in the Software what so ever.
3. Restrictions. Hereby you agree not to modify, adapt, translate, reverse engineer, decompile, disassemble or otherwise attempt to discover the source code of the Software.
4. No Warranty. The Software is being delivered to you AS IS and JukeItUp! Limited makes no warranty as to its use or performance. JUKEITUP! LIMITED AND ITS SUPPLIERS DO NOT AND CANNOT WARRANT THE PERFORMANCE OR RESULTS YOU MAY OBTAIN BY USING THE SOFTWARE OR DOCUMENTATION. JUKEITUP! LIMITED AND ITS SUPPLIERS MAKE NO WARRANTIES, EXPRESS OR IMPLIED, AS TO NONINFRINGEMENT OF THIRD PARTY RIGHTS, SATISFACTORY QUALITY, OR FITNESS FOR ANY PARTICULAR PURPOSE. IN NO EVENT WILL JUKEITUP LIMITED OR ITS SUPPLIERS BE LIABLE TO YOU FOR ANY CONSEQUENTIAL, DIRECT OR INDIRECT LOSS, INCIDENTAL OR SPECIAL DAMAGES, INCLUDING ANY LOST PROFITS OR LOST SAVINGS, EVEN IF A JUKEITUP! LIMITED REPRESENTATIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY THIRD PARTY.
5. Governing Law and General Provisions. This Licence shall be governed English Law and subject to exclusive jurisdiction of the English Courts, excluding the application of its conflicts of law rules. This Licence will not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. If any part of this Licence is found void and unenforceable, it will not affect the validity of the balance of the Licence, which shall remain valid and enforceable according to its terms. You agree that the Software will not be shipped, transferred or exported into any country or used in any manner prohibited by the English Export Administration Act or any other export laws, restrictions or regulations. This Licence shall automatically terminate upon failure by you to comply with its terms. This Licence may only be modified in writing signed by an authorised officer of JukeItUp! Limited.
6. This Licence is valid for 30 days from the day of installation of JukeItup! Ecstasy Edition. After this period registration is required. Upon the payment of registration the End User is entitled to install one copy of Registered JukeItUp! Ecstasy Edition on one machine.
