  17.    This memo provides information for the Internet community.  This memo
  18.    does not specify an Internet standard of any kind.  Distribution of
  19.    this memo is unlimited.

  21. Abstract
  22.  
  23.    These are the articles of incorporation of the Internet Society.
  24.    They are published for the information of the IETF community at the
  25.    request of the poisson working group.

  27. 1. ISOC articles of incorporation
  28.

  32.        We, the undersigned natural persons of the age of eighteen years
  33.    or more, acting as incorporators of a corporation, adopt the
  34.    following Articles of Incorporation for such corporation pursuant to
  35.    the District of Columbia Non-Profit Corporation Act:
  36.  
  37.    1. The name of the corporation is Internet Society.
  38.  
  39.    2. The period of its duration is perpetual.
  40.  
  41.    3. The purpose or purposes for which the corporation is organized are
  42.       as follows:
  43.  
  44.           To be a non-profit corporation (without capital stock), which
  45.       shall be operated exclusively for educational, charitable and
  46.       scientific purposes.  Such educational, charitable, and scientific
  47.       purposes shall include carrying on activities:
  48.  
  49.       A. To facilitate and support the technical evolution of the
  50.          Internet as a research and education infrastructure, and to
  51.          stimulate the involvement of the scientific community,
  52.          industry, government and others in the evolution of the
  53.          Internet;

  63.       B. To educate the scientific community, industry and the public at
  64.          large concerning the technology, use and application of the
  65.          Internet;
  66.  
  67.       C. To promote educational applications of Internet technology for
  68.          the benefit of government, colleges and universities, industry,
  69.          and the public at large;
  70.  
  71.       D. To provide a forum for exploration of new Internet
  72.          applications, and to stimulate collaboration among
  73.          organizations in their operational use of the global Internet.
  74.  
  75.           To exercise all the powers conferred upon corporations formed
  76.       under the District of Columbia Non-Profit Corporation Act in order
  77.       to accomplish the corporation's educational, charitable and
  78.       scientific purposes; and to take other actions necessary or
  79.       convenient to effect any or all of the purposes for which the
  80.       corporation is organized.

  82.    4. The corporation shall not issue any capital stock.
  83.  
  84.    5. The corporation shall have classes of members, and the
  85.       qualifications and rights of the members, including any right to
  86.       vote, shall be as provided in the by-laws.
  87.  
  88.    6. The board of directors of the corporation shall be known as the
  89.       Board of Trustees. Except for the initial Board of Trustees, whose
  90.       names are set forth in these Articles of Incorporation, the manner
  91.       in which the Trustees are to be elected or appointed shall be as
  92.       provided in the by-laws.

  94.    7. Provisions for the regulation of the internal affairs of the
  95.       corporation, including provisions for the distribution of assets
  96.       on dissolution or liquidation, are:
  97.  
  98.       A. No part of the net earnings of the corporation shall inure to
  99.          the benefit of, or be distributable to, any of the Trustees or
  100.          officers or members of the corporation, or any other person,
  101.          except that the corporation shall be authorized and empowered
  102.          to pay reasonable compensation for services rendered. No
  103.          substantial part of the activities of the corporation shall be
  104.          the carrying on of propaganda, or otherwise attempting, to
  105.          influence legislation. The corporation shall not participate
  106.          in, or intervene in (including the publishing or distributing
  107.          of statements), any political campaign on behalf of any
  108.          candidate for public office.

  119.       B. The Articles of Incorporation may be amended by the affirmative
  120.          vote of at least four-fifths of the members of the Board of
  121.          Trustees then in office, except that unanimous consent of the
  122.          members of the Board of Trustees then in office shall be
  123.          required for any amendment of this Article 7.
  124.  
  125.       C. Upon the liquidation, dissolution, or winding up of the
  126.          corporation, after all of its liabilities and obligations have
  127.          been paid, satisfied and discharged, or adequate provision has
  128.          been made therefor, all of the assets of the corporation shall
  129.          be distributed exclusively for such educational, charitable and
  130.          scientific purposes as the Trustees (or such other persons as
  131.          may be in charge of liquidation) shall determine, provided that
  132.          such distributions shall be made to one or more organizations
  133.          which qualify as exempt organizations under Section 501(c)(3)
  134.          of the United States Internal Revenue Code as amended (or
  135.          corresponding provisions of any future United States Internal
  136.          Revenue law).

  138.    8. The address, including street and number, of the initial
  139.       registered office of the corporation is c/o C T Corporation
  140.       System, 1030 15th Street, N.W., Washington, D.C. 20005, and the
  141.       name of its initial registered agent at such address is C T
  142.       Corporation System.

  144.    9. The number of Trustees constituting the initial Board of Trustees
  145.       of the corporation is fourteen, and the names and addresses,
  146.       including street and number, if any, of the persons who are to
  147.       serve as the initial Trustees until the first annual meeting or
  148.       until their successors be elected and qualify are:
