  2.                    PROMISSORY NOTE - INSTALLMENT

  5.      FOR  VALUE  RECEIVED, we the undersigned, jointly and
  6. severally, promise to pay to the order of [name of lender],
  7. [city, state]           , the sum of _____________________
  8. ($     ) Dollars with interest on any unpaid balance from
  9. [date]    at the rate of            percent per annum, and
  10. payable in        equal successive monthly installments of
  11.               Dollars in lawful money of the United States
  12. of America, commencing on the       day of each and every
  13. month thereafter until paid except the final installment
  14. which shall be the balance due on this note.  If any
  15. installment be not paid when due, the undersigned promise
  16. to pay collection charges of   per dollar of each overdue
  17. installment, or the actual cost of collection, whichever
  18. is greater and the entire amount owing and unpaid hereunder
  19. shall at the election of the holder hereof forthwith become
  20. due and payable, and notice of such election is hereby
  21. waived.  The undersigned promises to pay all reasonable
  22. attorney's fees incurred by the holder hereof in enforcing
  23. any right or remedy hereunder.  All sums remaining unpaid
  24. on the agreed or accelerated date of the maturity of the
  25. last installment shall thereafter bear interest at the rate
  26. of       percent per month.  The undersigned authorizes the
  27. holder to date and complete this note in accordance with the
  28. terms of the loan evidenced hereby, to accept additional
  29. co-makers, to release co-makers, to change or extend dates
  30. of payment and to grant indulgences all without notice or
  31. affecting the obligations of the undersigned, and hereby
  32. waives;
  33.      a.   Presentment, demand, protest, notice of dishonor
  34. and the notice of nonpayment;
  35.      b.   The right, if any, to the benefit, or to direct
  36. the application of, any security hypothecated to the holder,
  37. until all indebtedness of the maker to the holder, howsoever
  38. arising shall have been paid;
  39.      c.   The right to require the holder to proceed against
  40. the maker, or to pursue any other remedy in the holder's
  41. power;
  42.  
  43. And agrees that the holder may proceed against any of the
  44. undersigned, directly and independently of the maker and
  45. that the cessation of the liability of the maker for any
  46. reason other than full payment, or any extension,
  47. forebearance, change of rate of interest, acceptance,
  48. release, substitution of security, or any impairment or
  49. suspension of the holder's remedies or rights against the
  50. maker, shall not in anywise affect the liability of any of
  51. the undersigned hereunder.  All obligations of the makers
  52. if more than one, shall be joint and several.
