  1.                   CONFIDENTIAL INFORMATION AGREEMENT

  10.      In consideration of being employed by_ [Company], the
  11. undersigned hereby agrees and acknowledges:
  12.      1. That during the course of my employ there may be
  13.         disclosed to me certain trade secrets of the Company;
  14.         said trade secrets consisting of:
  15.         a] Technical information: Methods, processes, formulae,
  16.            compositions, inventions, machines, computer
  17.            programs and research projects.
  18.         b] Business information: Customer lists; pricing data;
  19.            sources of supply; and marketing, production, or
  20.            merchandising systems or plans.
  21.      2. I shall not during, or at any time after the
  22.         termination of my employment with the Company, use for
  23.         myself or others, or disclose or divulge to others any
  24.         trade secrets, confidential information, or any other
  25.         data of the Company in violation of this agreement.
  26.      3. That upon the terminatin of my employ from the Company:
  27.         a] I shall return to the Company all documents
  28.            relating to the company, including but not
  29.            necessarily limited to: drawings, blueprints,
  30.            reports, manuals, correspondence, customer lists,
  31.            computer programs, and all other materials
  32.            and all copies thereof relating in any way to the
  33.            Company's business, or in any way obtained by me
  34.            during the course of my employ.  I further agree
  35.            that I shall not retain any copies of the foregoing.
  36.         b] The Company may notify any future or prospective
  37.            employer of the existence of this agreement.
  38.         c] This agreement shall be binding upon me and my
  39.            personal representatives and successors in
  40.            interest, and shall inure to the benefit of the
  41.            Company, its successors and assigns.
  42.         d] The unenforceability of any provision to this
  43.            agreement shall not impair or affect any other
  44.            provision.
  45.         e] In the event of any breach of this agreement, the
  46.            Company shall have full rights to injunctive
  47.            relief, in addition to any other existing rights,
  48.            without requirement of posting bond.
