  21. inspect or obtain such information only for the purposes
  22. described above, and to otherwise hold such information
  23. confidential pursuant to the terms of this agreement,
  24.      BE IT KNOWN, that the Company has or shall furnish to the
  25. undersigned certain confidential information, as set forth on
  26. attached list, and may further allow the undersigned the right
  27. to inspect the business of the Company and/or interview
  28. employees or representatives of the Company, all on the
  29. following conditions:
  30.      1. The undersigned agrees to hold all confidential or
  31.         proprietary information or trade secrets
  32.         ["information"] in trust and confidence and agrees
  33.         that it shall be used only for the contemplated
  34.         purpose, shall not be used for any other purpose or
  35.         disclosed to any third party.
  36.      2. No copies will be made or retained of any written
  37.         information supplied.
  38.      3. At the conclusion of our discussions, or upon demand
  39.         by the Company, all information, including written
  40.         notes, photographs, memoranda, or notes taken by you
  41.         shall be returned to us.
  42.      4. This information shall not be disclosed to any
  43.         employee or consultant unless they agree to execute
  44.         and be bound by the terms of this agreement.
  45.      5. It is understood that the undersigned shall have no
  46.         obligation with respect to any information known by the
  47.         undersigned or generally known within the industry
  48.         prior to date of this agreement, or becomes common
  49.         knowledge within the industry thereafter.
