  1.                     AGiSS Software License Agreement
  2.  
  3. This agreement covers the license agreement between you, the end user, and
  4. AGiSS.   Read the terms below carefully, if you do not agree to the terms
  5. and conditions covered below, return the unopened package for a full refund. 
  6.  
  7.    (1) Legal Agreement.  This is a legal agreement which allows you, the end
  8.    user, to use WinGrade(the "Software") under certain terms and conditions.  
  9.    If you do not agree to abide by what this agreement says you should not 
  10.    use or evaluate the Software.
  11.  
  12.    (2) Evaluation Period.  A shareware copy of WinGrade may be used for 30
  13.    days to determine if the software meets your needs before purchasing it.
  14.    Once the evaluation period is over, you must purchase a registered 
  15.    copy of WinGrade if you want to continue using it.
  16.  
  17.    (3) Evaluation and Use Restrictions.  During your evaluation period, you 
  18.    may use WinGrade on as many computers as are required to fulfill your 
  19.    evaluation needs.  Once the evaluation period is over, and you decide to 
  20.    continue using the Software, you must purchase the Software and your use 
  21.    of the Software is subject to the following restrictions:

  23.       (A)You may not reverse engineer, decompile, or disassemble the
  24.       Software.
  25.  
  26.       (B) You agree not to install or use any individual copy of WinGrade
  27.       on more than one computer at a time. 
  28.  
  29.       (C) If you purchased a multi-user license for WinGrade you agree
  30.       not to install or use it on more computers than the number included in
  31.       your license, as shown on your invoice or other documents you
  32.       received from AGiSS.
  33.  
  34.    (4) Shareware copies of WinGrade. You may copy and distribute the shareware
  35.    copy of WinGrade to others, as long as you include all of the original 
  36.    files that were originally received with your shareware copy.  You agree
  37.    not to sell shareware copies of WinGrade or distribute the copies to 
  38.    others for any kind of compensation.

  40.    (5) Copying Registered Copies of WinGrade.  When you receive a
  41.    Registered Copy of WinGrade, you may make one copy of the software for 
  42.    backup and archival purposes. You agree not to make any other 
  43.    copies of the software, or any part of WinGrade, or sell or give any 
  44.    copies to others, without advance written permission from AGiSS.

  46.    (6) Limited Warranty. AGiSS warrants the media on which the Software is
  47.    provided to be free from defects in materials under normal use for a
  48.    period of 90 days from the date of your receipt of the Software. THE 
  49.    SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS 
  50.    OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, 
  51.    FITNESS FOR ANY PARTICULAR PURPOSE, OR NON-INFRINGEMENT. THE ENTIRE RISK 
  52.    AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE AND DOCUMENTATION IS WITH 
  53.    YOU.  AGISS DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS 
  54.    OR THAT THE OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR FREE
  55.    OR THAT DEFECTS IN THE SOFTWARE WILL BE CORRECTED. SOME STATES DO NOT ALLOW
  56.    THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY 
  57.    TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE 
  58.    OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.

  60.    (7) Governing Law. This Agreement is governed by the laws of the State
  61.    of Idaho.
  62.  
  63.    (8) U.S. Government Restricted Rights.  The Software and documentation are
  64.    provided with RESTRICTED RIGHTS. Use, duplication, or disclosure
  65.    by the Government is subject to restrictions as set forth in subparagraph 
  66.    (c)(1)(ii) of The Rights in Technical Data and Computer Software clause at
  67.    DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the Commercial Computer 
  68.    Software - Restricted Rights at 48 CFR 52.227-19, as applicable.

  71.    (9) LIMITATION OF LIABILITY. IN NO EVENT SHALL AGISS BE LIABLE FOR ANY
  72.       INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING OUT
  73.       OF USE OF THE SOFTWARE OR YOUR RELATIONSHIP WITH US. SOME STATES DO NOT
  74.       ALLOW EXCLUSION OR LIMITATION OF LIABILITY FOR INCIDENTAL OR
  75.       CONSEQUENTIAL DAMAGES, THEREFORE THE ABOVE LIMITATION MAY NOT APPLY TO
  76.       YOU.
