  2.      License Agreement for Application Response Measurement (ARM) 
  3.               Software Development Kit (SDK)

  6.      YOU MUST AGREE TO THESE TERMS BEFORE YOU DOWNLOAD OR USE THIS PROGRAM. 
  7.       ANY SUCH USE OR DOWNLOADING INDICATES YOUR ACCEPTANCE OF THESE TERMS.

  9.      
  10.      International Business Machines Corporation (IBM) and Hewlett-Packard 
  11.      Corporation  (HP) grant you a license to use the ARM SDK.  The ARM SDK 
  12.      is copyrighted and licensed (not sold).  IBM and HP do not transfer 
  13.      title to the ARM SDK to you.  You obtain no rights other than those 
  14.      granted under this license.

  17.      Under this license, you may:                                           
  18.      
  19.      
  20.        1.  Use the ARM SDK on one or more machines at a time;              
  21.      
  22.        2.  Make copies of the ARM SDK for use or backup purposes within 
  23.            your enterprise; 
  24.      
  25.        3.  Modify the ARM SDK and merge it into another 
  26.            program; and 
  27.      
  28.        4.  Make copies of the original file you download and distribute it, 
  29.            provided that you transfer a copy of this license agreement to the 
  30.            other party, and provided that the other party agrees to all terms 
  31.            of this license.                                                          
  32.      
  33.      You must reproduce the copyright notice and any other legend of 
  34.      ownership on each copy or partial copy of the ARM SDK.  You may NOT 
  35.      sublicense, rent, lease, or assign the ARM SDK or any part of the  
  36.      ARM SDK. 
  37.      
  38.      Except as expressly stated above, IBM and HP grant no other licenses, 
  39.      express or implied, by estoppel or otherwise, to any intellectual 
  40.      property rights.                 
  41.      
  42.      IBM and HP do not warrant that the ARM SDK is free from claims by any 
  43.      party of copyright, patent, trademark, trade secret, or any other 
  44.      intellectual property infringement.                               
  45.      
  46.      
  47.      LIMITED LIABILITY    
  48.      
  49.      Under no circumstances are IBM or HP liable for any of the following, 
  50.      even if IBM or HP are informed of their possibility:                   
  51.      
  52.      
  53.              1.  third party claims against you for losses or damages;      
  54.      
  55.              2.  loss of, or damage to, your records or data; or            
  56.      
  57.              3.  economic consequential damages (including lost profits or  
  58.                  savings) or incremental damages.                           
  59.      
  60.              4.  punitive or non-compensatory damages of any sort 
  61.      
  62.      
  63.      NO WARRANTIES  
  64.      
  65.      THIS PROGRAM IS PROVIDED "AS IS."  IBM AND HP DISCLAIM ALL WARRANTIES, 
  66.      EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION THE IMPLIED WARRANTIES 
  67.      OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.

  69.      IBM and HP do not warrant uninterrupted or error free operation of the 
  70.      SDK.   
  71.      
  72.      Some jurisdictions do not allow the exclusion of implied warranties or 
  73.      limits on liability, so the above exclusions may not apply to you.                                        
  74.      
  75.      IBM and HP have no obligation to provide service, defect correction, 
  76.      or any maintenance for the SDK.  IBM and HP have no obligation to 
  77.      supply any ARM SDK updates or enhancements to you even if such are or 
  78.      later become available.                                                 
  79.      
  80.      You may terminate this license at any time.  IBM and HP may terminate 
  81.      this license if you fail to comply with any of its terms.  In either 
  82.      event, you must destroy all your copies of the ARM SDK.                
  83.      
  84.      You are responsible for the payment of any taxes resulting from this 
  85.      license.                                                               
  86.      
  87.      You may not sell, transfer, assign, or subcontract any of your rights 
  88.      or obligations under this license.  Any attempt to do so is void.                                                                  
  89.      No licensee may bring a legal action more than two years after the 
  90.      cause of action arose.                                                  
  91.      
  92.      You hereby waive your right to a trial by jury and agree that any 
  93.      action arising from the relationship of the parties to this license 
  94.      shall be decided by a court without a jury.
