  6. THIS IS A LICENSE NOT A SALE. THIS PRODUCT IS 
  7. PROVIDED  UNDER THE FOLLOWING LICENSE 
  8. WHICH DEFINES WHAT YOU MAY DO  WITH THE 
  9. PRODUCT, AND CONTAINS LIMITATIONS ON 
  10. WARRANTIES  AND/OR REMEDIES. THIS LICENSE IS 
  11. LIMITED, IS NON-EXCLUSIVE  AND IS GRANTED BY 
  12. PROLIFIC PUBLISHING INC. FOR PRODUCTS  
  13. PURCHASED IN THE UNITED STATES.

  15.  BY CLICKING ON THE "ACCEPT" BUTTON OR USING 
  16. THE ENCLOSED  PROGRAM, YOU ARE 
  17. CONSENTING TO BE BOUND BY THIS AGREEMENT.

  28.   1. LICENSE.
  29.  
  30.   The VIEWGADGET Software, and any related 
  31. documentation accompanying this License (the 
  32. "Software"), is the property of Prolific Publishing, Inc., 
  33. ("Prolific") as the worldwide licensor of all rights from the 
  34. copyright owner, SILENT SOFTWARE, INC., and is 
  35. protected by copyright law.   Upon your acceptance of 
  36. this License, your rights and obligations with respect to 
  37. the use of this Software are as follows:
  38.  
  39.     YOU MAY:
  40.  
  41.     (i)  use one copy of the Software on a single computer.
  42.  
  43.     (ii)  use the Software on a second computer provided 
  44. that only one copy of the Software is in use at any time.
  45.  
  46.     (iii) make one copy of the Software in machine-
  47. readable form for backup (archival) purposes only. You 
  48. must reproduce on such copy Silent Software, Inc.'s 
  49. copyright notice and any other proprietary legends that 
  50. were on the original copy of the Software.
  51.  
  52.     (iv)  transfer all your license rights in the Software, 
  53. together with the backup copy of the Software, the 
  54. related documentation and a copy of this License to 
  55. another party, provided the other party reads and agrees 
  56. to accept the terms and conditions of this License, and 
  57. that you do not keep the original or any copies of the 
  58. Software.
  59.  
  60.      (v)  use the Software on a network provided that you 
  61. have a licensed copy of the Software for each computer 
  62. that can access the Software over that network.
  63.  
  64.   2. RESTRICTIONS.
  65.  
  66.   The Software contains copyrighted material, trade 
  67. secrets and other proprietary material. In order to protect 
  68. them, and except as permitted above or by applicable 
  69. legislation:
  70.  
  71.     YOU MAY NOT:
  72.  
  73.     (i)   convert, modify, translate, reverse engineer, 
  74. decompile, disassemble (except to the extent applicable 
  75. laws specifically prohibit such restriction), or create 
  76. derivative works based on the Software.
  77.  
  78.     (ii)  modify, network, rent, lend, loan, distribute or 
  79. create derivative works based upon the Software in 
  80. whole or in part;
  81.  
  82.     (iii)  use a previous version of the Software after you 
  83. have received an upgraded revision of the Software as a 
  84. replacement for the prior version through a promotion 
  85. offering advantages to upgrade or transfer or assign such 
  86. previous version of the Software to another;
  87.  
  88.     (iv)  permit other individuals to use the Software except 
  89. under the terms listed above;
  90.  
  91.  
  92.     (v)  reduce the Software to a human- perceivable form 
  93. in any manner or through any process;
  94.  
  95.  
  96.     (vi) transfer, license, rent, lease, grant a security 
  97. interest in, or otherwise transfer rights to the Software; or
  98.  
  99.     (vii)  remove any proprietary notices or labels on the 
  100. Software.
  101.  
  102.    3. TITLE:
  103.  
  104.   Title, ownership rights, and intellectual property rights in 
  105. the Software shall remain in Prolific. The Software is 
  106. protected by all applicable  copyright laws and treaties. 
  107. Title and related rights in the content accessed through 
  108. the Software is the property of the applicable content 
  109. owner and may be protected by applicable law. This 
  110. License gives you no rights to such content.
  111.  
  112.   4. TERMINATION.
  113.  
  114.   This License is effective until terminated. You may 
  115. terminate this License at any time by destroying the 
  116. Software, related documentation and all copies thereof. 
  117. This License will terminate immediately without notice 
  118. from Prolific, if you fail to comply with any provision of 
  119. this License. Upon termination you must destroy the 
  120. Software, related documentation and all copies thereof.

  122.   5. EXPORT CONTROLS.
  123.  
  124.   You agree and certify that neither the Software nor any 
  125. other technical data received from Prolific, nor the direct 
  126. product thereof, will be exported outside the United 
  127. States except as authorized and as permitted by the laws 
  128. and regulations of the United States. If the Software has 
  129. been rightfully obtained by you outside of the United 
  130. States, you agree that you will not re-export the Software 
  131. nor any other technical data received from Prolific, nor 
  132. the direct product thereof, except as permitted by the 
  133. laws and regulations of the United States and the laws 
  134. and regulations of the jurisdiction in which you obtained 
  135. the Software. By downloading or using the Software, you 
  136. are agreeing to the foregoing and you are representing 
  137. that you are not causing a violation of such laws or 
  138. regulations.

  140.   In addition, if the licensed Software is identified as a 
  141. not-for-export product (for example, on the box, on the 
  142. media or in the installation process), then the following 
  143. applies: EXCEPT FOR EXPORT TO CANADA, FOR 
  144. USE IN CANADA BY CANADIAN CITIZENS, THE 
  145. SOFTWARE AND ANY UNDERLYING TECHNOLOGY 
  146. MAY NOT BE EXPORTED OUTSIDE THE UNITED 
  147. STATES OR TO ANY FOREIGN ENTITY OR "FOREIGN 
  148. PERSON" AS DEFINED BY U.S. GOVERNMENT 
  149. REGULATIONS, INCLUDING WITHOUT LIMITATION, 
  150. ANYONE WHO IS NOT A CITIZEN, NATIONAL OR 
  151. LAWFUL PERMANENT RESIDENT OF THE UNITED 
  152. STATES. BY DOWNLOADING OR USING THE 
  153. SOFTWARE, YOU ARE AGREEING TO THE 
  154. FOREGOING AND YOU ARE WARRANTING THAT 
  155. YOU ARE NOT A "FOREIGN PERSON" OR UNDER 
  156. THE CONTROL OF A FOREIGN PERSON.

  158.   6. U.S. GOVERNMENT RESTRICTED RIGHTS.
  159.  
  160.   Use, duplication or disclosure by the Government is 
  161. subject to restrictions, as amended, as set forth in (i) this 
  162. Agreement for all licenses and, insofar as they do not 
  163. conflict with the terms of this Agreement, (ii) with the 
  164. restrictions as set forth in subparagraphs (a) through (d) 
  165. of the Commercial Computer- Restricted Rights clause at 
  166. FAR 52.227-19 when applicable, or in subparagraph 
  167. (c)(1)(ii) of the Rights in Technical Data and Computer 
  168. Software clause at DFARS 252.227-7013, or at 252.211- 
  169. 7015, or to Licensor's standard commercial license, as 
  170. applicable, and in similar clauses in the NASA FAR 
  171. Supplement. Contractor/manufacturer is a software 
  172. publisher: Prolific Publishing, Inc., Prolific Publishing, Inc. 
  173. P.O. BOX 5000 BURBANK, CA 91508-5000.

  175.   7. DISCLAIMER OF WARRANTY.
  176.  
  177.   You expressly acknowledge and agree that use of the 
  178. Software is at your sole risk. The Software and related 
  179. documentation are provided "AS IS" and without warranty 
  180. of any kind and PROLIFIC EXPRESSLY DISCLAIMS 
  181. ALL WARRANTIES, EXPRESS AND/OR IMPLIED, 
  182. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED 
  183. WARRANTIES OF MERCHANTABILITY, OF TITLE, OF 
  184. NON-INFRINGEMENT AND OF FITNESS FOR A 
  185. PARTICULAR PURPOSE. PROLIFIC DOES NOT 
  186. WARRANT THAT THE FUNCTIONS CONTAINED IN 
  187. THE SOFTWARE WILL MEET YOUR REQUIREMENTS, 
  188. OR THAT THE OPERATION OF AND YOUR USE OF 
  189. THE SOFTWARE WILL BE UNINTERRUPTED OR 
  190. ERROR-FREE, OR THAT DEFECTS IN THE 
  191. SOFTWARE WILL BE CORRECTED. IN ADDITION, 
  192. THE SECURITY MECHANISMS, IF ANY, 
  193. IMPLEMENTED IN THE SOFTWARE HAVE INHERENT 
  194. LIMITATIONS AND THE COPY-PROTECTION 
  195. SCHEME UTILIZED, IF ANY, MAY CAUSE 
  196. INCONVENIENCE, INTERRUPTION OR DELAYS IN 
  197. USE. THE ENTIRE RISK AS TO THE RESULTS AND 
  198. PERFORMANCE OF THE SOFTWARE IS ASSUMED 
  199. BY YOU. FURTHERMORE, PROLIFIC DOES NOT 
  200. WARRANT OR MAKE ANY REPRESENTATIONS 
  201. REGARDING THE USE OR THE RESULTS OF THE 
  202. USE OF THE SOFTWARE OR RELATED 
  203. DOCUMENTATION IN TERMS OF THEIR 
  204. CORRECTNESS, ACCURACY, RELIABILITY, 
  205. CURRENTNESS, OR OTHERWISE. NO ORAL OR 
  206. WRITTEN INFORMATION OR ADVICE GIVEN BY 
  207. PROLIFIC OR PROLIFIC'S AUTHORIZED 
  208. REPRESENTATIVE SHALL CREATE A WARRANTY 
  209. OR IN ANY WAY INCREASE THE SCOPE OF THE 
  210. WARRANTY. SHOULD THE SOFTWARE PROVE 
  211. DEFECTIVE, YOU (AND NOT PROLIFIC OR 
  212. PROLIFIC'S AUTHORIZED REPRESENTATIVE) 
  213. ASSUME THE ENTIRE COST OF ALL NECESSARY 
  214. SERVICING, REPAIR AND/OR CORRECTION. SOME 
  215. JURISDICTIONS DO NOT ALLOW THE EXCLUSION 
  216. OF IMPLIED WARRANTIES, SO THE ABOVE 
  217. EXCLUSION AND/OR LIMITATIONS MAY NOT APPLY 
  218. TO YOU. YOU MAY HAVE OTHER RIGHTS WHICH 
  219. VARY FROM STATE TO STATE.
  220.  
  221.   8. LIMITATION OF LIABILITY.
  222.  
  223.   UNDER NO CIRCUMSTANCES, INCLUDING BUT 
  224. NOT LIMITED TO NEGLIGENCE AND REGARDLESS 
  225. OF WHETHER ANY REMEDY SET FORTH IN THIS 
  226. LICENSE FAILS OF ITS ESSENTIAL PURPOSE, 
  227. NEITHER PROLIFIC, NOR ITS DIRECTORS, 
  228. OFFICERS, EMPLOYEES, ATTORNEYS OR AGENTS, 
  229. SHALL BE LIABLE TO YOU FOR ANY INCIDENTAL, 
  230. INDIRECT, SPECIAL OR CONSEQUENTIAL DAMAGES 
  231. (INCLUDING DAMAGES FOR LOSS OF BUSINESS 
  232. PROFITS, BUSINESS INTERRUPTION, LOSS OF 
  233. BUSINESS INFORMATION, AND THE LIKE) ARISING 
  234. OUT OF THE USE, MISUSE OR INABILITY TO USE 
  235. THE SOFTWARE OR RELATED DOCUMENTATION, 
  236. EVEN IF PROLIFIC OR PROLIFIC'S AUTHORIZED 
  237. REPRESENTATIVE HAS BEEN ADVISED OF THE 
  238. POSSIBILITY OF SUCH DAMAGES. SOME 
  239. JURISDICTIONS DO NOT ALLOW THE LIMITATION 
  240. OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR 
  241. CONSEQUENTIAL DAMAGES, SO THE ABOVE 
  242. LIMITATION OR EXCLUSION MAY NOT APPLY TO 
  243. YOU.

  245.   IF PROLIFIC SHALL BE DETERMINED TO HAVE 
  246. LIABILITY NOTWITHSTANDING THE DISCLAIMERS 
  247. AND LIMITATIONS SET FORTH IN THIS AGREEMENT, 
  248. THEN LICENSOR'S SOLE LIABILITY FOR ANY 
  249. BREACH OF THIS WARRANTY SHALL BE, IN 
  250. LICENSOR'S SOLE DISCRETION: (i) TO REPLACE 
  251. YOUR DEFECTIVE MEDIA OR SOFTWARE; OR (ii) TO 
  252. ADVISE YOU HOW TO ACHIEVE SUBSTANTIALLY 
  253. THE SAME FUNCTIONALITY WITH THE SOFTWARE 
  254. AS DESCRIBED IN THE DOCUMENTATION THROUGH 
  255. A PROCEDURE DIFFERENT FROM THAT SET FORTH 
  256. IN THE DOCUMENTATION; OR (iii) IF THE ABOVE 
  257. REMEDIES ARE IMPRACTICABLE, TO REFUND THE 
  258. LICENSE FEE YOU PAID FOR THE SOFTWARE. IN 
  259. NO EVENT SHALL PROLIFIC'S TOTAL LIABILITY TO 
  260. YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF 
  261. ACTION (WHETHER IN CONTRACT, TORT 
  262. (INCLUDING, BUT NOT LIMITED TO NEGLIGENCE) 
  263. OR OTHERWISE) EXCEED THE AMOUNT PAID BY 
  264. YOU FOR THE SOFTWARE.

  266.   9. HIGH RISK ACTIVITIES.
  267.  
  268.   The Software is not fault-tolerant and is not designed, 
  269. manufactured or intended for use or resale as on-line 
  270. control equipment in hazardous environments requiring 
  271. fail-safe performance, such as in the operation of nuclear 
  272. facilities, aircraft navigation or communication systems, 
  273. air traffic control, direct life support machines, or 
  274. weapons systems, in which the failure of the Software 
  275. could lead directly to death, personal injury, or severe 
  276. physical or environmental damage ("High Risk 
  277. Activities"). Licensor and its suppliers specifically disclaim 
  278. any express or implied warranty of fitness for High Risk 
  279. Activities.

  281.   10. CONTROLLING LAW AND SEVERABILITY.
  282.  
  283.   This License shall be governed by the construed in 
  284. accordance with the laws of the United States and the 
  285. State of California, as applied to agreements entered into 
  286. and to be performed entirely within California between 
  287. California residents. If for any reason a court of 
  288. competent jurisdiction finds any provision of this License 
  289. or portion thereof, to be unenforceable, that provision of 
  290. the License shall be enforced to the maximum extent 
  291. permissible so as to effect the intent of the parties, and 
  292. the remainder of this License shall continue in full force 
  293. and effect.

  295.   11. COMPLETE AGREEMENT.
  296.  
  297.   This License constitutes the entire agreement between 
  298. the parties with respect to the use of the Software and 
  299. the related documentation, and supersedes all prior or 
  300. contemporaneous understandings or agreements, written 
  301. or oral, regarding such subject matter. No amendment to 
  302. or modification of this License will be binding unless in 
  303. writing and signing by a duly authorized representative of 
  304. PROLIFIC.
