  12. *  Club membership document. Share Net International pay you royalties on    *
  13. *  ALL COPIES of your software registered with SNI, sold World-wide.         *

  17. 1.  What is Share Net International?
  18.  
  19.     Share Net International Ltd (referred to as SNI), is an International
  20.     Computer Club.
  21.  
  22.     Traditionally, software authors have had two options to move their
  23.     software into the market place: retail it, or distribute it as shareware.
  24.     Retailing is not open to most shareware authors as it requires acceptance
  25.     by major software vendors. Shareware distribution usually results in high
  26.     market penetration, but a very low level of registrations, and hence an
  27.     unfair and inadequate level of income to the author. For most software
  28.     authors there has been no alternative until now!
  29.  
  30.     SNI are pioneering a new approach to marketing software.  We use a method
  31.     similar to shareware distribution, called Sharenetting.  Software that is
  32.     sold through Sharenetting is called Payware. Payware is different to
  33.     shareware in two very significant ways:
  34.  
  35.         1. If you register the Payware that you use, you will be licensed to
  36.            distribute it as a vendor.Simply spread the Payware as you would
  37.            shareware and get paid a commission by encouraging others to
  38.            register the copies that you supply. Pay and get paid!
  39.  
  40.         2. SNI guarantee to pay a ten percent royalty to the author on all
  41.            sales of the Authors own Payware registered with SNI
  42.  
  43.     Currently, a computer games addict has only the challenge of the game.
  44.     The vision of SNI is to create an international "computer club", with
  45.     world rankings and international tournaments for their most challenging
  46.     and popular games.  Play the game, get a high score, then place yourself
  47.     on the world hi-score table for that game!  Prizes will be awarded to
  48.     tournament winners.  SNI provide a total entertainment service, from 
  49.     which you can earn an income.

  66. 2.  Authors Contract Details
  67.  
  68.     Software authors may be registered with SNI, as club members.  This
  69.     allows SNI to pay authors sponsorship and group payments for spreading
  70.     their own and other software, as well as receiving their royalty
  71.     payments.
  72.  
  73.     If an author is submitting software to SNI, and that software is accepted
  74.     for marketing by SNI, then the author does not need to register an
  75.     existing SNI product when applying for club membership.
  76.  
  77.     Any club member may submit software to SNI, for evaluation. If the
  78.     software is accepted, then the club member will continue to receive club
  79.     member sponsorship and group payments, but will also receive 10% royalties
  80.     on all copies of their software sold world-wide.

  82.     Once an authors software has been accepted, our Authors Contract SNI 19493
  83.     must be signed and completed in full. SNI will only start marketing a
  84.     software product,  and paying the author 10% royalties on all sales of
  85.     that product, after this form has been returned and completed with the
  86.     software to be marketed (including the source code, where applicable, to
  87.     prove ownership).

  89.     Signature of contract form SNI 19493 by SNI and by the author, constitutes
  90.     SNI as the distributor for the product and all variations and enhancements
  91.     world-wide on an exclusive basis for six months and thereafter on a non
  92.     exclusive basis.

  94.     SNI shall determine the introductory text reserving the authors copyright
  95.     and SNI's rights, which shall be incorporated in all copies of the product
  96.     originating from SNI. Except for ensuring this precaution, SNI shall be
  97.     under no liability to the author for breaches of copyright by SNI club
  98.     members or other third parties.
  99.  
  100.     SNI guarantee to pay a ten percent royalty (10% of registration cost
  101.     excluding VAT, any handling charges, and postage) to an author on all
  102.     copies of that authors software, registered with SNI by club members
  103.     world-wide. Payment of royalties will be made monthly unless agreed
  104.     otherwise.

  106.     Junior authors may submit software to SNI, but the contract will be made
  107.     between the parent(s) or guardian(s) of the junior author and SNI. Any
  108.     commissions must, for legal reasons, be paid into a bank account in trust
  109.     until the junior author reaches 18 years of age.  SNI will not be held
  110.     responsible for such commissions after they have been paid into the trust
  111.     account.

  113.     Before submitting software to SNI with this contract, please ensure that
  114.     the software is free from all known viruses. The author will be liable
  115.     for all damages arising to SNI and club members for any defect in the
  116.     original product and may be sued for compensation accordingly. To protect
  117.     our club members and the good name of our authors, SNI will submit details
  118.     of any author found to be maliciously including viruses with their
  119.     software to the appropriate authorities.

  124.     All software products submitted to SNI must, of course, advertise Share
  125.     Net International Ltd., and the SNI document disk (which will contain the
  126.     club membership and authors contract documents). The phone number of SNI
  127.     must also be included. Authors are free to use their imagination in
  128.     thinking of ways to encourage potential club members to read the club
  129.     membership and authors contract documents, find out more, and register the
  130.     product. Such front cover adverts must be approved by SNI before release
  131.     of the product.

  133.     All software products submitted to SNI must be free from copyright
  134.     restrictions held by third parties and must be legally marketable. This
  135.     applies to all aspects of the software product including concept, code,
  136.     sound track and graphics. The author will fully compensate SNI for any
  137.     litigation (including all damages payable to third parties and legal costs)
  138.     arising with regard to copyright infringement which is the legal
  139.     responsibility of the author of that software. Please therefore ensure
  140.     that all of your software is original, and does not cause copyright
  141.     infringements.

  143.     SNI recommend that their authors consider taking measures to protect the
  144.     intellectual property in their software, before it is marketed. This is
  145.     particularly important for software products based on a totally new
  146.     concept. SNI do not place any demands on their authors with regard to
  147.     taking of protective measures.
  148.  
  149.     SNI do not place a limit on the number of products marketed for an author,
  150.     but reserve the right to select which ones they deem suitable, and to
  151.     request quality or functional enhancements to the software before
  152.     marketing it. When a product is accepted, SNI will use reasonable efforts
  153.     to ensure successful marketing of that product. SNI have entire control
  154.     of the terms and method of marketing and give the author no guarantee of
  155.     the success of the marketing or minimum royalty income. SNI shall be free
  156.     to select the name under which the product will be marketed and all rights
  157.     in the name will remain with SNI.

  159.     In the event of the death of an Author, all commissions payable to that
  160.     author on future sales of their software product(s) can be passed on in
  161.     a will (i.e. to a relative, friend, charity, etc.).

  163.     If required, on payment of a standard fee by the author, SNI will arrange
  164.     for its auditors to send to the author a certificate verifying the correct
  165.     amount of royalty payments.

  169. 3.  Help our Charities
  170.  
  171.     The board of directors of SNI intend to pay an annual donation to charity.
  172.     We intend to support children's charities, nature and environmental
  173.     charities, and medical research into diseases such as MS, AIDS, etc.

  178. 4.  Conduct and Ethics
  179.  
  180.     To ensure that we all grow as one very successful International Club, we
  181.     must all maintain the highest standards of conduct and ethics. Any author
  182.     or club member found to be bringing the name of SNI, its club members, or
  183.     its authors into disrepute may, at the discretion of SNI, lose their SNI
  184.     membership and its benefits.  To protect our existing club members and
  185.     authors, SNI will almost certainly terminate the membership of any club
  186.     member found to be maliciously spreading one or more software viruses
  187.     and report them to the appropriate authorities.
