  3.                                REAL ESTATE BROKER'S
  4.                                     AGREEMENT

  8.                 This Agreement is made this _______day of _____, 19__ 
  9.         between ________________as ("Principal") and _________________ as 
  10.         Real Estate Broker ("Broker").  
  11.  
  12.                 Whereas, the Principal is the owner of real property with 
  13.         a post office address of ___________________________________ (the 
  14.         "Property").  
  15.  
  16.                 Whereas, the Principal desires to employ the Broker for, 
  17.         and the Broker is willing to act for the Principal in, selling 
  18.         the Property.  
  19.  
  20.                 Now therefore, in consideration of the mutual covenants 
  21.         and promises contained herein, it is agreed as follows: 
  22.  
  23.                 1.  The Principal shall employ the Broker as his 
  24.         exclusive agent to sell the Property for $__________ and upon 
  25.         the other terms and conditions contained herein.  
  26.  
  27.                 2.  The Broker accepts the appointment and shall use his 
  28.         best efforts to procure a ready, willing and able buyer of the 
  29.         Property in accordance with the terms of this Agreement.  
  30.  
  31.                 3.  The Principal shall refer all prospective purchasers 
  32.         of the Property to the Broker.  
  33.  
  34.                 4.  The Principal shall pay the Broker a fee of ______% 
  35.         of the purchase price accepted by the Principal if (a) the Broker 
  36.         procures a buyer ready, willing and able to purchase the Property 
  37.         upon the terms contained in this Agreement or upon other terms 
  38.         acceptable to the Principal; or (b) If the Property is purchased 
  39.         by anyone who was introduced to the Property by the Broker during 
  40.         the time of this Agreement, or any extension thereof, is in full 
  41.         force and effect; or (c) during the term of this Agreement, the 
  42.         Property is sold.

  44.                 5.  This Agreement shall commence on ___________,19__ and 
  45.         terminate on ___________,19__.
