  3.                               INDEPENDENT CONTRACTOR
  4.                                     AGREEMENT

  8.                 AGREEMENT, dated ___________,19__ between 
  9.         _________________________(hereinafter "the Corporation") and 
  10.         _________________________(hereinafter "the Independent 
  11.         Contractor").  
  12.  
  13.                 Now, therefore, the parties hereto agree as follows: 
  14.  
  15.                 1.  EMPLOYMENT.  The Corporation shall employ the 
  16.         Independent Contractor, and the Independent Contractor shall 
  17.         serve the Corporation upon the terms and conditions hereinafter 
  18.         set forth.  
  19.  
  20.                 2.  TERM AND EXTENSION.  The employment of the 
  21.         Independent Contractor hereunder shall commence on 
  22.         ______________, 19__ and shall continue to and including 
  23.         _________________________.  Subject to this Agreement continuing 
  24.         in full force and effect to and including 
  25.         __________________________________, the Independent Contractor 
  26.         shall have the right and option to continue this Agreement 
  27.         hereunder for an additional period commencing 
  28.         ____________,19___ and ending_________,19__ by giving the 
  29.         Corporation written notice not later than___________,19__ of his 
  30.         intentions to do so, and upon his exercising such option, all of 
  31.         the terms and conditions of this Agreement applicable thereto 
  32.         shall continue in full force and effect for such additional 
  33.         period.

  35.                 3.  DUTIES.  During the period or periods of his 
  36.         employment hereunder, the Independent Contractor shall serve the 
  37.         Corporation and shall perform any and all general _________ 
  38.         services for residential property required or requested in 
  39.         connection with their business.  Within the limitations 
  40.         hereinabove provided, the Independent Contractor will render such 
  41.         other advisory services in connection with the ________ services 
  42.         of the Corporation as may be requested from time to time by the 
  43.         officers or directors of the Corporation, without further 
  44.         compensation other than that for which provision is made in this 
  45.         Agreement.

  47.                 4.  TIME REQUIREMENTS.  The Independent Contractor shall 
  48.         devote during the period ending ____________,19__ not more than 
  49.         ______% of his entire time, energy, and skill to the duties of 
  50.         his employment hereunder and shall periodically, or at any time 
  51.         upon the request of the Corporation, submit data as to the time 
  52.         performed.

  54.                 5.  COMPENSATION.  The Corporation shall pay to the 
  55.         Independent Contractor for his services sums in the aggregate 
  56.         amounting to $_______ or ______% per ____________ project, during 
  57.         the period of his employment hereunder.  Such aggregate sums 
  58.         shall be paid upon satisfactory completion of any 
  59.         ______________________ project and from the proceeds received 
  60.         from the client for whom ___________________ services are 
  61.         rendered.

  63.                 6.  INDEMNIFICATION AND HOLD HARMLESS PROVISION.  The 
  64.         Independent Contractor agrees hereby to indemnify and hold 
  65.         harmless the Corporation from any and all claims by the 
  66.         Independent Contractor which may arise out of and in the course 
  67.         of the performance of his duties hereunder.  Any and all claims 
  68.         for unemployment benefits and or claims for workers' compensation 
  69.         benefits are hereby expressly waived by the within Independent 
  70.         Contractor  who agrees to maintain separate policies of 
  71.         liability, health, and accident insurance as may be necessary or 
  72.         required by the Corporation in connection with the performance of 
  73.         its duties herein.

  75.                 7.  RELATIONSHIP BETWEEN PARTIES.  The Independent 
  76.         Contractor is employed by the Corporation only for the purposes 
  77.         and to the extent set forth in this Agreement, and his relation 
  78.         to the Corporation shall, during the period or periods of his 
  79.         employment and services hereunder, be that of an independent 
  80.         contractor.  The Independent Contractor shall be free to dispose 
  81.         of such portion of his entire time, energy, and skill during 
  82.         regular business hours as he is not obligated to devote hereunder 
  83.         to the Corporation in such manner as he sees fit and to such 
  84.         persons, firms, or corporations as he deems advisable.  The 
  85.         Independent Contractor shall not be considered as having an 
  86.         employee status or as being entitled to participate in any plans, 
  87.         arrangements, or distributions by the Corporation pertaining to 
  88.         or in connection with any insurance, pension, stock, bonus, 
  89.         profit-sharing, or similar benefits for their regular employees.

  91.                 8.  PROFESSIONAL RESPONSIBILITY.  Nothing in this 
  92.         Agreement shall be construed to interfere with or otherwise 
  93.         affect the rendering of services by the Independent Contractor in 
  94.         accordance with his independent and professional judgment.  The 
  95.         Independent Contractor shall perform his services in a good and 
  96.         workmanlike manner and in accordance with generally accepted 
  97.         ________________ practices.

  99.                 9.  ENTIRE AGREEMENT.   The within Agreement shall be 
  100.         construed in accordance with _______________________(State) law 
  101.         and shall constitute the entire Agreement between the parties.
