  5.                               CLACOM LICENSE AGREEMENT
  6.                               ------------------------

  8.           This legal  document is  an agreement  between you, the end user,
  9.           and GAP  Development Company.    By  using  the  CLACOM  software
  10.           (the "SOFTWARE") provided  by GAP  Development Company, you agree
  11.           to become  bound by  the terms  of this agreement, which includes
  12.           the software license and the disclaimer of warranty.
  13.  
  14.           This agreement constitutes the complete agreement between you and
  15.           GAP Development  Company.   If you  do not  agree to the terms of
  16.           this agreement,  promptly return  the disks  and other items that
  17.           are part of this product.
  18.  
  19.           The SOFTWARE  may not  be copied,  reproduced, disclosed,  trans-
  20.           ferred, or  reduced to  any form,  including electronic medium or
  21.           machine readable  form, or  transmitted or  publicly performed by
  22.           any  means,  electronic  or  otherwise,  unless  GAP  Development
  23.           Company consents in writing, in advance.

  25.           The SOFTWARE  contains valuable  trade  secrets  and  proprietary
  26.           information and  is protected by federal copyright laws. Unautho-
  27.           rized use  of the  software  can  result  in  civil  damages  and
  28.           criminal prosecution.
  29.  
  30.           You may  use the  SOFTWARE on a single computer only. You may not
  31.           network the  SOFTWARE or  otherwise  use  it  on  more  than  one
  32.           computer or terminal at the same time.
  33.  
  34.           YOU MAY  NOT COPY  the SOFTWARE except to place the programs onto
  35.           your hard  disk and  to make  archival backup  copies onto floppy
  36.           disks for your personal use as permitted by this License. You may
  37.           not copy the written materials accompanying the software. You may
  38.           not grant  sublicenses  nor  transfer  the  SOFTWARE  or  related
  39.           materials in  any form  to  any  person  unless  GAP  Development
  40.           Company consents in writing, in advance.

  42.           Registration of the SOFTWARE is REQUIRED as a condition of use.

  44.           You are  granted a  royalty-free right  to distribute  executable
  45.           files created using the SOFTWARE.  You may not, under any circum-
  46.           stances distribute  any part of the SOFTWARE with your executable
  47.           files.

  49.           If you  purchased the  SOFTWARE SOURCE  CODE, you  are granted  a
  50.           nonexclusive, personal, nontransferable, nonassignable license to
  51.           use and  modify the  SOURCE CODE and to distribute your programs.
  52.           You may  not reproduce  or distribute  the SOURCE  CODE except in
  53.           executable  form   as  part  of  your  executable  file.  If  you
  54.           distribute your  source code,  you may  not include  the SOFTWARE
  55.           SOURCE CODE as part of your product.

  57.           This License  is effective  until terminated.  This License  will
  58.           terminate automatically  if you fail to comply with any provision
  59.           of this License.

  63.           Any Demo Programs or Example Files that are distributed as a part
  64.           of CLACOM  are the  property of  GAP Development  Company and GAP
  65.           Development Company  reserves the  right to  use any  source code
  66.           that is provided with these Demo Programs or Example Files in its
  67.           own programs  and such  use will NOT infringe upon any Copyrights
  68.           or TradeMarks  you may  place upon  your programs  that  use  the
  69.           CLACOM Library, the Demo Programs, or Example Files.

  71.           The GTERM  (Terminal Emulation)  Program that  is  supplied  with
  72.           CLACOM is  the exclusive  property of GAP Development Company. It
  73.           may not, under ANY circumstances be marketed "as is" by any other
  74.           individual or company without express written permission from GAP
  75.           Development Company.
  76.  
  77.           Government End  Users: If CLACOM is acquired by or on behalf of a
  78.           unit or  agency of  the United  States Government, this provision
  79.           applies. This GAP Development Software:
  80.  
  81.           a)  was  developed  at  private  expense,  is  existing  computer
  82.               software, and  no part  of it  was developed  with government
  83.               funds,
  84.           b)  is a trade secret of GAP Development Company for all purposes
  85.               of the Freedom of Information Act,
  86.           c)  is "restricted  computer software"  submitted with restricted
  87.               rights in  accordance with  sub-paragraphs (a) through (d) of
  88.               the Commercial  Computer Software  - Restricted Rights clause
  89.               at 52.227-19 and its successors,
  90.           d)  in all  respects is  proprietary data belonging solely to GAP
  91.               Development Company,
  92.           e)  is  unpublished   and  all  rights  are  reserved  under  the
  93.               copyright laws of the United States.

  96.           SUMMARY OF LIMITED WARRANTY:

  98.           In summary, the SOFTWARE is licensed AS IS.  THERE ARE NO WARRAN-
  99.           TEES, EXPRESS  OR IMPLIED,  INCLUDING  BUT  NOT  LIMITED  TO  THE
  100.           IMPLIED  WARRANTIES   OF  MERCHANTABILITY   AND  FITNESS   FOR  A
  101.           PARTICULAR PURPOSE,  AND ALL  SUCH WARRANTIES  ARE EXPRESSLY  AND
  102.           SPECIFICALLY DISCLAIMED.   IN NO EVENT SHALL GAP DEVELOPMENT COM-
  103.           PANY BE  RESPONSIBLE FOR  ANY INDIRECT,  SPECIAL,  INCIDENTAL  OR
  104.           CONSEQUENTIAL DAMAGES  OR LOST PROFITS TO YOU OR ANY OTHER PERSON
  105.           OR ENTITY  REGARDLESS OF  THE LEGAL  THEORY, EVEN IF WE HAVE BEEN
  106.           ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  108.           No dealer,  company or  person is  authorized to  expand or alter
  109.           either these  warranties or  this agreement; any such representa-
  110.           tion will not bind GAP Development Company.

  114.                               REGISTRATION INFORMATION
  115.                               ------------------------

  118.           CLACOM is  a professional  Communications Library for programmers
  119.           using  the  Clarion  Database  Developer.  It  supports  standard
  120.           Communications Ports  as well  as  DigiBoard  Intelligent  serial
  121.           cards  and  Fossil  Drivers.  Internal  File  Transfer  Protocols
  122.           include all  variations of  Xmodem and  Ymodem  as  well  as  the
  123.           popular Zmodem protocol.
  124.  
  125.           CLACOM is  a Commercial  Program  that  is  also  distributed  as
  126.           'shareware'.   Shareware is  a means  by which  users may  'test-
  127.           drive' software before purchasing.  Generally, it allows the user
  128.           to evaluate  the software  for a  period of  30 days.   After the
  129.           evaluation period  the user  must either  register the product or
  130.           cease using it.

  132.           The shareware  version of  CLACOM is  identical to the registered
  133.           version with  the exceptions that the Registered Version supports
  134.           Zmodem and  Clarion's Protected  Mode. In  addition to the Zmodem
  135.           Module and  the Protected  Mode capability,  a Printed Manual and
  136.           technical support are included with the registered version.
  137.  
  138.           You are  permitted under the terms of the above License Agreement
  139.           to use  CLACOM for  a period  of 30  days without payment. If you
  140.           continue to  use the  product past  the 30 day evaluation period,
  141.           you must register your copy as described below.
  142.  
  143.           Commercial use  of this  software absolutely requires a registra-
  144.           tion within the 30 day period.  Commercial use includes any soft-
  145.           ware written or distributed by you or your company which utilizes
  146.           CLACOM and  which you charge any sum of money for the use of your
  147.           software.  This   includes  shareware   registration,  donations,
  148.           registration fees,  bartering, or any method you use or devise to
  149.           solicit funds from the users of your software.
  150.  
  151.           Commercial use  also includes bundling CLACOM with other software
  152.           even if  that other  software does  not utilize any of the CLACOM
  153.           functions. This  type of  commercial use  is strictly  prohibited
  154.           unless GAP Development Company consents, in writing, to such use.
  155.  
  156.           Registration of  CLACOM is  a one time fee of $199.00. Payment of
  157.           this fee  entitles you to one year of free upgrades, product sup-
  158.           port, the  right to use CLACOM in any executable program you sell
  159.           or distribute,  and a good conscience. You will receive a Printed
  160.           Manual, the  Zmodem module,  Protected Mode  Capability, and  the
  161.           latest version of the library.
