  1.  
  2. "Commercially distribute" means to distribute for money or other
  3. consideration.  It includes copying onto magnetic disks, CD-Roms
  4. or any other tangible medium now or subsequently known, and
  5. distribution by retail rack, direct mail, catalog, advertisement,
  6. or trade show.  It does *not* include distribution by any not-
  7. for-profit organization, by any hobby, user or computer interest
  8. group to its members, or electronically by any BBS.

  10. "Program" means this Version 1.0 and its related files (including
  11. this one) distributed by us under the mark "WCanasta"
  12. (collectively, the "Trademark"), as it may be upgraded or
  13. otherwise modified from time-to-time.

  15. Distribution is "non-commercial" when for free, or by any not-for-
  16. profit corporation or tax exempt organization, or by hobby, user or
  17. computer interest group to its members, or by any BBS.

  19. A. OWNERSHIP:  Except to the extent expressly licensed by us, we
  20. have and reserve the exclusive copyright and other right, title
  21. and interest to distribute the Program and all earlier versions
  22. of it.

  24. B. THINGS YOU MUST DO:  You may Commercially Distribute the Program
  25. under this License so long as you:
  26.  [1] Market it as shareware using "try before you buy" or similar words,
  27.  [2] Try to sell only the most current version of it,
  28.  [3] Make distribution copies only from master copies received directly
  29.      from us using high quality disks and duplication technology,
  30.  [4] Distribute the complete Program including all of its related files,

  35. C. THINGS YOU CANNOT DO:  You may not commercially distribute the

  37.   [1] You may NOT sell WCanasta in a retail location without a
  38.       signed royalty agreement.
  39.   [2] You may NOT sell WCanasta on a CDROM without a signed 
  40.       royalty agreement.

  42. D. Your right to distribute under this license is personal, and
  43. does not include any right to [1] sublicense or otherwise cause
  44. any copying or distribution of the Program by anyone else without
  45. our consent in writing, or [2] rent or lease the Program, or
  46. [3] sell it as part of any hardware or software package.

  48. E. THE PROGRAM IS PROVIDED "AS-IS".  NO WARRANTIES OF ANY KIND,
  49. EXPRESS OR IMPLIED, ARE MADE AS TO IT OR ANY MEDIUM IT MAY BE ON. 
  50. WE WILL PROVIDE NO REMEDY FOR INDIRECT, CONSEQUENTIAL, PUNITIVE
  51. OR INCIDENTAL DAMAGES ARISING FROM IT, INCLUDING SUCH FROM
  52. NEGLIGENCE, STRICT LIABILITY, OR BREACH OF WARRANTY OR CONTRACT,
  53. EVEN AFTER NOTICE OF THE POSSIBILITY OF SUCH DAMAGES.

  55. F. TERM:  This License terminates upon 30 days prior written notice
  56. by either us to the other.  If terminated by us by such notice, you
  57. may distribute the Program until the earlier of 30 days after the
  58. termination date in the notice, or completion of the distribution
  59. of the copies you have in stock.  Sections A, D and H will survive
  60. the termination of this License.

  62. H. MISCELLANY
  63.  [1] Since we would be irreparably damaged if Section A, B, C or D
  64.      of this License were not specifically enforced, we will be
  65.      entitled without bond, other security or proof of damages, to
  66.      appropriate equitable remedies with respect to breaches of such
  67.      sections, in addition to such other remedies as we may have.

  69.      agents harmless from damage, loss and expense arising directly or
  70.      indirectly from your acts and omissions in copying and
  71.      distributing the Program.

  73.      consent to the exclusive jurisdiction and venue of the state
  74.      and federal courts sitting in San Francisco, California, and to 
  75.      service by certified mail, return receipt requested, or as 
  76.      otherwise permitted by law.
