  6.               Article I - Name
  7.  
  8. The name of this organization is CCP/M, The 
  9. Connecticut CP/M Users' Group.
  10.  
  11.     Article II - Purposes and Limitations
  12.  
  13. Section A) Purposes
  14.  
  15. 1. To encourage enthusiasm, and to foster 
  16. common interest in the personal computer as 
  17. an information processor for personal, 
  18. business and entertainment use
  19.  
  20. 2. To expand knowledge of computers and 
  21. computer programs while learning from others 
  22. by sharing their experiences
  23.  
  24. 3. To provide support and encouragement to 
  25. all owners of CP/M and CP/M-compatible 
  26. computers and to support the uses and 
  27. implementation of extensions to CP/M (Z- 
  28. System).
  29.  
  30. Section B) Limitations
  31.  
  32. This organization shall not engage in any 
  33. activities that are not in furtherance of the 
  34. purposes stated in this article.
  35.  
  36. This organization will neither support nor 
  37. condone any violation of copyright law or 
  38. software licensing provisions.
  39.  
  40. Section C)  This organization is not 
  41. affiliated with Digital Research and 
  42. recognizes that CP/M is a registered 
  43. trademark of Digital Research.
  44.  
  45.     Article III - Dues and Voting Rights
  46.  
  47. Section A) Dues are $15 per year. The 
  48. year is September 1 thru August 31.  Members 
  49. joining after the midpoint of the year (March 
  50. 1) need to pay $7.50 to hold full member 
  51. status til September 1.
  52.  
  53. Section B) Membership shall be composed of 
  54. those individuals current with their dues.
  55.  
  56. Section C) Voting rights shall be vested in 
  57. those individual members who have attended a 
  58. minimum of five meetings and are current with 
  59. their dues.
  60.  
  61. Section D) A vote is considered binding if 
  62. cast by at least a quorum defined as two 
  63. officers plus five members.
  64.  
  65. Section E) Votes on matters published in the 
  66. newsletter may be entered in absentia in the 
  67. following way:  A letter may be sent by a 
  68. member to the Secretary which states which 
  69. way the member wishes to vote.  The Secretary 
  70. will include any such votes when the vote 
  71. takes place at the meeting.
  72.  
  73. Section F) Only voting members may hold 
  74. office.
  75.  
  76. Section G) Dues may be changed, for the next 
  77. dues year, at any meeting by a simple 
  78. majority vote of those voting members present 
  79. and voting.
  80.  
  81.         Article IV - Elected Officers
  82.  
  83. Section A) The elected officers of CCP/M 
  84. are President, Program Coordinator, Treasurer 
  85. and Secretary.
  86.  
  87. Section B) The Executive Board of CCP/M shall 
  88. consist of the elected officers and other 
  89. current appointees.
  90.  
  91. Section C)  The officers are elected at the 
  92. September monthly meeting.
  93.  
  94. Section D) The term of office is one year 
  95. with no limit on re-election.
  96.  
  97. Section E) A special election may be called 
  98. at any time during the year if an officer 
  99. relinquishes his or her office or an officer 
  100. is found to be unable to fulfill his or her 
  101. duties for any reason.
  102.  
  103.        Article V - Appointed Officers
  104.  
  105. Section A) The appointed officers of this 
  106. organization are Newsletter Editor and Public 
  107. Domain Software Librarian.
  108.  
  109. Section B) The elected officers will, in 
  110. September, by a vote of simple majority, fill 
  111. the Public Domain Software Librarian and 
  112. Newsletter Editor positions. An elected 
  113. officer may hold an appointed office.
  114.  
  115.        Article VI - Duties of Officers
  116.  
  117. Section A) The President will 1) preside at 
  118. meetings of the organization 2) sign all 
  119. documents on behalf of the organization 3) 
  120. encourage the members in general to 
  121. participate fully according to their talents.
  122.  
  123. Section B) The Program Coordinator will 1) 
  124. conduct meetings in the President's absence 
  125. 2) assist the President in performing his/her 
  126. duties 3) solicit suggestions for programs of 
  127. interest to members and 4) plan the monthly 
  128. meetings.
  129.  
  130. Section C) The Treasurer will 1) receive and 
  131. disburse all monies of this organization and 
  132. keep an accurate account of them 2) maintain 
  133. a current membership list.
  134.  
  135. Section D) The Secretary has primary 
  136. responsibility for keeping records important 
  137. to CCP/M.  Unless otherwise noted, the copies 
  138. of records maintained by the Secretary are 
  139. considered official. He or she will 1) take 
  140. notes of monthly meetings and submit them for 
  141. publication in the newsletter  2) preserve 
  142. all documents, records papers etc.  of this 
  143. organization.
  144.  
  145. Section E) The Newsletter Editor will 1) 
  146. solicit, write and edit articles for 
  147. publication in the newsletter and 2) ensure 
  148. that the newsletter is published.
  149.  
  150. Section F) The Public Domain Software 
  151. Librarian will keep, organize and distribute 
  152. all programs (disk and hardcopy) in the CCP/M 
  153. software library.
  154.  
  155. Section G) All vacancies in any office will 
  156. be filled as soon as possible.  If a vacancy 
  157. occurs in the office of President, the 
  158. Program Coordinator will serve as President 
  159. for the remainder of the unexpired term.  Any 
  160. other vacancies, including the vacancy in the 
  161. Program Coordinator's position created by a 
  162. vacancy in the President's office, will be 
  163. filled by a majority vote of the paid-up 
  164. membership.

  166.   Article VII - Nominations and Committees
  167.  
  168. Section A) The President will accept 
  169. nominations for elected positions in CCP/M 
  170. submitted before August 1st of each year. The 
  171. nominations will be announced at the August 
  172. regular meeting.
  173.  
  174. Section B) The President may authorize "ad- 
  175. hoc" committees as he/she deems necessary.
  176.  
  177.       Article VIII - Meetings of CCP/M
  178.  
  179. Section A) There will be a monthly meeting of 
  180. CCP/M to be held at a published time and 
  181. place.
  182.  
  183. Section B)  Special meetings of CCP/M may 
  184. occur on occasion which take advantage of the 
  185. joint interests of CCP/M and other similar 
  186. organizations.
  187.  
  188.          Article IX - Rules of Order
  189.  
  190. Robert's Rules of Order govern CCP/M in all 
  191. cases in which they apply and in which they 
  192. do not confict with these Bylaws.
  193.  
  194.      Article X - Assets and Dissolution
  195.  
  196. Section A) Upon dissolution of CCP/M, the 
  197. officers will select charitable, scientific 
  198. or educational organization(s) and donate to 
  199. them the funds that remain after all debts 
  200. are paid.
  201.  
  202. Section B)  No part of CCP/M's net assets 
  203. will inure to the benefit of any member of 
  204. CCP/M except as reasonable compensation for 
  205. services rendered.

  207.            Article XI - Amendments
  208.  
  209. Proposed amendments to the Bylaws must be 
  210. submitted in writing by an interested member 
  211. to the elected officers.  These proposed amendments 
  212. will be published in the next newsletter. A 
  213. two-thirds majority of the voting members at 
  214. the following monthly meeting is required to 
  215. adopt a proposed amendment.
