  2.                        Bylaws   of   CCP/M
  3.  
  4. Article I - Name
  5.  
  6. The name of this organization shall be the Connecticut CP/M 
  7. Users' Group, hereinafter referred to as CCP/M.
  8.  
  9. Article II - Purposes and Limitations
  10.  
  11. Section A)  The purposes of CCP/M are:
  12.  
  13. 1. to encourage enthusiasm, and to foster common interest in the 
  14. personal  computer  as  an information  processor  for  personal, 
  15. business and entertainment use
  16.  
  17. 2. to expand knowledge of computers and computer programs  while 
  18. learning from others by sharing their experiences
  19.  
  20. 3.  to  provide support and encouragement to all owners  of CP/M- 
  21. based  machines  and to support the uses  and implementation  of 
  22. extensions to CP/M (Z System and the like).
  23.  
  24. Section B)  This organization shall be limited in that:
  25.  
  26. 1.  this organization shall not engage in any activities that are 
  27. not in furtherance of the purposes stated in this article.
  28.  
  29. 2.  this organization will neither support nor condone any 
  30. violation of copyright law or software licensing provisions.
  31.  
  32. Section  C)   This organization is not affiliated with Digital 
  33. Research and recognizes that CP/M is a registered trademark of 
  34. Digital Research.
  35.  
  36. Article III -  Membership Rights and Responsibilities
  37.  
  38. Section  A)  Dues will be $15 per year.  The year is September 1 
  39. thru August 31.  Members joining after the midpoint of the year 
  40. (March 1) need to pay $7.50 to hold full member status til 
  41. September 1.
  42.  
  43. Section B)  Membership shall be composed of those individuals 
  44. current with their dues.
  45.  
  46. Section  C) Voting rights shall be vested only in  those 
  47. individual members who have attended a minimum of five meetings 
  48. and are current with their dues.
  49.  
  50. Section D)  Only voting members may hold office.
  51.  
  52. Section  E)   Dues may be changed, for the next dues year, at any 
  53. meeting by a simple majority vote of those voting members present 
  54. and voting.
  55.  
  56. Article IV - Elected Officers
  57.  
  58. Section A)  The elected officers of CCP/M shall be the President, 
  59. Program Coordinator, Treasurer and Secretary.
  60.  
  61. Section A1)  The Executive Board of CCP/M shall consist of the 
  62. elected officers and other current appointees.
  63.  
  64. Section  B)   The officers shall be elected at the September 
  65. monthly meeting.
  66.  
  67. Section C)  The term of office shall be one year with no limit on 
  68. re-election.
  69.  
  70. Section  E)  A special election may be called at any time during 
  71. the year if:
  72.  
  73. 1.  An officer relinquishes his or her office, or
  74.  
  75. 2.  An officer is found to be unable to fulfill his or her duties 
  76. for any reason.
  77.  
  78. Article V - Appointed officers
  79.  
  80. Section A)  The appointed officers of this organization shall be 
  81. Newsletter Editor and Public Domain Software Librarian.
  82.  
  83. Section  B)  The elected officers shall, in September, by a vote 
  84. of simple majority, fill the Public Domain Software Librarian and 
  85. Newsletter Editor positions.  An elected officer may hold an 
  86. appointed office.
  87.  
  88. Article VI -  Duties of Officers
  89.  
  90. The duties of the elected and appointed officers include but are 
  91. not limited to the following:
  92.  
  93. Section  A)  The President shall  1) preside at meetings of the 
  94. organization  2) sign all documents on behalf of the organization 
  95. 3)  encourage the members in general to participate fully 
  96. according to their talents.
  97.  
  98. Section B)  The Program Coordinator shall 1) conduct meetings in 
  99. the President's absence  2) assist the President in performing 
  100. his/her duties  3) solicit suggestions for programs of interest 
  101. to members and 4) plan the monthly meetings.
  102.  
  103. Section  C)  The Treasurer shall  1) receive and disburse all 
  104. monies of this organization and keep an accurate account of them 
  105. 2)  maintain a current membership list.
  106.  
  107. Section C1)  The Secretary shall have primary responsibility for 
  108. keeping records important to CCP/M.  Unless otherwise noted, the 
  109. copies of records maintained by the Secretary will be considered 
  110. official.  [S|H]e shall 1)  take notes of monthly meetings and 
  111. submit them for publication in the newsletter   2)  preserve all 
  112. documents, records papers etc. of this organization.
  113.  
  114. Section  D)   The Newsletter Editor shall  1)  solicit, write and 
  115. edit articles for publication in the newsletter  and 2)  ensure 
  116. that the newsletter is published.
  117.  
  118. Section  E)   The Public Domain Software Librarian shall keep, 
  119. organize and distribute all programs (disk and hardcopy) in the 
  120. CCP/M software library.
  121.  
  122. Section  F)  All vacancies in any office shall be filled as soon 
  123. as possible as follows:
  124.  
  125. 1.   If a vacancy occurs in the office of President, the Program 
  126. Coordinator shall serve as President for the remainder of the 
  127. unexpired term.
  128.  
  129. 2.  Any other vacancies, including the vacancy in the Program 
  130. Coordinator's position created by a vacancy in the President's 
  131. office, shall be filled by a majority vote of the paid-up 
  132. membership.
  133.  
  134. Article VII  -  Nominations and Committees
  135.  
  136. Section A)  The President will accept nominations, for elected 
  137. positions in CCP/M, submitted before August 1st of each year. The 
  138. nominations will be announced at the August regular meeting.
  139.  
  140. Section  B)  The President may authorize "ad-hoc" committees as 
  141. he/she deems necessary.
  142.  
  143. Article VIII -  Meetings of CCP/M
  144.  
  145. Section  A)  There will be a monthly meeting of CCP/M to be held 
  146. at a published time and place.
  147.  
  148. Section  B)   Special meetings of CCP/M shall occur on occasion 
  149. which take advantage of the joint interests of CCP/M and other 
  150. similar organizations.
  151.  
  152. Article IX - Rules of Order
  153.  
  154. Robert's Rules of Order shall govern CCP/M in all cases in which 
  155. they apply and in which they do not confict with these Bylaws.
  156.  
  157. Article X - Dedication of assets and dissolution
  158.  
  159. Section A)  Upon the dissolution of CCP/M, the officers shall 
  160. select charitable, scientific or educational organization(s) and 
  161. donate to them the funds that remain after all debts are paid.
  162.  
  163. Section  B)   No part of CCP/M's net assets shall inure to the 
  164. benefit of any member of CCP/M except as reasonable compensation 
  165. for services rendered.
  166.  
  167. Article XI  -  Amendments
  168.  
  169. The following procedure shall be followed in amending the Bylaws 
  170. of CCP/M:
  171.  
  172. 1.   Proposed amendments to the Bylaws shall be submitted in 
  173. writing by an interested member to the elected officers.
  174.  
  175. 2.   These proposed amendments shall be published in the next 
  176. newsletter.
  177.  
  178. 3.  A two-thirds majority of the voting members at the following 
  179. monthly meeting will adopt the proposed amendments.
