  2.                               TERMS AND CONDITIONS

  4. THESE TERMS AND CONDITIONS GOVERN YOUR USE OF TELENET'S PC PURSUIT ACCESS
  5. SERVICE.
  6.  
  7. 1. PC PURSUIT
  8.  
  9.         (A) The PC Pursuit access service allows you to use Telenet's Public
  10.         Data Network 24 hours a day to access any database or bulletin board
  11.         system which is accessible via the PC Pursuit network.
  12.  
  13.         (B) You agree to access and use these databases and bulletin boards only
  14.         in the manner permitted by them. Telenet is not liable or responsible
  15.         for any claim or other action against you by any third party, including
  16.         the owner of the databases or bulletin boards that you are not
  17.         authorized to access, or that you use in an unauthorized manner. You
  18.         agree to indemnify Telenet against any claim or other action taken
  19.         against Telenet by a third party based on your unauthorized use or
  20.         access to any database or bulletin board.
  21.  
  22. 2. COST OF PC PURSUIT
  23.  
  24.         (A) There is a one-time registration fee of Twenty-five Dollars ($25)
  25.         for PC Pursuit.
  26.  
  27.         (B) You will be billed $25 a month by Telenet for each month that you
  28.         have PC Pursuit access service. This flat rate entitles you to use PC
  29.         Pursuit between the hours of 6:00 PM and 7:00 AM, prevailing local
  30.         time, Monday through Thursday and from 6:00 PM Friday to 7:00 AM
  31.         Monday, and all day New Years's Day, July 4th, Labor Day, Thanksgiving,
  32.         and Christmas. There will be no other charge to you by Telenet for
  33.         using PC Pursuit during these hours.
  34.  
  35.         (C) If you use PC Pursuit between 7:00 AM and 6:00 PM, prevailing local
  36.         time, Monday through Friday, you will be billed for your actual connect
  37.         time and your kilopacket per hour of use in excess of 1.2 kilopackets
  38.         per hour. Any kilopackets in excess of that amount will be billed at
  39.         $1.70 per kilopacket/hour. (A packet has a billable length of up to 128
  40.         characters.) The cost of connect time is based on whether you are
  41.         calling from a Class A Service location which will be billed at $10.50
  42.         per hour of connect time, or from a Class B or C service location which
  43.         will be billed at $14 per hour. Service location classifications are
  44.         determined by the Telenet network access center sizes, with the larger
  45.         cities generally being Class A service locations. A full listing of
  46.         Class A, B, or C service locations is included under separate cover.
  47.         There is a minimum charge period of two minutes for each connection.
  48.  
  49.         (D) There will be a $5.00 fee for issuing a new ID/password to replace
  50.         your original one.
  51.  
  52.         (E) The registration fee and your monthly fee will be billed to the VISA
  53.         or MasterCard account that you provided to Telenet when you signed up
  54.         for PC Pursuit. Your use of PC Pursuit is subject to approval of your
  55.         credit card.
  56.  
  57.         (F) There may be charges to you for the use of databases or bulletin
  58.         boards to which you gain access through PC Pursuit. These charges, if
  59.         any, will be billed to you by those databases or bulletin boards, and
  60.         not by Telenet.
  61.  
  62. 3. HARDWARE
  63.  
  64.         To use PC Pursuit, you must have a modem and a computer or
  65.         terminal. You are responsible for obtaining the appropriate
  66.         equipment and for maintaining it. Telenet is not responsible for
  67.         the proper functioning of your equipment.
  68.  
  69. 4. TERMS OF AGREEMENT
  70.  
  71.         This Agreement will be effective from the date you are assigned an
  72.         ID/password by Telenet. You may cancel your use of PC Pursuit and
  73.         terminate this Agreement by giving Telenet thirty (30) days written
  74.         notice.
  75.  
  76.         Telenet shall have the right to terminate your use of PC Pursuit
  77.         immediately and without prior notice to you in the event that,
  78.  
  79.         (A) Telenet has been notified that your credit card has been
  80.         suspended or revoked, or
  81.  
  82.         (B) you have used PC Pursuit in a fashion injurious to other PC
  83.         Pursuit customers or Telenet customers, or
  84.  
  85.         (C) you have violated any of Telenet's rules and regulations, or
  86.  
  87.         (D) you have assigned or transferred your ID/password to another,
  88.         or
  89.  
  90.         (E) you have resold or attempted to resell or further distribute PC
  91.         Pursuit access services.
  92.  
  93. 5. USE OF PC PURSUIT ACCESS SERVICE
  94.  
  95.         (A) YOU ARE RESPONSIBLE FOR ALL CHARGES TO YOUR ACCOUNT, including
  96.         charges incurred by third parties who have gained unauthorized
  97.         access to your ID/password. Telenet will change your ID/password
  98.         immediately upon receipt of notification of unauthorized use.
  99.  
  100.         (B) You agree that only ONE CONNECTION AT A TIME PER ID IS ALLOWED
  101.         ON PC PURSUIT. Violation of this condition will result in immediate
  102.         termination of your account.
  103.  
  104.         (C) PC Pursuit access services are furnished to you under the
  105.         condition that you will not abuse them or fraudulently use them.
  106.  
  107.         (D) The services furnished under this Agreement shall not be used
  108.         in any way which would be a violation of any law or which would
  109.         assist anyone in the violation of any law.
  110.  
  111. 6. DISCLAIMER OF WARRANTIES; LIMITATION OF LIABILITIES; INDEMNIFICATION
  112.  
  113.         Telenet makes no warranties of any nature or kind, whether
  114.         expressed or implied for the service provided by Telenet or its
  115.         equipment, facilities, or capacities. TELENET SPECIFICALLY
  116.         DISCLAIMS ANY WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A
  117.         SPECIFIC PURPOSE. Telenet shall not be responsible for any damage
  118.         you suffer, whether it is caused be mistake, omission,
  119.         interruption, deletion of files, errors, defects, delays in
  120.         operation or transmission, failure of performance, negligence, or
  121.         otherwise.
  122.  
  123.         You agree to indemnify and hold Telenet harmless against any claim
  124.         arising from your use of your ID/password which causes damage to
  125.         any other party.
  126.  
  127.         The information appearing in the bulletin boards and databases is
  128.         provided by persons who are not affiliated with Telenet. You use
  129.         this information at your own risk. If you provide information to
  130.         others, you agree to indemnify and hold Telenet harmless from all
  131.         claims with respect to the information provided. Telenet reserves
  132.         the right to prohibit access to any bulletin board.
  133.  
  134.         THE FOREGOING WARRANTIES ARE IN LIEU OF ALL OTHER WARRANTIES,
  135.         EXPRESSED OR IMPLIED, FOR THE PC PURSUIT ACCESS SERVICE.
  136.  
  137. 7. OTHER PROVISIONS
  138.  
  139.         (A) Telenet is not responsible for any loss, including loss of data
  140.         resulting from delays or interruption, due to mechanical or
  141.         communications defects or outages, or trouble due to fires, storms,
  142.         strikes or other labor interruptions, acts of God, power shortages
  143.         or outages.
  144.  
  145.         (B) If any part of this agreement is held by a court to be
  146.         unenforceable for any reason, the remaining parts of this Agreement
  147.         will remain in full force or effect.
  148.  
  149.         (C) This Agreement contains the entire Agreement between you and
  150.         Telenet relating to the use of PC Pursuit.
  151.

  155.         (E) This Agreement will be governed by the laws of the Commonwealth
  156.         of Virginia.
  157.  
  158.         (F) All notices pertaining to this Agreement and your use of PC
  159.         Pursuit must be in writing and must be sent, postage prepaid, to
