  2.                 SINGLE USER LICENSE AGREEMENT

  4. PRO CD, INC., COMPACT DISC LICENSE
  5.  
  6. Please read this license carefully before using the software
  7. or accessing the data on the discs. By using the software,
  8. you are agreeing to be bound by the terms of this license. If
  9. you do not agree to the terms of this License, promptly
  10. return the software, discs and User Guide to the place where
  11. you obtained it.
  12.  
  13. 1. License. The application, listing information ("Listings")
  14.    , user guide and software ("Software") accompanying this
  15.    License, whether on disc, in read only memory, or on any
  16.    other media ("the Product") are licensed to you by Pro CD,
  17.    Inc. ("Pro CD"). This License allows you ("You") to use the
  18.    Product, Software and the Listings contained on the
  19.    Product on a single computer. This Product contains
  20.    Software from Dataware Technologies, Inc.  ("Dataware"),
  21.    whose warranties and representations contained herein are
  22.    related solely to the Software. This Product contains
  23.    Listings from International Business Lists, Inc. ("IBL"),
  24.    and Pro CD. Pro CD hereby grants to You and You accept, a
  25.    perpetual, non-transferable, non-exclusive License to use
  26.    the Software and Listings subject to the terms set forth
  27.    herein. Title and all ownership in the Software are and
  28.    shall at all times remain with Dataware.  Title and all
  29.    ownership in the Listings are and shall at all times
  30.    remain with IBL and Pro CD.  Pro CD warrants that it
  31.    has the right to grant the sublicenses granted herein.
  32.    You may not sublicense, assign or transfer this License,
  33.    the Software or the Listings.  Any attempt to sublicense,
  34.    assign or transfer any of the rights, duties or
  35.    obligations hereunder will result in termination of this
  36.    License. YOU SHALL NOT DISTRIBUTE, RENT, SUBLICENSE OR
  37.    LEASE THE Software OR THE LISTINGS OR USE THE SOFTWARE OR
  38.    THE LISTINGS IN A TIMESHARING ENVIRONMENT.  You shall not
  39.    modify, alter, adapt or transfer in whole or part, the 
  40.    Software OR THE LISTINGS including, but not limited to
  41.    translating, decompiling, disassembling, or CREATING
  42.    DERIVIATIVE WORKS of any Software OR LISTINGS provided by
  43.    Pro CD hereunder. A single backup copy of the Software may
  44.    be made in support of the Software's use. All copies of
  45.    the Software shall contain the following copyright notice:
  46.    "Copyright (c) 1987, 1992, 1993 Dataware Technologies,
  47.    Inc.".

  49. 2. Restrictions.  The Product, including the Listings,
  50.    constitutes licensed material, trade secrets, and other
  51.    proprietary material and in order to protect them you may
  52.    not decompile, reverse engineer, dissemble or otherwise
  53.    reduce the data contained on the Product to a human-
  54.    perceivable form, except as permitted by the Software. You
  55.    may not modify, rent, loan, lease, distribute or create
  56.    derivative works based on the Product in whole or in part.
  57.    YOU SPECIFICALLY AGREE NOT TO SELL, LEASE, LOAN or PROVIDE
  58.    THE LISTINGS TO OTHER. FURTHERMORE, YOU AGREE NOT TO
  59.    TRANSFER THE LISTINGS TO ANY OTHER COMPUTER OTHER THAN THE
  60.    COMPUTER YOU USED TO ACCESS THE PRODUCT.

  62. 3. Termination This License is effective until terminated.
  63.    You may terminate this License at any time by destroying
  64.    the Product and all copies of the Listings. The License
  65.    will terminate immediately without notice from Pro CD if
  66.    you fail to comply with any provision of this License.
  67.    Upon termination you must destroy the Product, including
  68.    copies of the Listings and all copies in any form thereof
  69.    and provide Pro CD with an affidavit of destruction
  70.    confirming that this has been done.

  72. 4. Export Law Assurances. You agree that neither the
  73.    Software, Listings, discs nor any other derivative
  74.    material obtained from the Product will be exported
  75.    outside the United States, except as authorized and
  76.    permitted by the laws and regulations of the United
  77.    States. If the Product has been obtained outside of the
  78.    United States, you agree that you will not re-export the
  79.    Software, Listings, discs or any data received from the
  80.    discs, except as permitted by the laws and regulations of
  81.    the United States and the laws and regulations of the
  82.    jurisdiction in which you obtained the Software and discs.

  84. 5. Limited Warranty on Media. Pro CD warrants the compact
  85.    discs on which the Software and Listings are recorded to
  86.    be free from defects in materials and workmanship under
  87.    normal use for a period of ninety (90) days from the date
  88.    of delivery. Pro CD's, IBL's, and Dataware's entire
  89.    liability and your exclusive remedy will be the
  90.    replacement of the compact disc not meeting Pro CD's
  91.    limited warranty and which is returned to Pro CD or an
  92.    authorized Pro CD representative. Pro CD will have no
  93.    responsibility to replace a compact disc damaged by
  94.    accident, abuse or misapplication. Pro CD, IBL, and
  95.    Dataware do not warrant that the Product will meet Your
  96.    requirements or that it will operate in an error free
  97.    manner. Except as provided above, Pro CD, IBL, and
  98.    Dataware make no warranty or representation, either
  99.    express or implied, with respect to the Product, including
  100.    its quality, performance, merchantability or fitness for a
  101.    particular purpose. The warranty set forth above is
  102.    exclusive and in lieu of all others, oral, written,
  103.    express or implied. No Pro CD dealer, distributor, agent or
  104.    employee is authorized to make any modification or
  105.    addition to this warranty. In no event will Pro CD, IBL,
  106.    or Dataware be liable for direct, indirect, special,
  107.    incidental, punitive, exemplary or consequential damages
  108.    arising out of the use or inability to use the Product,
  109.    whether based upon contract, negligence, strict liability
  110.    or otherwise, even if advised of the possibility of such
  111.    damages. Specifically, Pro CD, IBL, and Dataware are
  112.    not responsible for any costs, including but not limited
  113.    to, those incurred as the result of lost profits or
  114.    revenue, loss of use of the computer program, loss of
  115.    data, the cost of recovering such programs or data, the
  116.    cost of any substitute program, claims by third parties,
  117.    or for other similar costs. In no case shall liability
  118.    exceed $10.

  120. 6. Controlling Law and Severability. This License shall be
  121.    governed by and construed in accordance with the laws of
  122.    the United States of America and the Commonwealth of
  123.    Massachusetts, as applied to agreements entered into and
  124.    to be performed entirely within Massachusetts between
  125.    Massachusetts residents. If for any reason a court of
  126.    competent jurisdiction finds any provision of this
  127.    License, or portion thereof, to be unenforceable, that
  128.    provision of the License shall be enforced to the maximum
  129.    extent permissible so as to effect the intent of the
  130.    parties, and the remainder of this License shall continue
  131.    in full force and effect.

  133. 7. Use of the Product. You agree to use the Product in
  134.    accordance with local, state, and federal laws, which may
  135.    limit Your use of the Product for certain applications
  136.    such as direct marketing and other uses.

  138. 8. Complete Agreement. This License constitutes the entire
  139.    agreement between the parties with respect to the use of
  140.    the Software, discs, Listings, and the User Guide, and
  141.    supersedes all prior or contemporaneous understanding or
  142.    agreements, written or oral, regarding such subject
  143.    matter. No amendment to or modification of this License
  144.    will be binding unless in writing and signed by a duly
  145.    authorized representative of Pro CD.
