  8. BROWSEFAST END USER LICENSE AGREEMENT
  9. REDISTRIBUTION NOT PERMITTED
  10.  
  11. This Agreement has 3 parts.  Part I applies if you have 
  12. not purchased a license to the accompanying software 
  13. (the "Software").  Part II applies if you have 
  14. purchased a license to the Software.  Part III applies 
  15. to all license grants.  If you initially acquired a copy 
  16. of the Software without purchasing a license and you 
  17. wish to purchase a license, contact BrowseFast 
  18. on the Internet at http://www.browsefast.com
  19.  
  20. PART I -- TERMS APPLICABLE WHEN LICENSE FEES NOT (YET) PAID (LIMITED
  21. TO EVALUATION, EDUCATIONAL AND NON-PROFIT USE) GRANT.
  22.  
  23. Satisfaction Software, Inc. grants you a non-exclusive license to use the 
  24. Software free of charge if (a) you completed the performance test 
  25. and emailed the results to us, or
  26.  (b) your use of the Software is for the purpose of 
  27. evaluating whether to purchase an ongoing license to the 
  28. Software.  The evaluation period for use by or on behalf 
  29. of a commercial entity is limited to 10 days.
  30. Government agencies (other than public libraries) are 
  31. not considered educational or charitable non-profit 
  32. organizations for purposes of this Agreement.  If you 
  33. are using the Software free of charge, you are not 
  34. entitled to hard-copy documentation, support or 
  35. telephone assistance.  If you fit within the description 
  36. above, you may use the Software in the manner described 
  37. in Part III below under "Scope of Grant." 
  38.  
  39. DISCLAIMER OF WARRANTY.
  40.  
  41. Free of charge Software is provided on an "AS IS" 
  42. basis, without warranty of any kind, including without 
  43. limitation the warranties of merchantability, fitness 
  44. for a particular purpose and non-infringement.  The 
  45. entire risk as to the quality and performance of the 
  46. Software is borne by you.  Should the Software prove 
  47. defective, you and not Satisfaction Software, Inc. assume the entire cost 
  48. of any service and repair.  In addition, the security 
  49. mechanisms implemented by Satisfaction Software, Inc. software have 
  50. inherent limitations, and you must determine that the 
  51. Software sufficiently meets your requirements.  This 
  52. disclaimer of warranty constitutes an essential part of 
  53. the agreement.  SOME JURISDICTIONS DO NOT ALLOW 
  54. EXCLUSIONS OF AN IMPLIED WARRANTY, SO THIS DISCLAIMER 
  55. MAY NOT APPLY TO YOU AND YOU MAY HAVE OTHER LEGAL RIGHTS 
  56. THAT VARY BY JURISDICTION.  
  57.  
  58. PART II -- TERMS APPLICABLE WHEN LICENSE FEES PAID
  59.  
  60. GRANT.  Subject to payment of applicable license fees, 
  61. Satisfaction Software, Inc. grants to you a non-exclusive license to use 
  62. the Software and accompanying documentation 
  63. ("Documentation") in the manner described in Part III 
  64. below under "Scope of Grant." 
  65.  
  66. LIMITED WARRANTY.
  67.  
  68. Satisfaction Software, Inc. warrants that for a period of ninety (90) days 
  69. from the date of acquisition, the Software, if operated 
  70. as directed, will substantially achieve the 
  71. functionality described in the Documentation.  Satisfaction Software, Inc. 
  72. does not warrant, however, that your use of the Software 
  73. will be uninterrupted or that the operation of the 
  74. Software will be error-free or secure.  In addition, the 
  75. security mechanisms implemented by Satisfaction Software, Inc. software 
  76. have inherent limitations, and you must determine that 
  77. the Software sufficiently meets your requirements.  
  78. Satisfaction Software, Inc.'s sole liability for any breach of 
  79. this warranty shall be, in Satisfaction Software, Inc.'s sole discretion: 
  80. (i) to replace your defective media; or (ii) to advise 
  81. you how to achieve substantially the same functionality 
  82. with the Software as described in the Documentation 
  83. through a procedure different from that set forth in the 
  84. Documentation; or (iii) if the above remedies are 
  85. impracticable, to refund the license fee you paid for 
  86. the Software.  Repaired, corrected, or replaced Software 
  87. and Documentation shall be covered by this limited 
  88. warranty for the period remaining under the warranty 
  89. that covered the original Software, or if longer, for 
  90. thirty (30) days after the date (a) of shipment to you 
  91. of the repaired or replaced Software, or (b) Satisfaction Software, Inc. 
  92. advised you how to operate the Software so as to achieve 
  93. the functionality described in the Documentation.  Only 
  94. if you inform Satisfaction Software, Inc. of your problem with the Software 
  95. during the applicable warranty period and provide 
  96. evidence of the date you purchased a license to the 
  97. Software will Satisfaction Software, Inc. be obligated to honor this 
  98. warranty.  Satisfaction Software, Inc. will use reasonable commercial 
  99. efforts to repair, replace, advise or, for individual 
  100. consumers, refund pursuant to the foregoing warranty 
  101. within 30 days of being so notified.  
  102.  
  103. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY 
  104. MADE BY SATISFACTION SOFTWARE, INC..  SATISFACTION SOFTWARE, INC. MAKES NO 
  105. OTHER EXPRESS 
  106. WARRANTY AND NO WARRANTY OF NONINFRINGEMENT OF THIRD 
  107. PARTIES' RIGHTS.  THE DURATION OF IMPLIED WARRANTIES, 
  108. INCLUDING WITHOUT LIMITATION, WARRANTIES OF 
  109. MERCHANTABILITY AND OF FITNESS FOR A PARTICULAR PURPOSE, 
  110. IS LIMITED TO THE ABOVE LIMITED WARRANTY PERIOD; SOME 
  111. JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN 
  112. IMPLIED WARRANTY LASTS, SO LIMITATIONS MAY NOT APPLY TO 
  113. YOU.  NO SATISFACTION SOFTWARE, INC. DEALER, AGENT, OR EMPLOYEE IS 
  114. AUTHORIZED TO MAKE ANY MODIFICATIONS, EXTENSIONS, OR 
  115. ADDITIONS TO THIS WARRANTY.  If any modifications are 
  116. made to the Software by you during the warranty period; 
  117. if the media is subjected to accident, abuse, or 
  118. improper use; or if you violate the terms of this 
  119. Agreement, then this warranty shall immediately be 
  120. terminated.  This warranty shall not apply if the 
  121. Software is used on or in conjunction with hardware or 
  122. software other than the unmodified version of hardware 
  123. and software with which the software was designed to be 
  124. used as described in the Documentation.  THIS WARRANTY 
  125. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER 
  126. LEGAL RIGHTS THAT VARY BY JURISDICTION.  
  127.  
  128. PART III -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  129.  
  130. SCOPE OF GRANT.
  131.  
  132. You may:
  133. * use the Software on any single computer;
  134. * use the Software on a network, provided that each
  135.   person accessing the Software through the network
  136.   must have a copy licensed to that person;
  137. * use the Software on a second computer so long as only
  138.   one copy is used at a time;
  139. * copy the Software for archival purposes, provided any
  140.   copy must contain all of the original Software's
  141.   proprietary notices; or
  142. * if you have purchased licenses for a 10 Pack or a 50
  143.   Pack, make up to 10 or 50 copies, respectively, of
  144.   the Software (but not the Documentation), provided
  145.   any copy must contain all of the original Software's 
  146.   proprietary notices.  The number of copies is the
  147.   total number of copies that may be made for all 
  148.   platforms.  Additional copies of Documentation may be 
  149.   purchased.
  150.  
  151. You may not:
  152. * permit other individuals to use the Software except
  153.   under the terms listed above;
  154. * permit concurrent use of the Software;
  155. * modify, translate, reverse engineer, decompile,
  156.   disassemble (except to the extent applicable laws 
  157.   specifically prohibit such restriction), or create 
  158.   derivative works based on the Software;
  159. * copy the Software other than as specified above;
  160. * rent, lease, grant a security interest in, or
  161.   otherwise transfer rights to the Software; or
  162. * remove any proprietary  notices or labels on the
  163.   Software.
  164.  
  165. TITLE.
  166.  
  167. Title, ownership rights, and intellectual property 
  168. rights in the Software shall remain in Satisfaction Software, Inc. and/or 
  169. its suppliers.  The Software is protected by the 
  170. copyright laws and treaties.  Title and related rights 
  171. in the content accessed through the Software is the 
  172. property of the applicable content owner and may be 
  173. protected by applicable law.  This License gives you no 
  174. rights to such content.  
  175.  
  176. TERMINATION.
  177.  
  178. The license will terminate automatically if you fail to 
  179. comply with the limitations described herein.  On 
  180. termination, you must destroy all copies of the Software 
  181. and Documentation.  
  182.  
  183. EXPORT CONTROLS.
  184.  
  185. None of the Software or underlying information or 
  186. technology may be downloaded or otherwise exported or 
  187. reexported (i) into (or to a national or resident of) 
  188. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria 
  189. or any other country to which the U.S.  has embargoed 
  190. goods; or (ii) to anyone on the U.S.  Treasury 
  191. Department's list of Specially Designated Nationals or 
  192. the U.S.  Commerce Department's Table of Denial Orders.  
  193. By downloading or using the Software, you are agreeing 
  194. to the foregoing and you are representing and warranting 
  195. that you are not located in, under the control of, or a 
  196. national or resident of any such country or on any such 
  197. list.  
  198.  
  199. In addition, if the licensed Software is identified as a 
  200. not-for-export product (for example, on the box, media 
  201. or in the installation process), then the following 
  202. applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA 
  203. BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING 
  204. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES 
  205. OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS 
  206. DEFINED BY U.S.  GOVERNMENT REGULATIONS, INCLUDING 
  207. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN, 
  208. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED 
  209. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE 
  210. AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT 
  211. YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF 
  212. A FOREIGN PERSON.  
  213.  
  214. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND 
  215. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, 
  216. SHALL SATISFACTION SOFTWARE, INC. OR ITS SUPPLIERS OR RESELLERS BE LIABLE 
  217. TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, SPECIAL, 
  218. INCIDENTAL, OR CONSEQUENTIAL DAMAGES OF ANY CHARACTER 
  219. INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF 
  220. GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR 
  221. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR 
  222. LOSSES.  IN NO EVENT WILL SATISFACTION SOFTWARE, INC. BE LIABLE FOR ANY 
  223. DAMAGES IN EXCESS OF THE AMOUNT SATISFACTION SOFTWARE, INC. RECEIVED FROM 
  224. YOU FOR A LICENSE TO THE SOFTWARE, EVEN IF SATISFACTION SOFTWARE, INC. 
  225. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH 
  226. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS 
  227. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR 
  228. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW 
  229. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME 
  230. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION 
  231. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS 
  232. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.  
  233.  
  234. HIGH RISK ACTIVITIES.
  235.  
  236. The Software is not fault-tolerant and is not designed, 
  237. manufactured or intended for use or resale as on-line 
  238. control equipment in hazardous environments requiring 
  239. fail-safe performance, such as in the operation of 
  240. nuclear facilities, aircraft navigation or communication 
  241. systems, air traffic control, direct life support 
  242. machines, or weapons systems, in which the failure of 
  243. the Software could lead directly to death, personal 
  244. injury, or severe physical or environmental damage 
  245. ("High Risk Activities").  Satisfaction Software, Inc. and its suppliers 
  246. specifically disclaim any express or implied warranty of 
  247. fitness for High Risk Activities.  
  248.   
  249. MISCELLANEOUS.
  250.  
  251. If the copy of the Software you received was accompanied 
  252. by a printed or other form of "hard-copy" End User 
  253. License Agreement whose terms vary from this Agreement, 
  254. then the hard-copy End User License Agreement governs 
  255. your use of the Software.  This Agreement represents the 
  256. complete agreement concerning this license and may 
  257. amended only by a writing executed by both parties.  THE 
  258. ACCEPTANCE OF ANY PURCHASE ORDER PLACED BY YOU IS 
  259. EXPRESSLY MADE CONDITIONAL ON YOUR ASSENT TO THE TERMS 
  260. SET FORTH HEREIN, AND NOT THOSE IN YOUR PURCHASE ORDER.  
  261. If any provision of this Agreement is held to be 
  262. unenforceable, such provision shall be reformed only to 
  263. the extent necessary to make it enforceable.  This 
  264. Agreement shall be governed by California law (except 
  265. for conflict of law provisions).  The application the 
  266. United Nations Convention of Contracts for the 
  267. International Sale of Goods is expressly excluded.  
  268.  
  269. U.S.  GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or 
  270. disclosure by the Government is subject to restrictions 
  271. set forth in subparagraphs (a) through (d) of the 
  272. Commercial Computer-Restricted Rights clause at FAR 
  273. 52.227-19 when applicable, or in subparagraph (c)(1)(ii) 
  274. of the Rights in Technical Data and Computer Software 
  275. clause at DFARS 252.227-7013, or at 252.211-7015, or to 
  276. Satisfaction Software, Inc.'s standard commercial license, as applicable, 
  277. and in similar clauses in the NASA FAR Supplement.
