  10. The Template Graphics Software software delivered 
  11. is intended for individual personal use only.

  13. Redistribution is not allowed.
  14.  
  15. CONTACT TGS FOR REDISTRIBUTION LICENSE AND/OR PURCHASE OF THE COMPLETE
  16. TGS WEBSPACE FOR WIN32 PRODUCT(S).
  17.  
  18. GRANT. Template Graphics Software ("TGS") herby grants you a
  19. non-exclusive license to use its accompanying software product
  20. ("Software") free of charge if you are using the software for
  21. 1) evaluation purposes or 2) non-commercial, non-distributed
  22. software applications.  Software applications are considered non-
  23. distributed if they are used soley on the single computer.
  24.  
  25. If you do not fit within the description above, a license fee is due
  26. to TGS and no license is granted. If you are using the Software free of
  27. charge, you will not be entitled to support or telephone
  28. assistance.
  29.  
  30. If you fit within the above description, you may: use the
  31. Software on any single computer; or copy the Software for archival
  32. purposes, provided any copy must contain all of the original
  33. Software's proprietary notices.
  34.  
  35. You may not: permit other individuals to use the Software
  36. except under the terms listed above; modify, translate,
  37. reverse engineer, decompile, disassemble (except to the
  38. extent applicable laws specifically prohibit such
  39. restriction), or create derivative works based on the
  40. Software; copy the Software (except for back-up purposes);
  41. rent, lease, transfer or otherwise transfer rights to the
  42. Software; or remove any proprietary  notices or labels on the
  43. Software.

  45. SOFTWARE. This license does not grant you any right to any
  46. enhancement or update.
  47.  
  48. TITLE. Title, ownership rights, and intellectual property
  49. rights in and to the Software shall remain in TGS.
  50. The Software is protected by the copyright
  51. laws of the United States and international copyright
  52. treaties.  Title, ownership rights, and intellectual property
  53. rights in and to the content accessed through the Software is
  54. the property of the applicable content owner and may be
  55. protected by applicable copyright or other law. This License
  56. gives you no rights to such content.
  57.  
  58. DISCLAIMER OF WARRANTY. Since the Software is provided free
  59. of charge, the Software is provided on an "AS IS" basis,
  60. without warranty of any kind, including without limitation
  61. the warranties of merchantability, fitness for a particular
  62. purpose and non-infringement. The entire risk as to the
  63. quality and performance of the Software is borne by you.
  64. Should the Software prove defective, you and not TGS
  65. assume the entire cost of any service and repair. In
  66. addition, the security mechanism implemented by the Software
  67. has inherent limitations, and you must determine that the
  68. Software sufficiently meets your requirements.  This
  69. disclaimer of warranty constitutes an essential part of the
  70. agreement. SOME STATES DO NOT ALLOW EXCLUSIONS OF AN IMPLIED
  71. WARRANTY, SO THIS DISCLAIMER MAY NOT APPLY TO YOU AND YOU MAY
  72. HAVE OTHER LEGAL RIGHTS THAT VARY FROM STATE TO STATE OR BY
  73. JURISDICTION.

  75. LIMITATION OF LIABILITY. UNDER NO CIRCUMSTANCES AND UNDER NO
  76. LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE, SHALL TGS OR
  77. ITS SUPPLIERS OR RESELLERS BE LIABLE TO YOU OR ANY OTHER
  78. PERSON FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR
  79. CONSEQUENTIAL DAMAGES OF ANY CHARACTER INCLUDING, WITHOUT
  80. LIMITATION, DAMAGES FOR LOSS OF GOODWILL, WORK STOPPAGE,
  81. COMPUTER FAILURE OR MALFUNCTION, OR ANY AND ALL OTHER
  82. COMMERCIAL DAMAGES OR LOSSES. IN NO EVENT WILL TGS BE
  83. LIABLE FOR ANY DAMAGES IN EXCESS OF TGS'S LIST PRICE FOR
  84. A LICENSE TO THE SOFTWARE, EVEN IF TGS SHALL HAVE BEEN
  85. INFORMED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM
  86. BY ANY OTHER PARTY. THIS LIMITATION OF LIABILITY SHALL NOT
  87. APPLY TO LIABILITY FOR DEATH OR PERSONAL INJURY TO THE EXTENT
  88. APPLICABLE LAW PROHIBITS SUCH LIMITATION. FURTHERMORE, SOME
  89. STATES DO NOT ALLOW THE EXCLUSION OR LIMITATION OF INCIDENTAL
  90. OR CONSEQUENTIAL DAMAGES, SO THIS LIMITATION AND EXCLUSION
  91. MAY NOT APPLY TO YOU.

  93. TERMINATION.  This license will terminate automatically if
  94. you fail to comply with the limitations described above.  On
  95. termination, you must destroy all copies of the Software.
  96.  
  97. EXPORT CONTROLS.  None of the Software or underlying
  98. information or technology may be downloaded or otherwise
  99. exported or reexported (i) into (or to a national or resident
  100. of) Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  101. or any other country to which the U.S. has embargoed goods;
  102. or (ii) to anyone on the U.S. Treasury Department's list of
  103. Specially Designated Nationals or the U.S.  Commerce
  104. Department's Table of Deny Orders. By downloading  or using
  105. the Software, you are agreeing to the foregoing and you are
  106. representing and warranting that you are not located in,
  107. under the control of, or a national or resident of any such
  108. country or on any such list.
  109.  
  110. MISCELLANEOUS. This Agreement represents the complete
  111. agreement concerning this license between the parties and
  112. supersedes all prior agreements and representations between
  113. them. It may be amended only by a writing executed by both
  114. parties. If any provision of this Agreement is held to be
  115. unenforceable for any reason, such provision shall be
  116. reformed only to the extent necessary to make it
  117. enforceable.  This Agreement shall be governed by and
  118. construed under California law as such law applies to
  119. agreements between California residents entered into and to
  120. be performed within California, except as governed by Federal
  121. law. The application the United Nations Convention of
  122. Contracts for the International Sale of Goods is expressly
  123. excluded.

  125. U.S. Government Restricted Rights.  Use, duplication or
  126. disclosure by the Government is subject to restrictions set
  127. forth in subparagraphs (a) through (d) of the Commercial
  128. Computer-Restricted Rights clause at FAR 52.227-19 when
  129. applicable, or in subparagraph (c)(1)(ii) of the Rights in
  130. Technical Data and Computer Software clause at DFARS
  131. 252.227-7013, and in similar clauses in the NASA FAR
  132. Supplement.  Contractor/manufacturer is Template Graphics
