  1. SOFTWARE LICENCE AGREEMENT FOR NEUTRON (TM)
  2.  
  3. 1.   Notice.
  4.  
  5. WE ARE WILLING TO LICENSE THE ENCLOSED
  6. SOFTWARE TO YOU ONLY ON THE CONDITION THAT
  7. YOU ACCEPT ALL OF THE TERMS CONTAINED IN THIS
  8. LICENCE AGREEMENT.  PLEASE READ THIS LICENCE
  9. AGREEMENT CAREFULLY BEFORE  OPENING THE
  10. SEALED DISK PACKAGE.  BY OPENING THIS PACKAGE
  11. OR INSTALLING THE SOFTWARE YOU AGREE TO BE
  12. BOUND BY THE TERMS OF THIS AGREEMENT.  IF YOU
  13. DO NOT AGREE TO THESE TERMS WE ARE UNWILLING
  14. TO LICENSE THE SOFTWARE TO YOU AND YOU SHOULD
  15. NOT OPEN THE DISK PACKAGE OR INSTALL THE
  16. SOFTWARE.  IN SUCH CASE, PROMPTLY RETURN THE
  17. UNOPENED DISK PACKAGE AND ALL OTHER  MATERIAL
  18. IN THIS PACKAGE ALONG WITH PROOF OF PAYMENT,
  19. TO THE AUTHORISED DEALER FROM WHOM YOU
  20. OBTAINED IT FOR A FULL REFUND OF THE PRICE
  21. YOU PAID.  IF YOU PURCHASE THIS SOFTWARE
  22. FROM AN AUTHORISED DEALER, PLEASE NOTE THAT
  23. THE DEALER HAS AUTHORITY TO ENTER INTO THIS
  24. AGREEMENT ON OUR BEHALF.
  25.  
  26. 2.   Ownership and License
  27.  
  28. (a)  This is a license agreement and NOT an
  29.      agreement for sale.
  30. (b)  We continue to own the copy of the
  31.      software contained in this package and
  32.      all other copies that you are authorized
  33.      by the Agreement to make (the
  34.      "Software").
  35. (c)  Your rights to use the software are
  36.      specified in this Agreement and we
  37.      retain all rights not expressly granted
  38.      to you in this Agreement.
  39.  
  40. 3.   Permitted Uses
  41.  
  42. You are granted the following rights to the
  43. Software:
  44. (a)  Right to Install and Use
  45.      You may install and use the Software on
  46.      the hard disk drive of any compatible
  47.      computer that you own.
  48. (b)  Right to Copy
  49.      You may copy the Software for FREE
  50.      distribution provided you reproduce our
  51.      copyright notice on each copy; and that
  52.      you do NOT distribute the Software for
  53.      monetary gain or as individual
  54.      components. For clarity this means that
  55.      if you distribute or redistribute the
  56.      Software then it must be distributed
  57.      or redistributed in its entirety, i.e.
  58.      as a complete package and including this
  59.      license agreement. The right to copy the
  60.      Software is limited to the extent that
  61.      it is only used for the purpose for
  62.      which it is originally intended.
  63. (c)  Right to Modify
  64.      You may neither modify the Software nor
  65.      merge it into another computer program.
  66. (d)  Right to Transfer
  67.      You may not sell, rent, lend, or lease
  68.      this Software.  However, you may
  69.      transfer this license to use the
  70.      Software to another party on a permanent
  71.      basis by transferring this copy of the
  72.      license agreement, at least one
  73.      unaltered copy of the Software, and all
  74.      documentation. Such other party shall be
  75.      licensed under the terms of this
  76.      Agreement upon its acceptance of this
  77.      Agreement by its initial use of the
  78.      Software.
  79. (e)  Identity of  Licensee; Purpose of
  80.      License
  81.      This license is personal to the licensee
  82.      identified as the purchaser of the
  83.      software and/or any person  to whom this
  84.      license is transferred in accordance
  85.      with Clause 3(d).  In the case of an
  86.      individual purchaser or authorized
  87.      transferee, the license granted herein
  88.      is for the benefit only of that
  89.      individual.  In the case of a corporate
  90.      purchaser or authorized transferee, the
  91.      license granted herein is for the
  92.      benefit only of that corporation's
  93.      employees and authorized agents.  The
  94.      intended purpose of use of the software
  95.      is as follows:
  96.      NEUTRON is an ATOMIC3D animation
  97.      viewer.
  98.  
  99. 4.   Prohibited Uses
  100.  
  101. You may not, without written permission from
  102. us:
  103.      (a)  Use, store, copy, modify, merge, or
  104.           transfer copies of the Software or
  105.           documentation except as provided in
  106.           this Agreement;
  107.      (b)  Use any back-up or archival copies
  108.           of the Software (or allow anyone
  109.           else to use such copies) for any
  110.           purpose other than to replace the
  111.           original copy in the event it is
  112.           destroyed or becomes defective;
  113.      (c)  Disassemble, decompile or "unlock"
  114.           reverse translate, or in any manner
  115.           decode the Software for any reason
  116.           except as permitted by Article 6 of
  117.           the EU Software Directive
  118.           (91/250/EEC); or
  119.      (d)  Sublicense, sell, lease, or rent
  120.           the Software.

  122. 5.   Limited Warranty
  123. We make the following limited warranties, for
  124. a period of 30  days from the date you
  125. acquired the Software from us, or from our
  126. authorized dealer:
  127. (a)  Media
  128.      The disks and documentation in this
  129.      package will be free from defects in
  130.      materials and workmanship under normal
  131.      use.  If the disks or documentation fail
  132.      to conform to this warranty, you may, as
  133.      your sole and exclusive remedy, obtain
  134.      (at your option) either a replacement
  135.      free of charge or a full refund if you
  136.      return the defective disk or
  137.      documentation to us with a dated proof
  138.      of purchase.
  139. (b)  Software
  140.      The copy of the Software in this package
  141.      will materially conform to the
  142.      documentation that accompanies the
  143.      Software.  If the Software fails to
  144.      operate  in accordance with this
  145.      warranty, you may, as your sole and
  146.      exclusive remedy, return all of the
  147.      Software and the documentation to the
  148.      authorized dealer from whom you acquired
  149.      it, along with a dated proof of
  150.      purchase, specifying the problem, and we
  151.      will provide you either with a new
  152.      version of the Software or a full refund
  153.      (at your option).
  154. (c)  Warranty disclaimer
  155.      We do not warrant that this Software
  156.      will meet your requirements or that its
  157.      operation will be uninterrupted or
  158.      error-free.  We exclude and expressly
  159.      disclaim all express and implied
  160.      warranties or conditions not stated
  161.      herein.
  162. (d)  Savings
  163.      Some Member States of the European Union
  164.      and States of the United States of
  165.      America do not allow the exclusion of
  166.      certain implied warranties or
  167.      conditions, so the above exclusion may
  168.      not apply to you, and does not exclude
  169.      any implied warranties or conditions
  170.      which may not under applicable law be
  171.      excluded.  This limited warranty gives
  172.      you  specific legal rights and is in
  173.      addition to any other legal rights you
  174.      may have, which vary from one Member
  175.      State to another.  THIS AGREEMENT DOES
  176.      NOT AFFECT YOUR STATUTORY RIGHTS.
  177.  
  178. 6.   Limitation of Liability
  179.  
  180. (a)  Our liability to you for any losses
  181.      shall not exceed the amount you
  182.      originally paid for the Software.
  183. (b)  In no event will we be liable to you for
  184.      any indirect or consequential damages
  185.      (including loss of profits) even if we
  186.      have been advised of the possibility of
  187.      such damages.
  188. (c)  Nothing in this Clause limits our
  189.      liability to you in the event of death
  190.      or personal injury resulting from our
  191.      negligence.
  192.  
  193. 7.   Confidentiality - Non US users only
  194.  
  195. (a)  The Software and documentation relating
  196.      thereto contains confidential
  197.      information and you agree not to
  198.      disclose such information to any third
  199.      party other than our own employees or
  200.      authorized agents without our prior
  201.      consent.
  202. (b)  The obligation of confidentiality under
  203.      paragraph (a) of this Clause includes
  204.      any confidential information relating to
  205.      the Software which is obtained by you as
  206.      the result of any analysis or
  207.      decompilation permitted under Articles
  208.      5(3) and 6 of the EU Software Directive
  209.      (91/250/EEC).
  210. (c)  This Clause shall survive the
  211.      termination of this Agreement.

  213. 8.   United States Government Restricted
  214. Rights.
  215.  
  216. The enclosed Software and documentation are
  217. provided with Restricted Rights. Use,
  218. duplication or disclosure by the US
  219. Government or any agency or instrumentality
  220. thereof is subject to restrictions as set
  221. forth in subdivision c(1)(ii) of the Rights
  222. in Technical Data and Computer Software
  223. clause at 48 C.F.R. 252.227-7013, or in
  224. subdivision c(1) and (2) of the Commercial
  225. Computer Software - Restricted Rights Clause
  226. at 48 C.F.R. 52.227-19, as applicable.

  231. 9.   Export  Controls - Non United States
  232. Users
  233.  
  234. You agree that you will not directly or
  235. indirectly transfer the Software or
  236. documentation to any country to which such
  237. transfer would be prohibited by any
  238. applicable export control laws.
  239.  
  240. Export Controls - United States Users
  241.  
  242. You agree that you will not directly or
  243. indirectly transfer the Software or
  244. documentation to any country to which such
  245. transfer would be prohibited by the US Export
  246. Administration Act and the regulations issued
  247. thereunder.
  248.  
  249. 10.  Termination
  250. (a)  This license and your right to use the
  251.      Software automatically terminates if
  252.      you:
  253.      (i)  fail to comply with any provisions
  254.           of this Agreement.
  255.      (ii) destroy the copies of the Software
  256.           in your possession or voluntarily
  257.           return the Software to us, or
  258.      (iii)     transfer the Software to
  259.           another party in accordance with
  260.           Clause 3(d).
  261. (b)  Upon termination you will destroy or
  262.      return to us all copies of the Software
  263.      and documentation other than those
  264.      copies transferred to another party in
  265.      accordance with Clause 3(d).
  266. (c)  Otherwise, the restrictions on your
  267.      rights to use the Software will expire
  268.      upon expiration of the copyright of the
  269.      Software.
  270. (d)  Except in cases of serious or
  271.      irremediable breach, we will give you
  272.      notice of any breach and a reasonable
  273.      opportunity to cure the breach before
  274.      the Agreement is terminated under sub-
  275.      Clause (a)(i) above.
  276.  
  277. 11.  Miscellaneous Provisions
  278.  
  279. (a)  This Agreement will be governed by and
  280.      construed in accordance with the
  281.      substantive laws of England whose courts
  282.      shall have jurisdiction over all
  283.      disputes which may arise between us.
  284. (b)  This is the entire agreement between us
  285.      relating to the contents of this
  286.      package, and supersedes any prior
  287.      purchase order, communications,
  288.      advertising or representations
  289.      concerning the contents of this package.
  290. (c)  No change or modification of this
  291.      Agreement will be valid unless it is in
  292.      writing and is signed by us.
  293.  
  294. Canadian Transactions:
  295.  
  296. If you acquired this Software in Canada, you
  297. agree to the following:
  298. The parties hereto have expressly required
  299. that the present Agreement and its Exhibits
  300. be drawn up in the English language. / Les
