  2.         KeySpell Limited:  KeySpell Software Licence Agreement

  5. Before using the KeySpell program, the licensee should carefully read the following
  6. terms and conditions. Breaking the seal on the CD indicates your acceptance of the
  7. terms of this licence agreement.
  8.  
  9. KeySpell Limited provides this software and licences its use to you, the Customer.
  10.  
  11. KeySpell Limited retains ownership of all Proprietary Software therein.
  12.  
  13. KeySpell Limited certifies that the Programs and documentation provided herein have
  14. been developed exclusively at the Company's expense and the KeySpell product remains
  15. the exclusive property of the Company. You acknowledge that the unauthorised distribution
  16. or use of the Programs or documentation received from KeySpell Limited  will cause 
  17. Material Damage to KeySpell Limited.

  19. You assume responsibility for the selection of the KeySpell program to achieve intended 
  20. results and for the installation, use and results obtained from the software.
  21.  
  22. It is understood by both parties to this Agreement that the search technique used in 
  23. spelling checking is a statistical process and the user must accept that alternatives
  24. supplied by the program are not necessarily exclusive even within the design constraints
  25. of the program. You must understand that such limitations are inevitable and recognise
  26. that no computer software can be a panacea to cater for difficulties experienced in
  27. producing acceptable text.
  28.  
  29. The programs and any documentation are provided on the basis of meeting the current 
  30. specification of the product with any stated limitations or reservations as currently 
  31. defined. KeySpell Limited  disclaims all warranties, whether express or implied, written
  32. or oral, with respect to the programs and any documentation, including all warranties
  33. of title and implied warranties of merchantability and fitness for a particular purpose.

  35. KeySpell Limited's Liability for damages to the licensee for any cause whatsoever, 
  36. regardless of the form of any claim or action, shall not exceed the total licence fee paid 
  37. by the licensee for the licence to use the programs under this Agreement.  KeySpell Limited 
  38. shall in no event be liable for any damages resulting from loss of data, profits or use of 
  39. equipment,or for any special, incidental or consequential damages arising out of or in 
  40. connection with the use or performance of the programs.

  43. LICENCE
  44.  
  45. This licence permits the Licensee and its employees who agree to be bound
  46. by the termsand conditions of this Agreement to:
  47.  
  48. * Use the Software on a single machine.  (The Software is considered to be "used"
  49.   when loaded into temporary memory or installed into permanent memory.)
  50.  
  51. * Install a copy of the Software on a network server so that the Software can be
  52.   used by other computers.  The number of authorised users of the Software shall
  53.   not exceed the number of applicable licences you have purchased from KeySpell Limited.
  54.  
  55. * Copy the Software in machine-readable form for backup purposes only or as is permitted
  56.   under applicable law.
  57.  
  58. The user of any end-user application incorporating any part of the programs must
  59. agree (1) not to disassemble or reverse engineer the Programs or any portion thereof
  60. and (2) to comply with all UK export laws.
  61.  
  62. You must reproduce and include the copyright notice on any copy, modification 
  63. or portion merged into another program.  You must not use, copy, modify or 
  64. transfer the programs, or any copy, modification or merged portion,  in whole
  65. or in part, except as expressly provided for in this Agreement.

  67. If you transfer possession of any copy, modification or merged portion of the
  68. Programs or documentation to another party,  your licence is automatically terminated.
  69. Any attempt to disassemble the object code of this software is unauthorised and
  70. thus is illegal and will result in immediate termination of the licence agreement
  71. from the instant at which such violation of the Agreement occurs.

  73. You may not commit any act which would directly or indirectly violate any UK law,
  74. regulation, treaty or other agreement, relating to the export or re-export of the
  75. licensed programs, to which the UK adheres or with which the UK complies.

  78. TERM
  79.  
  80. The licence is effective until terminated.  You may terminate the licence at any
  81. time by destroying the programs along with any copies, modifications and merged
  82. portions in any form.  It will also terminate upon conditions set forth elsewhere
  83. in this Agreement or if you fail to comply with any term or condition of this Agreement.

  85. You agree upon such termination to destroy the programs together with all copies,
  86. modifications and merged portions in any form.
