Agreement is provided by Canon Software Publishing ("CSP"), a division of Canon Computer Systems, Inc., to you and governs all access to and use of the Canon Web Publisher Web Site (the "Site"). You are responsible for all persons who access the Site using your User Password or Visitor Password(s). If you or anyone else using your User Password or Visitor Password(s) violate any provision of this Agreement, your access to and use of the Site will be permanently terminated without refund of any kind.
1. Server Limitations
This Site allows you to post and view documents or images ("Images") for non-commercial, personal use only. Your use of this Site is limited to a maximum of five (5) megabytes of total upload space at any one time. Images posted to this Site may be displayed for thirty (30) days, after which time the Images will be deleted from the Site.
Images posted by you to this Site can be viewed only by persons using a Visitor Password. You agree not to disclose your User Password to anyone outside your immediate household. You agree not to disclose your Visitor Password(s) in any public forum or through distribution to persons with whom you are not familiar. Should this Site receive an excessive number of hits during any daily period using your User Password or Visitor Password(s), all Images posted to this Site using your User Password will be deleted without notice to you.
2. Changes to Site
CSP currently operates this Site at no charge to you. CSP may change any aspect of the Site at any time and for any reason without notice to you. Such changes may include charging a fee for access, changing the access, size and time limitations, or terminating the Site.
3. Compliance with Copyright, Trademark, Privacy and Publicity Laws
No copyrighted material or trademarks may be placed on this Site by you without the permission of the owner. Likewise, no material may be placed on this Site that violates the privacy or publicity rights of others. You are responsible for obtaining any necessary permission before posting any such material to this Site.
You may download material displayed on this Site for your non-commercial, personal use only, provided you also retain all copyright and other proprietary notices contained on the material.
4. Prohibited Conduct
In addition to any other conduct that is prohibited by this Agreement, you may not post, or permit others to post, material to this Site that: (a) infringes or violates the rights of others; (b) is, or may be perceived by CSP or others as, unlawful, threatening, abusive, defamatory, obscene, scandalous, inflammatory, profane, offensive, vulgar, deceptive, misleading or otherwise objectionable; (c) violates or encourages the violation of any applicable local, state, national or international laws or regulations, or might give rise to civil or criminal liability; (d) contains any virus or other content that may damage this Site, the network or the equipment or software of others; (e) contains any chain letters, advertising or is for commercial purposes; (f) discloses confidential information; or (g) otherwise interferes with or disrupts other users, the network or the equipment or software of others.
5. Grant of License to CSP
By posting material to this Site, you hereby grant CSP and its designated licensees a limited, nonexclusive, royalty-free, perpetual and worldwide right to reproduce, distribute, display, perform, publish, translate, adapt, modify and otherwise use such material, in whole or in part, regardless of the medium, technology or form in which it is used, in order to operate this Site. The grant of rights set forth in this Section 5 shall survive the expiration or termination of this Agreement.
6. Term
This Agreement shall become effective on the date you agree to it by clicking on the Acceptance button below, and shall continue until terminated. If you fail to comply with any term of this Agreement, this Agreement shall terminate without notice to you.
7. Disclaimer of Warranties and Limitation of Liability
You acknowledge that your use of the Site is done at your own risk. Specifically, you acknowledge that your use of the Site may result in the loss of your material as posted to the Site and in the distribution of your material to persons with whom you are not familiar. CSP does not guarantee uninterrupted service or correction of errors or that the functions or performance of the Site will meet your requirements. THE SITE IS MADE AVAILABLE TO YOU ON AN "AS IS" BASIS AND WITHOUT WARRANTY OF ANY KIND. NO EXPRESS OR IMPLIED WARRANTY OR CONDITION AS TO THE QUALITY OR PERFORMANCE OF THE SITE, INCLUDING ANY WARRANTY OR CONDITION OF MERCHANTABILITY, MERCHANTABLE QUALITY OR FITNESS FOR A PARTICULAR PURPOSE, IS GIVEN FOR THE SITE, AND ALL SUCH WARRANTIES OR CONDITIONS ARE EXPRESSLY DISCLAIMED. No other warranty, condition or guaranty given by any person, firm or corporation with respect to the Site shall bind CSP, or anyone else who has been involved in the creation, production or display of the Site.
IN NO EVENT SHALL CSP OR ANY OTHER PERSON, FIRM OR CORPORATION BE RESPONSIBLE FOR ANY EXPENSE OR INCONVENIENCE INCURRED, ANY REVENUE OR PROFITS LOST, OR ANY OTHER INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF THE USE OR MISUSE OF, INABILITY TO USE, OR NONPERFORMANCE OF, THE SITE.
Some states or provinces do not allow limitations of how long implied warranties or conditions last, and do not allow the exclusion or limitation of damages, so the above limitations may not apply to you. You may also have other rights which may vary from state to state or from province to province.
8. Indemnification
You agree to indemnify, defend and hold harmless CSP and its designated licensees against all damages, claims, liability, costs, and expenses (including attorneys' fees) arising out of any violation of this Agreement by anyone using your User Password or Visitor Password(s) to access the Site.
9. Governing Law
This Agreement is governed by the laws of the State of California, United States of America, without giving effect to the conflicts of laws principles thereof.
10. Acknowledgment
BY CLICKING ON THE ACCEPTANCE BUTTON BELOW, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS. YOU ALSO AGREE THAT THIS AGREEMENT IS THE COMPLETE AND EXCLUSIVE STATEMENT OF AGREEMENT BETWEEN THE PARTIES AND SUPERSEDES ALL PROPOSALS OR PRIOR AGREEMENTS, VERBAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS BETWEEN THE PARTIES RELATING TO THE SUBJECT MATTER OF THIS AGREEMENT.
