  4. SOFTWARE LICENSE AGREEMENT OF JONATHAN B. BAYER
  5.  
  6. JONATHAN B. BAYER ("LICENSOR") IS WILLING TO LICENSE THE
  7. SOFTWARE TO YOU ONLY IF YOU ACCEPT ALL OF THE TERMS IN THIS
  8. LICENSE AGREEMENT. PLEASE READ THE TERMS CAREFULLY BEFORE
  9. USING THIS PACKAGE, BECAUSE BY USING THIS PACKAGE YOU ARE
  10. AGREEING TO BE BOUND BY THE TERMS OF THIS AGREEMENT. IF YOU
  11. DO NOT AGREE TO THESE TERMS, LICENSOR WILL NOT LICENSE THIS
  12. SOFTWARE TO YOU, AND IN THAT CASE YOU SHOULD DESTROY ALL
  13. COPIES OF THIS SOFTWARE PACKAGE.

  15. Ownership of the Software
  16.  
  17. 1.  The enclosed Licensor software program ("Software") and the
  18. accompanying written materials are owned by Licensor [or its
  19. suppliers] and are protected by United States copyright laws, by
  20. laws of other nations, and by international treaties.
  21.  
  22. Grant Of License
  23.  
  24. 2.  Licensor grants to you the right to use one copy of the
  25. Software on a single computer. You may load one copy into permanent
  26. memory of one computer and may use that copy, or the enclosed
  27. diskettes, only on that same computer.
  28.  
  29. Restrictions on Use and Transfer
  30.  
  31. 3.  You may not copy the Software, except that (1) you may make one
  32. copy of the Software solely for backup or archival purposes, and
  33. (2) you may transfer the Software to a single hard disk provided
  34. you keep the original solely for backup or archival purposes. You
  35. may not copy the written materials.
  36.  
  37. 4.  You may permanently transfer the Software and accompanying
  38. written materials (including the most recent update and all prior
  39. versions) if you retain no copies and the transferee agrees to be
  40. bound by the terms of this Agreement. Such a transfer terminates
  41. your license. You may not rent or lease the Software or otherwise
  42. transfer or assign the right to use the Software, except as stated
  43. in this paragraph.

  45. 5.  You may not reverse engineer, decompile, or disassemble the
  46. Software.
  47.  
  48. Limited Warranty
  49.  
  50. 6.  Licensor warrants that the Software will perform substantially
  51. in accordance with the accompanying written materials for a period
  52. of 90 days from the date of your receipt of the Software. Any
  53. implied warranties on the Software are limited to 90 days. Some
  54. states do not allow limitations on duration of an implied warranty,
  55. so the above limitation may not apply to you.

  57. 7.  LICENSOR DISCLAIMS ALL OTHER WARRANTIES, EITHER
  58. EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED
  59. WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR
  60. PURPOSE, AND NON-INFRINGEMENT, WITH RESPECT TO THE
  61. SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS. This
  62. limited warranty gives you specific legal rights. You
  63. may have others, which vary from state to state.

  65. 8.  LICENSOR'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY
  66. SHALL BE, AT LICENSOR'S CHOICE, EITHER (A) RETURN OF THE
  67. PRICE PAID OR (B) REPLACEMENT OF THE SOFTWARE THAT DOES
  68. NOT MEET LICENSOR'S LIMITED WARRANTY AND WHICH IS RETURNED
  69. TO LICENSOR WITH A COPY OF YOUR RECEIPT. Any replacement
  70. Software will be warranted for the remainder of the original
  71. warranty period or 30 days, whichever is longer. These remedies
  72. are not available outside the United States of America.

  74. 9.  This Limited Warranty is void if failure of the Software has
  75. resulted from modification, accident, abuse, or misapplication.
  76.  
  77. 10.  IN NO EVENT WILL LICENSOR BE LIABLE TO YOU FOR DAMAGES,
  78. INCLUDING ANY LOSS OF PROFITS, LOST SAVINGS, OR OTHER INCIDENTAL
  79. OR CONSEQUENTIAL DAMAGES ARISING OUT OF YOUR USE OR INABILITY
  80. TO USE THE SOFTWARE. Because some states do not allow the exclusion
  81. or limitation of liability for consequential or incidental damages,
  82. the above limitation may not apply to you.

  84. 11.  This Agreement is governed by the laws of the State
  85. of New Jersey.
  86.

  97. 13.  U.S. Government Restricted Rights. The Software and
  98. documentation are provided with Restricted Rights. Use,
  99. duplication, or disclosure by the Government is subject to
  100. restrictions set forth in subparagraph (c)(1) of The Rights in
  101. Technical Data and Computer Software clause at DFARS 252.227-7013
  102. or subparagraphs (c)(1)(ii) and (2) of Commercial Computer Software
  103. - Restricted Rights at 48 CFR 52.227-19, as applicable. Supplier is
