  2.         JP SOFTWARE'S PLAIN ENGLISH SHAREWARE LICENSE AGREEMENT
  3.                           AND LIMITED WARRANTY
  4.  
  5.    (1) Introduction.  This agreement explains when and how you may use
  6.    both shareware (trial) and registered (purchased) copies of software
  7.    products from JP Software.  In this agreement:
  8.  
  9.       >> "Program" means the JP Software software products(s) you have
  10.          purchased or obtained for evaluation, including both the software
  11.          and the associated documentation and other materials;
  12.  
  13.       >> "Shareware Copy" means a copy of the Program distributed by us or
  14.          by our authorized agents for evaluation purposes and which is
  15.          described as a trial or shareware copy in the Program's sign-on
  16.          messages;
  17.  
  18.       >> "Registered Copy" means a copy of the Program purchased from us or
  19.          from a dealer, and which is not described as a trial or
  20.          shareware copy in the Program's sign-on messages;
  21.  
  22.       >> "Bundle" means a set of one or more Programs sold together as a
  23.          "pack", "suite", or other similar term, all for use on the same
  24.          computer;
  25.  
  26.       >> "we" or "us" means JP Software Inc., a corporation based in
  27.          Arlington, Massachusetts, USA; and
  28.  
  29.       >> "you" means the end user of the Program.
  30.  
  31.    (2) Legal Agreement.  This is a legal agreement which allows you, the
  32.    end user, to use the Program under certain terms and conditions.  If
  33.    you cannot agree to abide by what this agreement says you should not
  34.    use or evaluate the Program.
  35.  
  36.    (3) Copyright.  The Program is fully protected by copyright under
  37.    U.S. law and international treaty provisions.
  38.  
  39.    (4) Evaluation Period.  You may use a Shareware Copy of the Program
  40.    for an evaluation period of up to 21 days, in order to determine
  41.    whether the program meets your needs before purchasing it.  Once the
  42.    evaluation period ends, you agree to either purchase a Registered
  43.    Copy of the Program, or to stop using it.  If you have ordered a
  44.    Registered Copy of the Program from us or from a dealer, you may
  45.    continue to use your Shareware Copy until your Registered Copy
  46.    arrives.

  48.    (5) Use of the Program.  While you are evaluating the Program, you
  49.    may use it on as many computers as are required to perform your
  50.    evaluation.  Your 21-day evaluation period begins when you first
  51.    install the Program on one or more computers for evaluation purposes.

  53.    Once the evaluation period is over and you purchase the program, your
  54.    use is subject to the following restrictions:

  56.       (A) You agree not to install or use any individual copy of the
  57.       Program on more than one computer at a time.  However, you may
  58.       install an individual copy simultaneously on one computer at work,
  59.       one computer at home, and one portable computer, IF (and ONLY if)
  60.       all these computers are used primarily by the same individual, and
  61.       there is no possibility that the computers will be in use at the
  62.       same time except while you are actively transferring files between
  63.       them.  This provision is only for individual copies and does not
  64.       apply to multi-system licenses.  If the Program was purchased by
  65.       your employer you agree to get your employer's explicit permission
  66.       before installing the Program on multiple computers as described
  67.       here.
  68.    
  69.       (B) If you purchased an individual copy of a Bundle containing more
  70.       than one Program, you agree that all Programs in the Bundle will
  71.       be used on the same computer.  You may not use one Program or set
  72.       of Programs from a Bundle on one computer, and at the same time use
  73.       a different Program or set of Programs from the same Bundle on a
  74.       second computer.

  76.       (C) If you purchased a multi-system license for the Program or a
  77.       Bundle you agree not to install or use the Program or Programs on
  78.       more computers than the number included in your license, as shown
  79.       on your order, payment, invoice, or other similar documentation;
  80.       the program sign-on screen; or other electronic or printed
  81.       documents received from us or our dealer.
  82.       
  83.       If your license is for a Bundle containing more than one Program,
  84.       you agree that all Programs in the licensed Bundle will be used on
  85.       the same computers.  You may not split the Programs within the
  86.       Bundle between different computers in a way which causes the total
  87.       number of computers on which any Program from the Bundle is used
  88.       or installed to exceed the number of systems included in your
  89.       license.

  91.    (6) Making and Distributing Shareware Copies of the Program.  You may
  92.    make copies of your Shareware Copy of the Program to give to others,
  93.    as long as you include all of the files that you originally received
  94.    with your Shareware Copy.  When you give a Shareware Copy of the
  95.    Program to another person, you agree to inform them that their copy
  96.    is to be used for a time limited evaluation period, and that they
  97.    must purchase a Registered Copy if they continue to use the Program
  98.    once the evaluation period has ended.  You agree not to sell
  99.    Shareware Copies of the Program or distribute them to others for any
  100.    kind of compensation or fee unless you abide by the restrictions in
  101.    JP Software's VENDOR.DOC file.

  103.    (7) Copying Registered Copies of the Program.  When you receive a
  104.    Registered Copy of the Program you may make copies of the Program
  105.    software which are necessary for normal backup purposes.  You agree
  106.    not to make any other copies of the software, the manual(s), or any
  107.    part of them, or sell or give any copies to others, without our
  108.    advance written permission.

  110.    (8) Operation of the Program.  The Program offers powerful
  111.    capabilities.  If you do not follow our instructions, or if you use
  112.    the Program improperly, you can destroy files or cause other damage
  113.    to your software and data.  You assume full responsibility for the
  114.    selection and use of the Program to achieve your intended results.
  115.  
  116.    (9) LIMITED WARRANTY:  The following limited warranty applies to
  117.    Registered Copies of the Program.  It is included here so you
  118.    understand what your warranty will be when you purchase a Registered
  119.    Copy.  This warranty does NOT apply to Shareware Copies of the
  120.    Program.

  122.       Physical Defects.  We pledge that the disks and manuals we send
  123.       you will arrive free of physical defects which interfere with
  124.       normal use.  If you find such a defect and report it to us within
  125.       90 days after you purchase the Program, we agree to replace the
  126.       defective item(s) at no charge to you as long as the defect was
  127.       not caused by misuse or abuse.
  128.  
  129.       Bugs and Program Errors.  We don't promise that the Program will
  130.       be free of bugs or program errors.  If you report a program error
  131.       or bug to us, we will use our best efforts to correct it.  If we
  132.       issue a maintenance release for the Program which includes a
  133.       correction for an error you reported, we will assist you in
  134.       downlaoding it, or send you a copy of that maintenance release at
  135.       no charge if you request it.  We will only do this for maintenance
  136.       releases, not for new major releases or other new versions of the
  137.       Program.
  138.  
  139.       Satisfaction Guarantee.  If you are dissatisfied with any product
  140.       you buy from us under this Agreement for any reason, you may
  141.       return it at any time up to 90 days after purchase and we will
  142.       give you a refund.  If the product is a JP Software product we
  143.       will give you a full refund.  If it is not a JP Software product
  144.       we will give you a full refund if in our judgment the product is
  145.       returned in complete, undamaged, and resellable condition, or a
  146.       50% refund if not.  Refunds will be based on the price you paid,
  147.       less shipping and rush order charges.  You must contact us for a
  148.       return authorization before returning any product for a refund.
  149.       This satisfaction guarantee does not apply to multi-system
  150.       licenses for more than 10 computers, or to purchases of more than
  151.       10 individual copies at one time.
  152.  
  153.    (10) DISCLAIMERS AND LIMITATIONS.  And now the legal language we
  154.    couldn't avoid:

  156.       DISCLAIMER FOR SHAREWARE COPIES:  YOU ARE NOT PAYING FOR THE TRIAL
  157.       USE LICENSE FOR YOUR SHAREWARE COPY OF THE PROGRAM.  ACCORDINGLY
  158.       THE SHAREWARE COPY IS PROVIDED "AS-IS" AND WITHOUT WARRANTY OF ANY
  159.       KIND.
  160.  
  161.       DISCLAIMER FOR REGISTERED COPIES:  EXCEPT FOR THE LIMITED WARRANTY
  162.       STATED ABOVE, WE DISCLAIM ANY AND ALL OTHER WARRANTIES, EXPRESS OR
  163.       IMPLIED, ORAL OR WRITTEN, INCLUDING ANY IMPLIED WARRANTIES OF
  164.       MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.  THE LIMITED
  165.       WARRANTY ABOVE GIVES YOU SPECIFIC LEGAL RIGHTS, BUT YOU MAY HAVE
  166.       OTHER RIGHTS, WHICH VARY FROM STATE TO STATE.
  167.  
  168.       LIMITATION OF LIABILITY:  IN NO EVENT SHALL WE BE LIABLE FOR ANY
  169.       INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES WHATSOEVER ARISING
  170.       OUT OF USE OF THE PROGRAM OR YOUR RELATIONSHIP WITH US.  SOME
  171.       STATES DO NOT ALLOW EXCLUSION OR LIMITATION OF LIABILITY FOR
  172.       INCIDENTAL OR CONSEQUENTIAL DAMAGES, THEREFORE THE ABOVE
  173.       LIMITATION MAY NOT APPLY TO YOU.
