  1. LICENSE OF INTELLECTUAL PROPERTY
  2.  
  3. Agreement entered into by and between CUSTOM COMPUTER SYSTEMS
  4. INC., hereinafter referred to as "Licensor", and 
  5. ___________________________________________________________
  6. hereinafter referred to as "Licensee".  The parties intending
  7. to be legally bound hereby agree as follows:
  8.  
  9. Licensor is the developer and creator of that certain item of
  10. intellectual property hereinafter referred to as "the property"
  11. constituting The CDWRITER Source Code.
  12.  
  13. This product (libraries, object code and source code) is the proprietary
  14. property of CUSTOM COMPUTER SYSTEMS INC. and is protected by Federal
  15. Copyright Law.  CUSTOM COMPUTER SYSTEMS INC. retains the title
  16. to and ownership of the Product.  You are licensed to use this
  17. Product on the following terms and conditions.
  18.  
  19. The source code is defined as all of the code that is shipped
  20. with "The CDWRITER Source Code".  This does not include any code
  21. added by the Licensee.  This is the source code used to write
  22. the program CDWRITER not including any needed tools described
  23. below.
  24.  
  25. In order to use "The CDWRITER Source Code" the licensee will have
  26. to purchase Borland C++ 4.5  Borland C++ 4.5 is not included
  27. with "The CDWRITER Source Code".
  28.  
  29. You may NOT transfer this Product to another party without prior
  30. written consent from CUSTOM COMPUTER SYSTEMS INC.  In the case
  31. of an authorized transfer the transferee must agree to be bound
  32. by the terms and conditions of this License Agreement.  
  33.  
  34. You may use this Product to create other products, for the below
  35. described royalty, for sale or distribution as long as the products
  36. are not software development products, or environments of any
  37. kind.
  38.  
  39. You may not distribute, rent, sublicense or otherwise make available
  40. to others the software or documentation or copies thereof, except
  41. as expressly permitted in this license.
  42.  
  43. In consideration of the license here and above described, Licensee
  44. agrees to pay Licensor a one time lump sum fee of $999.  The licensee
  45. can modify the source code as desired and resell the products
  46. produced as long as the following two conditions are met.  None
  47. of the source code may be transferred to another party.  Tool
  48. kits may not be sold containing CDWRITER Source Code in while
  49. or in part.
  50.  
  51. Licensee understands that only a nonexclusive right as here and
  52. above described has been granted.  As such, Licensee is fully
  53. cognizant of and understands that other company or companies may
  54. in fact compete with Licensee for the sale, manufacture, or distribution
  55. of the items within this area.
  56.  
  57. You may terminate your license and this agreement at anytime by
  58. destroying all copies of the Product and Product documentation.
  59.  They will also terminate automatically if you fail to comply
  60. with any term or condition of this agreement.
  61.  
  62. Licensor warrants that it has all right to title, and interest
  63. in the property licensed hereunder, and that it agrees to hold
  64. Licensee harmless from any and all claimants against such rights,
  65. title and/or interest unless otherwise provided for herein.
  66.  
  67. In the event that litigation is commenced to enforce any of the
  68. terms of this agreement, the prevailing party in the litigation
  69. (whether by court of arbitration) shall be entitled to the costs
  70. thereof, including reasonable attorneys' fees.
  71.  
  72. Upgrades may or may not become available..  Upgrades will be available
  73. to the Licensee at no additional cost for 6 months after the purchase
  74. date of the product.  There is no guarantee that any upgrades
  75. will become available during that time period.
  76.  
  77. The software and documentation is sold "as is" without warranty
  78. as to their performance, merchantability or fitness for any particular
  79. purpose.  The entire risk as to the quality and performance of
  80. the software is assumed by the licensee.  In no event shall CUSTOM
  81. COMPUTER SYSTEMS INC. or anyone else who has been involved in
  82. the creation, production or delivery of this software be liable
  83. for any direct, incidental or consequential damages, such as,
  84. but not limited to, loss of anticipated profits, benefits, use,
  85. or data resulting from the use of this software, or arising out
  86. of any breach of any warranty.  Some states do not allow the exclusions
  87. or limitation of direct, incidental or consequential damages so
  88. the above limitation may not apply to you.
  89.  
  90. Any dispute that arises hereunder shall be resolved by arbitration
  91. pursuant to the rules of the American Arbitration Association
  92. or the rules of MO.
  93.  
  94. This agreement constitutes the entire understanding of the parties
  95. hereto and shall be interpreted pursuant to the laws of Missouri.
  96.
