  1. IMPORTANT - READ THIS BEFORE OPENING OR INSTALLING: By opening this package,
  2. or reproducing, installing, or using the enclosed materials, you are
  3. agreeing to be bound by the terms of this agreement.  If you do not agree to
  4. them, do not install or use this software.

  7.       Intel Development Agreement for Plug and Play Kits and Utilities

  10. GRANTS: Subject to the Restrictions below, Intel Corporation ("Intel")
  11. grants to you the following non-exclusive, non-assignable, royalty-free
  12. rights to the following "Materials":
  13.  
  14. 1.  "Utilities" include all software provided in binary form in this package
  15. by Intel, except for the setup.exe and install.exe programs.  Utilities may
  16. be reproduced and distributed internally and to third parties either in
  17. conjunction with a product you develop or as a stand-alone product, but you
  18. may not reverse-assemble, reverse-compile, or otherwise reverse-engineer
  19. them or the setup and install programs,
  20.  
  21. 2.  "Developer Modules" are (a) the source code modules included in this
  22. package or (b) binary code compiled from such source code, which may be
  23. modified for use in a product by you.  "User Documentation" includes all
  24. documentation for the Utilities and Developer Modules included in this
  25. package.  User Documentation and Developer Modules may be modified,
  26. reproduced and distributed internally or, if in conjunction with a product
  27. you develop, externally.

  29. 3.  The setup.exe and install.exe programs may be used internally with the
  30. Materials, but may not be distributed externally without a license from
  31. their originators.  See the documentation for further details.
  32.  
  33. RESTRICTIONS: Distribution of the Materials is subject to the following
  34. limitations, you (i) shall be solely responsible to your customers for any
  35. update or support obligation or other liability which may arise from the
  36. distribution, (ii) do not make any statement that your product is
  37. "certified," or that its performance is guaranteed ,by Intel, (iii) do not
  38. use Intel's name or trademarks to market your product without written
  39. permission, (iv) agree to indemnify, hold harmless, and defend Intel and its
  40. suppliers from and against any claims or lawsuits, including attorney's
  41. fees, that arise or result from your distribution of any product.

  43. COPYRIGHT: Title to the Materials and all copies thereof remain with Intel
  44. or its suppliers.  The Materials are copyrighted and are protected by United
  45. States copyright laws and international treaty provisions.  You will not
  46. remove any copyright notice from the Materials.  You agree to prevent any
  47. unauthorized copying of the Materials.  Except as expressly provided herein,
  48. Intel does not grant any express or implied right to you under Intel
  49. patents, copyrights, trademarks, or trade secret information.

  51. REPLACEMENTS: The Materials are provided "AS IS" without warranty of any
  52. kind.  If the media on which the Materials are furnished are found to be
  53. defective in material or workmanship under normal use for a period of ninety
  54. (90) days from the date of receipt, Intel's entire liability and your
  55. exclusive remedy shall be the replacement of the media.  This offer is void
  56. if the media defect results from accident, abuse, or misapplication.

  58. LIMITATION OF LIABILITY: THE ABOVE REPLACEMENT PROVISION IS THE ONLY
  59. WARRANTY OF ANY KIND.  INTEL OFFERS NO OTHER WARRANTY EITHER EXPRESS OR
  60. IMPLIED INCLUDING THOSE OF MERCHANTABILITY, NONINFRINGEMENT OF THIRD-PARTY
  61. INTELLECTUAL PROPERTY OR FITNESS FOR A PARTICULAR PURPOSE.  NEITHER INTEL
  62. NOR ITS SUPPLIERS SHALL BE LIABLE FOR ANY DAMAGES WHATSOEVER (INCLUDING,
  63. WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS
  64. INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER LOSS) ARISING OUT OF
  65. THE USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF INTEL HAS BEEN ADVISED
  66. OF THE POSSIBILITY OF SUCH DAMAGES.  BECAUSE SOME JURISDICTIONS PROHIBIT THE
  67. EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL
  68. DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  70. TERMINATION OF THIS LICENSE: Intel may terminate this license at any time if
  71. you are in breach of any of its terms and conditions.  Upon termination, you
  72. will immediately destroy the Materials or return all copies of the Materials
  73. to Intel along with any copies you have made.
  74.  
  75. U.S.  GOVERNMENT RESTRICTED RIGHTS: The Materials are provided with
  76. "RESTRICTED RIGHTS." Use, duplication or disclosure by the Government is
  77. subject to restrictions set forth in FAR52.227-14 and DFAR252.227-7013 et
  78. seq.  or its successor.  Use of the Materials by the Government constitutes
  79. acknowledgment of Intel's rights in them .
  80.  
  81. APPLICABLE LAW: Any claim arising under or relating to this Agreement shall
  82. be governed by the internal substantive laws of the State of Delaware or
  83. federal courts located in Delaware, without regard to principles of conflict
  84. of laws.  You may not export the materials in violation of U.S.A.  export
  85. laws and regulations.
