  2. SOFTWARE LICENSE AGREEMENT

  6. IMPORTANT:  PLEASE READ THIS AGREEMENT CAREFULLY BEFORE 
  7. OPENING THE ACCOMPANYING SOFTWARE (THE "SOFTWARE") PACKAGE 
  8. OR CONTINUING WITH THE INSTALLATION PROCESS OF THE 
  9. SOFTWARE.  BY CLICKING ON THE "OK" OR "ACCEPT" BUTTON, OR 
  10. BY OPENING THE SOFTWARE PACKAGE, YOU AGREE TO BE BOUND BY 
  11. THE TERMS OF THIS AGREEMENT.  IF YOU DO NOT AGREE TO THE 
  12. TERMS OF THIS AGREEMENT, CLICK THE "DO NOT ACCEPT" BUTTON 
  13. TO TERMINATE THE INSTALLATION PROCESS OR PROMPTLY RETURN 
  14. THE UNOPENED PACKAGE AND THE REST OF THE PRODUCT TO YOUR 
  15. SUPPLIER FOR A FULL REFUND.

  17.  
  18. 1. License.  If you have purchased a license to the Software, 
  19. NetObjects, Inc. ("NetObjects") grants you a non-exclusive right 
  20. and license to use the Software and the related documentation 
  21. (the "Documentation") as set forth in this Agreement.  You may 
  22. use the Software on a single computer.  The Software may also be 
  23. used on a network, so long as each person accessing the Software 
  24. through the network has a copy licensed to that person.  You may 
  25. make a single copy of the Software for backup and archival 
  26. purposes only provided that any copy must contain all proprietary 
  27. notices included in the original.  You may use the Documentation 
  28. to assist in your use of the Software.  If you download the 
  29. Software without physical delivery of Documentation, you may 
  30. review the Documentation online, but you may not make further 
  31. copies of the Documentation.  You own the media on which the 
  32. Software is recorded, but not the Software itself or any copy of 
  33. it.  This license is not a sale of the original or any copy of 
  34. the Software.
  35.  
  36.     If you have obtained an evaluation copy of the Software, 
  37. and have not purchased a license to the Software, NetObjects 
  38. grants you a 30-day non-exclusive license to use the Software 
  39. free of charge for the purpose of evaluating whether you wish 
  40. to purchase an ongoing license for the Software.  WARNING:  
  41. Evaluation copies of the Software will become non-functional 
  42. thirty (30) days following initial installation in your computer.  
  43. NetObjects disclaims all liability and responsibility for any 
  44. loss of data or other information which may occur as a result 
  45. thereof.
  46.  
  47. 2. Copying, Transferring or Modifying Software.  The Software 
  48. contains copyrighted material, trade secrets and other 
  49. proprietary intellectual property.  You may not permit 
  50. concurrent use of the Software unless each user has an applicable 
  51. license.  You may not permit other individuals to use the Software 
  52. except under the terms listed above.  You may not decompile, 
  53. disassemble, reverse-engineer or otherwise display the Software in 
  54. human-readable form.  You may not modify, translate, rent, lease, 
  55. distribute or lend the Software, and you may not sell to others the 
  56. right to use the Software on your computer.  You may not remove any 
  57. proprietary notices or labels on the Software.  You may not copy, 
  58. transfer, transmit, sublicense or assign this license or the 
  59. Software except as expressly permitted in this Agreement.  You agree 
  60. that the terms of this paragraph apply to the Software or any 
  61. portion thereof, whether owned by NetObjects or NetObjects' 
  62. licensors, including without limitation NetCarta Corporation.
  63.  
  64. 3. License to Use Content.  All artwork, graphics, icons and other 
  65. files contained in the Software, including without limitation 
  66. AutoSites, SiteStyles, Design Parts, and Plug-In Parts (collectively, 
  67. the "Content"), are copyrighted material owned by NetObjects or its 
  68. licensors.  NetObjects grants you a non-exclusive right and license 
  69. to: (i) incorporate object code copies of the Content into your own 
  70. works created using the Software in accordance with the Documentation, 
  71. such as your own web site or a web site you design for someone else 
  72. (the "User Works"); (ii) duplicate the Content to the extent it is 
  73. embedded in the User Works, in object code form only; (iii) and 
  74. distribute or display the Content to the extent it is embedded in the 
  75. User Works, in object code form only.  You have no right to, and 
  76. agree not to, duplicate, distribute, display or use the Content or 
  77. any portion thereof (whether on a web site or through any other medium, 
  78. and whether separately or as part of another product or work), other 
  79. than as embedded in the User Works created using the Software and as 
  80. set forth in this Agreement.

  82. 4. GIF Licensing.  This software contains GIF conversion capability 
  83. covered by Unisys US Patent Number 4,557,302 and foreign counterparts, 
  84. and may be used only for evaluation purposes, unless you purchase a 
  85. license for the Software.

  87. 5. Term.  If you have purchased a license to the Software, this 
  88. Agreement and license are effective from the time you accept the terms 
  89. of this Agreement until this Agreement is terminated.  You may terminate 
  90. this Agreement at any time by destroying all copies of the Software.  
  91. This Agreement will terminate immediately and without further notice 
  92. if you fail to comply with any provision of this Agreement.  All 
  93. obligations of confidentiality and restrictions on use, and all other 
  94. provisions that may reasonably be interpreted to survive termination 
  95. of this Agreement, will survive termination of this Agreement for any 
  96. reason.  Upon termination, you agree to destroy all copies of the 
  97. Software.

  99. If you have obtained an evaluation copy of the Software, and have not 
  100. purchased a license to the Software, this Agreement and license are 
  101. effective for a period of 30 days from the date of installation of 
  102. the Software.
  103.  
  104. 6. Limited Warranty.  If you have purchased a license to the Software, 
  105. if the Software is delivered using a computer storage media such as a 
  106. CD ROM or diskette, NetObjects warrants that the media on which the 
  107. Software is furnished will be free from defects in materials and 
  108. workmanship under normal use for ninety (90) days from the date you 
  109. received the Software, as shown by your receipt.  This warranty is 
  110. limited to you and is not transferable.  This warranty does not cover 
  111. damage caused by improper use or neglect.  NetObjects' entire liability 
  112. and your exclusive remedy shall be, at NetObjects' option (i) to 
  113. replace the defective media; (ii) to advise you how to achieve 
  114. substantially the same functionality with the Software as described in 
  115. the Documentation through a procedure different from that set forth in 
  116. the Documentation; or (iii) to refund the license fee you paid for the 
  117. Software.

  119. If you have obtained an evaluation copy of the Software, and have not 
  120. purchased a license to the Software, NetObjects makes no warranties 
  121. of any kind with respect to the media (if any) on which the Software 
  122. is furnished, and such media is provided "as is" and without warranties 
  123. of any kind.
  124.  
  125. 7. Warranty Disclaimers.  THE SOFTWARE, THE DOCUMENTATION AND 
  126. (EXCEPT AS PROVIDEDIN SECTION 6) THE MEDIA UPON WHICH THE 
  127. SOFTWARE IS RECORDED (IF ANY) ARE PROVIDED "AS IS" AND 
  128. WITHOUT WARRANTIES OF ANY KIND, EXPRESS, STATUTORY OR IMPLIED, 
  129. INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF 
  130. MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.  
  131. The entire risk as to the quality and performance of the Software and 
  132. the Documentation is with you.  Should the Software or the Documentation 
  133. prove defective, you (and not NetObjects or its distributors, licensors 
  134. or dealers) assume the entire cost of all necessary servicing or repair.
  135.  
  136. NetObjects does not warrant that the functions contained in the Software 
  137. will meet your requirements or operate in the combination that you may 
  138. select for use, that the operation of the Software will be uninterrupted 
  139. or error free, or that defects in the Software will be corrected.  No 
  140. oral or written statement by NetObjects or by a representative of 
  141. NetObjects shall create a warranty or increase the scope of this warranty.

  143. NETOBJECTS DOES NOT WARRANT THE SOFTWARE AGAINST 
  144. INFRINGEMENT OR THE LIKE WITH RESPECT TO ANY COPYRIGHT, 
  145. PATENT, TRADE SECRET, TRADEMARK OR OTHER PROPRIETARY 
  146. RIGHT OF ANY THIRD PARTY AND DOES NOT WARRANT THAT THE 
  147. SOFTWARE DOES NOT INCLUDE ANY VIRUS, SOFTWARE ROUTINE 
  148. OR OTHER SOFTWARE DESIGNED TO PERMIT UNAUTHORIZED ACCESS, 
  149. TO DISABLE, ERASE OR OTHERWISE HARM SOFTWARE, HARDWARE OR 
  150. DATA, OR TO PERFORM ANY OTHER SUCH ACTIONS.

  152. Any warranties that by law survive the foregoing disclaimers shall 
  153. terminate ninety (90) days from the date you received the Software as 
  154. shown by your receipt.
  155.  
  156. 8. Limitation of Liability.  YOUR SOLE REMEDIES AND NETOBJECTS' 
  157. ENTIRE LIABILITY ARE SET FORTH ABOVE.  IN NO EVENT WILL 
  158. NETOBJECTS OR ITS DISTRIBUTORS OR DEALERS BE LIABLE FOR DIRECT, 
  159. INDIRECT, INCIDENTAL OR CONSEQUENTIAL DAMAGES RESULTING FROM 
  160. THE USE OF THE SOFTWARE, THE INABILITY TO USE THE SOFTWARE, OR 
  161. ANY DEFECT IN THE SOFTWARE, INCLUDING ANY LOST PROFITS, EVEN IF 
  162. THEY HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGE.

  164. You agree that NetObjects and its distributors and dealers will not be 
  165. liable for defense or indemnity with respect to any claim against you by 
  166. any third party arising from your possession or use of the Software or 
  167. the Documentation.
  168.  
  169. In no event will NetObjects' total liability to you for all damages, 
  170. losses, and causes of action (whether in contract, tort, including 
  171. negligence, or otherwise) exceed the amount you paid for this product.
  172.  
  173. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED 
  174. WARRANTY LASTS, AND SOME STATES DO NOT ALLOW THE EXCLUSION OR 
  175. LIMITATION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE 
  176. LIMITATIONS OR EXCLUSIONS MAY NOT APPLY TO YOU.  THIS WARRANTY 
  177. GIVES YOU SPECIFIC LEGAL RIGHTS AND YOU MAY ALSO HAVE OTHER 
  178. RIGHTS WHICH VARY FROM STATE TO STATE.

  180. 9. Export Control Laws.  You agree to comply with all laws, rules and 
  181. regulations applicable to the export of the Software or the Documentation.  
  182. Specifically, you shall not export, re-export or transship the Software 
  183. or the Documentation, or the direct product thereof, in violation of 
  184. any United States laws and regulations which may from time to time be 
  185. applicable.  None of the Software or underlying information or technology 
  186. may be downloaded or otherwise exported or re-exported (i) into (or to a 
  187. national or resident of) Cuba, Iran, Iraq, Libya, Serbia, Montenegro, 
  188. North Korea, Syria or any other country to which the U.S. has embargoed 
  189. goods; or (ii) to anyone on the U.S. Treasury Department's list of 
  190. Specially Designated Nationals or the U.S. Commerce Department's Table of 
  191. Denial Order.  By downloading or using the Software, you are agreeing to 
  192. the foregoing and you are representing and warranting that you are not 
  193. located in, under the control of, or a national or resident of any such 
  194. country or on any such list.
  195.  
  196. 10. High Risk Activities.  The Software is not fault-tolerant and is not 
  197. designed, manufactured or intended for use or resale as online equipment 
  198. control equipment in hazardous environments requiring fail-safe 
  199. performance, such as in the operation of nuclear facilities, aircraft 
  200. navigation or communication systems, air traffic control, direct life 
  201. support machines, or weapons systems, in which the failure of the 
  202. Software could lead directly to death, personal injury, or severe 
  203. physical or environmental damage.  NetObjects and its suppliers 
  204. specifically disclaim any express or implied warranty of fitness for any 
  205. high risk uses listed above.
  206.  
  207. 11.Government Restricted Rights.  For units of the Department of Defense, 
  208. use, duplication, or disclosure by the Government is subject to 
  209. restrictions as set forth in subparagraph (c)(1)(ii) of the Rights in 
  210. Technical Data and Computer Software clause at DFARS 252.227-7013.  
  211. Contractor/manufacturer is NetObjects, Inc., 2055 Woodside Road, 
  212. Redwood City, California 94061.

  214. If the Commercial Computer Software Restricted rights clause at 
  215. FAR 52.227-19 or its successors apply, the Software and Documentation 
  216. constitute restricted computer software as defined in that clause and 
  217. the Government shall not have the license for published software set 
  218. forth in subparagraph (c)(3) of that clause.
  219.  
  220. The Software (i) was developed at private expense, and no part of it 
  221. was developed with governmental funds; (ii) is a trade secret of 
  222. NetObjects (or its licensor(s)) for all purposes of the Freedom of 
  223. Information Act; (iii) is "restricted computer software" subject to 
  224. limited utilization as provided in the contract between the vendor 
  225. and the governmental entity; and (iv) in all respects is proprietary 
  226. data belonging solely to NetObjects (or its licensor(s)).

  228. 12. Governing Law and Interpretation.  This Agreement shall be 
  229. interpreted under and governed by the laws of the State of California, 
  230. without regard to its rules governing the conflict of laws.  If any 
  231. provision of this Agreement is held illegal or unenforceable by a court 
  232. or tribunal of competent jurisdiction, the remaining provisions of this 
  233. Agreement shall remain in effect and the invalid provision deemed 
  234. modified to the least degree necessary to remedy such invalidity.

  236. 13. Entire Agreement.  This Agreement is the complete agreement between 
  237. NetObjects and you and supersedes all prior agreements, oral or written, 
  238. with respect to the subject matter hereof.
