- We do not anticipate moving OV/VM to I-A2 because it would drive up the
- price of I-A2. As currently structured, numbers of I-A2 subscribers have
- elected not to use OV/VM, and therefore do not pay for it. If we added
- OV/VM to I-A2, every I-A2 subscriber would pay a portion of the
- substantial OV/VM fee whether they used it or not. We believe that
- if anything, HESC pricing needs more granularity, not less.

- Separate media charges for these products work the same in HESC as they
- do under our unmodified ICA (IBM Customer Agreement). The annual fee
- continues to apply to CATIA Base (5621-101) and CATIA Drafting Package
- (5612-125). For the CATIA products the only media charges are the
- annual fees. The annual fees are billed at initial order and annually
- thereafter. Therefore, if the annual fee is eliminated, there is no
- residual "initial base fee."
