  1. Software License Agreement and Limited Warranty
  2. Please read this License Carefully. This is a legal agreement between the end
  3. user ("Licensee") and ServerObjects Inc. The enclosed software and documentation
  4. are licensed by ServerObjects Inc to the original individual customer for use
  5. only on the terms described in this License Agreement (this "License"). Opening
  6. the enclosed diskette envelope and/or using the Software indicates that the end
  7. user accepts and agrees to comply with these terms. If there is any
  8. disagreement on these terms, (a) the software may be returned in the unopened
  9. diskette envelope to the place where it was obtained, or (b) write to
  10. ServerObjects Inc. with a request to modify any term of this License.
  11. Please allow 6 weeks for a response.

  13. 1. LICENSES.
  14. (a) ServerObjects Inc hereby grants to Licensee a worldwide, non-exclusive,
  15. nontransferable, license (without the ability to sublicense) to (i) use
  16. this product ON A SINGLE CPU and make one copy of the Software in
  17. machine-readable form for backup purposes.
  18.  
  19. (b) ServerObjects Inc retains title to the Software in all forms whatsoever.
  20.  
  21. (c) All rights not expressly granted herein are reserved by ServerObjects Inc.
  22.  
  23. 2. LICENSE FEES.
  24. This license shall have no force or effect unless and until Licensee shall have
  25. submitted to ServerObjects Inc all applicable license fees in full. All such fees
  26. are exclusive of any taxes, duties, licenses, fees, excises or tariffs now or
  27. hereafter imposed on Licensee's production, licensing, sale, transportation,
  28. import, export or use of the Software or Licensee Programs, all of which shall
  29. be the responsibility of Licensee, other than taxes attributable to
  30. ServerObjects Inc. net income.
  31.  
  32. 3. LIMITED WARRANTY.
  33. (a) ServerObjects Inc warrants that for one (1) year following delivery of the
  34. Software to Licensee, the Software, unless modified in any way by Licensee,
  35. will perform substantially the functions described in any associated product
  36. documentation provided by ServerObjects Inc. ServerObjects Inc does not warrant that
  37. the Software will meet Licensee's specific requirements or that operation of
  38. the Software will be uninterrupted or error-free. ServerObjects Inc is not
  39. responsible for any problem, including any problem which would otherwise be
  40. a breach of warranty, caused by (i) changes in the operating characteristics
  41. of computer hardware or computer operating systems, (ii) interaction of the
  42. Software with software not supplied or approved by ServerObjects Inc, or (iii)
  43. accident, abuse, or misapplication.
  44.  
  45. (b) ServerObjects Inc's entire liability and Licensee's sole remedy under the
  46. foregoing warranty during the warranty period is that ServerObjects Inc shall,
  47. at its sole and exclusive option, either use reasonable efforts to correct
  48. any reported deviation from the relevant product documentation, replace the
  49. Software with a functionally equivalent program, or refund all license fees
  50. paid, in which case, this License shall immediately terminate. Any repaired
  51. or replaced Software will be rewarranted for an additional ninety (90) day
  52. period, unless subsequently modified by Licensee.
  53.  
  54. (c) THE ABOVE WARRANTIES ARE EXCLUSIVE AND NO OTHER WARRANTIES ARE MADE BY
  55. ServerObjects Inc OR ITS LICENSORS, WHETHER EXPRESSED OR IMPLIED, INCLUDING
  56. THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE,
  57. OR NONINFRINGEMENT.

  59. (d) SOME STATES DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE
  60. EXCLUSION MAY NOT APPLY. IN THAT EVENT, ANY IMPLIED WARRANTIES ARE LIMITED IN
  61. DURATION TO NINETY (90) DAYS FROM THE DATE OF DELIVERY OF THE SOFTWARE. THIS
  62. WARRANTY GIVES THE END USER SPECIFIC LEGAL RIGHTS. THE END USER MAY HAVE OTHER
  63. RIGHTS, WHICH VARY FROM STATE TO STATE.

  65. 4. LIMITATION OF LIABILITY.
  66. UNDER NO CIRCUMSTANCES SHALL ServerObjects Inc BE LIABLE FOR ANY INCIDENTAL,
  67. SPECIAL OR CONSEQUENTIAL DAMAGES, EVEN IF ServerObjects Inc HAS BEEN ADVISED
  68. OF THE POSSIBILITY OF SUCH DAMAGES. SOME STATES DO NOT ALLOW THE LIMITATION
  69. OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES SO THE
  70. ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY.

  72. In no event shall ServerObjects Inc's total liability to Licensee for all damages,
  73. losses, and causes of action (whether in contract, tort (including negligence)
  74. or otherwise) exceed the amount paid by Licensee for the Software.
  75.  
  76. 5. BREACH AND TERMINATION.
  77. (a) This License is effective until terminated. This License may be
  78. terminated by the non-defaulting party if either party materially fails to
  79. perform or comply with this License or any provision hereof.
  80.  
  81. (b) Termination due to a breach of Section 6 shall be effective upon notice.
  82. In all other cases termination shall be effective thirty (30) days after
  83. notice of termination to the defaulting party if the defaults have not
  84. been cured within such thirty (30) day period. The rights and remedies of
  85. the parties provided herein shall not be exclusive and are in addition to
  86. any other rights and remedies provided by law or this Agreement.

  88. (c) Upon termination of this Agreement, all rights and licenses granted
  89. hereunder shall immediately terminate and all Software and other Proprietary
  90. Information of ServerObjects Inc in the possession of Licensee or under its control,
  91. shall be immediately returned to ServerObjects Inc. End user licenses properly
  92. granted pursuant to this Agreement and prior to termination of this Agreement
  93. shall not be diminished or abridged by the termination of this Agreement.
  94.  
  95. 6. GOVERNING LAW.
  96. The rights and obligations under this Agreement shall be governed by the laws
  97. of the State of Texas excluding its conflicts of law rules and United States
  98. law and international treaties governing copyrights.
  99.  
  100. 7. GOVERNMENT END USERS.
  101. (a) If this Software is acquired by or on behalf of a unit or agency of the
  102. United States Government through Licensee, Licensee hereby undertakes to
  103. insert in its contract with the Government the appropriate restricted rights
  104. language.
  105.  
  106. (b) If this Software is acquired by or on behalf of a unit or agency of the
  107. United States Government directly from ServerObjects Inc, this provision applies.
  108. This Software: (i) was developed at private expense, and no part of it was
  109. developed with government funds; (ii) is a trade secret of ServerObjects Inc for
  110. all purposes of the Freedom of Information Act; (iii) is "commercial computer
  111. software" subject to limited utilization as provided in the contract between
  112. vendor and the government entity; and (iv) in all respects is proprietary data
  113. belonging solely to ServerObjects Inc.
  114.  
  115. (c) For units of the Department of Defense (DOD), this Software is sold only
  116. with "Restricted Rights" as that term is defined in the DOD Supplement to
  117. the Federal Acquisition Regulations ("DFARS") 52.227-7013 (c)(1)(ii) and
  118. use, duplication or disclosure is subject to restrictions as set forth in
  119. subparagraph (c)(1)(ii) of the Rights in Technical Data and Computer Software
  120. clause of DFARS 52.227-7013. Manufacturer: ServerObjects Inc
