  1. License Agreement And Limited Warranty
  2. TCK Software Inc.  VForm MFC Control 2.0
  3.  
  4. IMPORTANT--READ CAREFULLY
  5. This TCK Software License Agreement is a legal agreement
  6. between you (either an individual or a single entity)
  7. and TCK Software Inc. for the VForm MFC Control 
  8. ("SOFTWARE PRODUCT").  By installing, copying, or otherwise
  9. using the SOFTWARE PRODUCT, you agree to be bound by the 
  10. terms of this License Agreement.  If you do not agree to
  11. the terms of this License Agreement, do not install or use the 
  12. SOFTWARE PRODUCT; you may, however, return it to your place
  13. of purchase for a refund less a 20% restocking fee and 
  14. shipping charges.  The SOFTWARE PRODUCT may not be 
  15. returned once a SOURCE CODE KEY is issued.
  16.  
  17. 1. DEFINITIONS
  18. SOFTWARE PRODUCT:  This is the TCK Software computer software
  19. contained in the VForm software package or any computer 
  20. software containing parts of the computer software in the 
  21. package. This software could be represented in any form,
  22. including but not limited to the following: in print, as 
  23. electronic source code, as compiled object modules, as 
  24. a library file, a dynamic link library, or an executable program.
  25. Additionally included is any associated media, printed materials,
  26. and "online" or electronic documentation.
  27.  
  28. SOURCE CODE KEY.   A Source Code Key is an encrypted sequence
  29. of numbers and letters that will provide access to the VForm
  30. source code.  Once a Source Code Key is provided to you,
  31. you are no longer eligible to return the SOFTWARE PRODUCT.
  32.  
  33. DISTRIBUTABLE COMPONENTS: The release compiled version of the 
  34. VForm Dynamic Link Library (DLL) - vf.dll.  This dll may be 
  35. recompiled, modified and/or renamed.  The VForm class library 
  36. compiled object modules (in release compiled format only) 
  37. statically linked into your specific purpose application 
  38. software, whether into a DLL or an executable.
  39.  
  40. The VForm Builder and AppWizard are NOT distributable components.
  41.  
  42. None of the distributable components may be distributed in debug
  43. format (compiled with debugging information) unless otherwise 
  44. agreed to by TCK Software in writing.

  46.  
  47. 2. DEVELOPMENT LICENSE
  48. TCK Software grants to you, and you hereby accept, a non-exclusive 
  49. Development License to use the SOFTWARE PRODUCT at a single 
  50. location for the purpose of allowing not more than one person to 
  51. develop custom software applications subject to the conditions 
  52. and restrictions specified in this agreement. You agree to 
  53. install the SOFTWARE PRODUCT on not more than one computer for
  54. the purpose of allowing not more than one person to develop 
  55. applications using the SOFTWARE PRODUCT.  You are purchasing 
  56. only the right to use the SOFTWARE PRODUCT as described herein, 
  57. and are acquiring no rights to the SOFTWARE PRODUCT itself.
  58.  
  59. 3. DISTRIBUTION
  60. You may distribute DISTRIBUTABLE COMPONENTS without 
  61. royalty payment if and only if all of the following 
  62. conditions are satisfied:
  63.  
  64. 3(a).  you may distribute such components solely for the 
  65. purpose of executing specific-purpose application 
  66. programs written using an authorized copy of the
  67. SOFTWARE PRODUCT;
  68. 3(b).  any component of the SOFTWARE PRODUCT must be 
  69. compiled for release (without debugging information);
  70. 3(c)   you may not distribute any other form of the 
  71. SOFTWARE PRODUCT except as expressly provided herein;
  72. 3(d).  you agree not to directly or indirectly distribute 
  73. software which provides similar capabilities to the 
  74. SOFTWARE PRODUCT and which also uses the SOFTWARE PRODUCT 
  75. unless otherwise agreed to by TCK Software in writing;
  76. 3(e).  you remain solely responsible for support, service, 
  77. upgrades, and technical or other assistance, 
  78. required or requested by anyone receiving such components;
  79. 3(f).  you may not use the name, logo, or trademark of 
  80. TCK Software or the SOFTWARE PRODUCT without 
  81. written permission from TCK Software;
  82. 3(g).  you may not alter, disassemble, decompile, 
  83. translate, adapt or reverse-engineer any components that
  84. you have not purchased a source code license for;
  85. 3(h).  TCK Software makes no warranty other than the 
  86. Limited License warranty provided in this agreement 
  87. to you; and 
  88. 3(i).  you will indemnify TCK Software against any 
  89. claims or liabilities arising out of its use, 
  90. reproduction or distribution, and the use by the 
  91. recipients or copies made thereunder.
  92.  
  93. 4. PRINTED DOCUMENTATION
  94. You are authorized to print one and only one copy of the on-line 
  95. documentation for your reference provided that you mark any such 
  96. printed documentation clearly with your serial number and 
  97. provided that you did not obtain a printed copy of such 
  98. documentation from TCK Software or its distributors.  In the event 
  99. that you print a copy and then later obtain a copy of the same 
  100. documentation from TCK Software or its distributors, you agree to 
  101. destroy the copy that you printed.
  102.  
  103. 5. LIMITED USE
  104. You agree not to indirectly or directly use the SOFTWARE
  105. PRODUCT for the purposes of producing a software product which
  106. competes with the SOFTWARE PRODUCT.  You agree that TCK Software 
  107. will be the sole arbitrar for deciding if developed software
  108. competes with the SOFTWARE PRODUCT.
  109.  
  110. 6. COPYRIGHT
  111. The Software and other accompanying materials, including but not 
  112. limited to printed or electronic text and images, is owned by 
  113. TCK Software or its suppliers and is protected by copyright laws
  114. and international treaty provisions.  You may not make copies 
  115. of this copyrighted material except as expressly provided herein.
  116. You may not alter, remove of destroy any copyright notice,
  117. trademark, trade secret or other proprietary rights.
  118.  
  119. 7. LIMITED WARRANTY
  120. To the maximum extent permitted under applicable law, the 
  121. SOFTWARE PRODUCT and accompanying materials are provided "AS IS".
  122. If for any reason you are dissatisfied with the SOFTWARE PRODUCT
  123. you may return it for a full refund less a 20% restocking fee
  124. and less shipping costs within 30 days after the date of purchase.
  125.  
  126. NO OTHER WARRANTIES. TO THE MAXIMUM EXTENT PERMITTED BY 
  127. APPLICABLE LAW, TCK SOFTWARE AND ITS SUPPLIERS DISCLAIM 
  128. ALL OTHER WARRANTIES AND CONDITIONS, EITHER EXPRESS OR IMPLIED,
  129. INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF 
  130. MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND 
  131. NON-INFRINGEMENT, WITH REGARD TO THE SOFTWARE PRODUCT, AND THE 
  132. PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES. THIS LIMITED 
  133. WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS. YOU MAY HAVE OTHERS,
  134. WHICH VARY FROM STATE/JURISDICTION TO STATE/JURISDICTION.
  135.  
  136. LIMITATION OF LIABILITY. TO THE MAXIMUM EXTENT PERMITTED BY 
  137. APPLICABLE LAW, IN NO EVENT SHALL TCK SOFTWARE OR ITS SUPPLIERS 
  138. BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL 
  139. DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS 
  140. OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFOR-
  141. MATION, OR ANY OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OF OR 
  142. INABILITY TO USE THE SOFTWARE PRODUCT OR THE PROVISION OF OR 
  143. FAILURE TO PROVIDE SUPPORT SERVICES, EVEN IF TCK SOFTWARE HAS BEEN
  144. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN ANY CASE, 
  145. TCK SOFTWAREÆS ENTIRE LIABILITY UNDER ANY PROVISION OF THIS 
  146. LICENSE AGREEMENT SHALL BE LIMITED TO THE GREATER OF THE AMOUNT 
  147. ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR US$5.00. BECAUSE 
  148. SOME STATES AND JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR 
  149. LIMITATION OF LIABILITY, THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

  151. You accept full responsibility for determining whether the 
  152. SOFTWARE PRODUCT is suitable for any particular purpose and 
  153. for protecting yourself against any possible incidental or 
  154. consequential damages.
  155.  
  156. 8. OTHER RESTRICTIONS
  157. 8(a).  Rental. You may not rent, loan or lease the 
  158. SOFTWARE PRODUCT.
  159. 8(b).  Export. Any export of the SOFTWARE PRODUCT or its 
  160. technical data from the United States may be restricted 
  161. by U.S. export control laws, and accordingly you must 
  162. comply with such laws before engaging in any such export.
  163. 8(c).  Limitations on Modifications or Reverse 
  164. Engineering. You shall not cause or permit the 
  165. reverse engineering, alteration, disassembly, 
  166. decompilation, translation or adaptation of any 
  167. non-source code component of the SOFTWARE PRODUCT, 
  168. or take any action inconsistent with TCK Software's 
  169. or its suppliers' ownership of the SOFTWARE PRODUCT.
  170. 8(d).  No Separation of Components. The SOFTWARE 
  171. PRODUCT is licensed as a single product, and neither 
  172. the software programs comprising the SOFTWARE 
  173. PRODUCT or any update or upgrade may be separated 
  174. for use by more than one user at a time.
  175. 8(e).  Termination. Without prejudice to any other 
  176. rights,  TCK Software may terminate this Agreement if 
  177. you fail to comply with the terms and conditions of 
  178. this Agreement. In such event, you must destroy all 
  179. copies of the SOFTWARE PRODUCT.
  180.  
  181. 9. SOFTWARE TRANSFER
  182. You may permanently transfer all of your rights under this 
  183. license, provided you retain no copies, you transfer all of 
  184. the SOFTWARE PRODUCT (including all component parts, the 
  185. media and printed materials, and any upgrades), you notify
  186. TCK Software of such transfer in writing, and the recipient
  187. agrees to the terms of this license.  If the SOFTWARE PRODUCT 
  188. is an upgrade, any transfer must include all prior versions.
  189. You may not transfer, assign, rent, lease, sell or 
  190. otherwise dispose of the License except as expressly provided 
  191. herein.

  193. 10. GOVERNING LAW
  194. This agreement is governed by the laws of the State of Illinois, 
  195. United States.  Each party irrevocably submits to the exclusive
  196. jurisdiction of the courts of the State of Illinois.
  197.  
  198. 11. U.S. GOVERNMENT RESTRICTED RIGHTS.
  199. The SOFTWARE PRODUCT is provided with RESTRICTED RIGHTS. 
  200. Use, duplication, or disclosure by the Government is subject 
  201. to restrictions as set forth in subparagraph (c)(1)(ii) of
  202. the Rights in Technical Data and Computer Software clause at 
  203. DFARS 252.227-7013 or subparagraphs (c)(1) and (2) of the 
  204. Commercial Computer Software-Restricted Rights at 
  205. 48 CFR 52.227-19, as applicable. 
  206.  
  207. 12. ENTIRE AGREEMENT
  208. This document constitutes the entire agreement of the
  209. parties regarding the subject matter herein. All rights 
  210. not expressly granted to you are retained by TCK Software.
  211. The failure of TCK Software to enforce any right or claim
  212. against you shall not be deemed a waiver of such right or
  213. claim or any other right or claim hereunder.  No modification
  214. to this Agreement shall have effect unless in writing and 
  215. signed by the authorized representative of the parties.  If 
  216. any provision of this Agreement is ruled invalid, such 
  217. invalidity shall not affect the validity of the remaining 
  218. portions of this Agreement.
