  1.          ACLYPSE HYPERCYCLE SOFTWARE LICENSE AGREEMENT
  2.  
  3. This Software License Agreement (the "Agreement") is a legal 
  4. agreement between you, the software user, and Aclypse Corporation for use
  5. of this Software ("HYPERCYCLES" and all related components). By continuing 
  6. the installation, copying, or execution of this software on your computer 
  7. system(s), you are agreeing to be bound by the terms of this Agreement.  
  8.  
  9.      1.   Grant of License.  Aclypse Corporation grants to you the right 
  10. to use this software, which is the shareware version of the "HYPERCYCLES" 
  11. software.  For purposes of this section, "use" means loading the Software 
  12. onto and/or execution of this software on a computer system.
  13.  
  14.      You can not sell, rent, lease, distribute for money, alter, translate, 
  15. disassemble, reverse engineer, or create derivative works based upon this 
  16. Software.  You agree that the Software will not be shipped, transferred or  
  17. exported into any country in violation of the U.S. Export Administration Act 
  18. (or any other law governing such matters). and that you will not utilize, in 
  19. any other manner, the Software in violation of any applicable law.

  21.      2.  All Commercial Use is Prohibited. You can not under any circumstances 
  22. be permitted to commercially exploit the Software.  
  23.          
  24.      You prohibited and can not sell, rent, lease, pay-per-play, charge for 
  25. distribution, or in any manner commercially exploit the Software for any 
  26. commercial purpose.
  27.  
  28.      Aclypse Corporation reserves all rights. 
  29.      
  30.      Any individual, company, or entity which wishes for commercial, MUST
  31.      contact and receive expressed written permission for distribution for
  32.      money, or other considerations.
  33.  
  34.      3.  Electronic Distribution is Permitted. Aclypse Corporation grants to 
  35. you the right to distribute, royalty free and by electronic means only, the 
  36. Software; provided, however the Software is in original form. 
  37.  
  38.      4.   Copyrights and Trademarks of this Software are owned by Aclypse 
  39. Corporation. This Software is protected by United States copyright laws and 
  40. international treaty provisions.  You must treat the Software like any other 
  41. copyrighted material, except that you may make copies of the Software to give 
  42. to other persons.  You may not charge or receive any consideration from any 
  43. other person for the receipt or use of the Software without receiving 
  44. prior written consent from Aclypse Corporation as specified in the VENDOR.TXT 
  45. file.  You agree to use your best efforts to see that any user of this 
  46. Software licensed hereunder complies with this Agreement.

  48.    5.  ACLYPSE CORPORATION DISCLAIMS ALL OTHER WARRANTIES, EITHER 
  49. EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF 
  50. MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT TO THE 
  51. SOFTWARE AND THE ACCOMPANYING WRITTEN MATERIALS, IF ANY.  THIS LIMITED 
  52. WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS.  YOU MAY HAVE OTHERS WHICH VARY 
  53. FROM JURISDICTION TO JURISDICTION.

  55. IN ANY CASE, ACLYPSE CORPORATION SHALL NOT BE LIABLE FOR LOSS OF DATA, 
  56. LOSS OF PROFITS, LOST SAVINGS, SPECIAL, INCIDENTAL, CONSEQUENTIAL, INDIRECT 
  57. OR OTHER SIMILAR DAMAGES ARISING FROM BREACH OF WARRANTY, NEGLIGENCE, OR OTHER 
  58. LEGAL THEORY EVEN IF ACLYPSE CORPORATION OR ITS AGENT HAS BEEN ADVISED 
  59. OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  
  60. Some jurisdictions do not allow the exclusion or limitation of incidental 
  61. or consequential damages, so the above limitation or exclusion may not apply 
  62. to you.

  64.      8.   General Provisions.  Neither this Agreement nor any part or portion 
  65. hereof shall be assigned or sublicensed, except as described herein.  Should 
  66. any provision of this Agreement be held to be void, invalid, unenforceable or 
  67. illegal by a court, the validity and enforceability of the other provisions 
  68. shall not be affected thereby.  If any provision is determined to be 
  69. unenforceable, you agree to a modification of such provision to provide for 
  70. enforcement of the provision's intent, to the extent permitted by applicable 
  71. law.  Failure of a party to enforce any provision of this Agreement shall not
  72. constitute or be construed as a waiver of such provision or of the right to 
  73. enforce such provision.

  75. If you fail to comply with any terms of this Agreement, your license is
  76. automatically terminated.

  78.      YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, YOU UNDERSTAND 
  79. THIS AGREEMENT, AND UNDERSTAND THAT BY CONTINUING THE INSTALLATION OF THE 
  80. SOFTWARE, BY LOADING OR RUNNING THE SOFTWARE, OR BY PLACING OR COPYING THE 
  81. SOFTWARE ONTO YOUR COMPUTER HARD DRIVE, YOU AGREE TO BE BOUND BY THIS 
  82. AGREEMENT'S TERMS AND CONDITIONS.  YOU FURTHER AGREE THAT, EXCEPT FOR 
  83. WRITTEN SEPARATE AGREEMENTS BETWEEN ACLYPSE CORPORATION AND YOU, THIS
  84. AGREEMENT IS A COMPLETE AND EXCLUSIVE STATEMENT OF THE RIGHTS AND 
  85. LIABILITIES OF THE PARTIES.  THIS AGREEMENT SUPERSEDES ALL PRIOR ORAL 
  86. AGREEMENTS, PROPOSALS OR UNDERSTANDINGS, AND ANY OTHER COMMUNICATIONS 
  87. FROM ACLYPSE CORPORATION.
