- At times throughout this text, the various coordinators etc. will be
- referred to by their title initials. These initials are as follows
-
- LN - Local Node
- AH - Area Hub
- RC - Regional Coordinator
- NC - National Coordinator
-
- I. Local Nodes
-
- ALL Local Node Numbers will be assigned by the Regional Coordinator with
- immediate forwarding of signed application to NC for final approval and
- filing.
-
- 1. Responsibilities
-
- a. Prompt Collection and Distribution of Funds
-
- It is the Local Node's responsibility to maintain a timely and
- efficient collection of all payments which pertain to SilverNet. These
- funds shall be promptly distributed to their proper RC as is outlined
- in the enclosed document SILVER.PAY. Failure to do so is deemed
- grounds for suspension and/or deletion from any and all SilverNet
- functions and activities.

- b. Prompt Collection and Distribution of Silvernet Data.
- It is the Local Node's responsibility to poll and send and collect
- silvernet data to its respective area or regional hub at the
- preestablished times scheduled for that area on a daily basis.
- This daily distribution of data affords our customers immediate
- access to markets unlike any other advertising media..

- c. Usage of Handles and Real Names
-
- SilverNet does not recognize the usage of handles within the Network
- Message Areas. A message can be signed with a handle but the
- originating FROM line must be a real name. All local SysOps must be
- sure their respective BBS has all SilverNet Areas configured to accept
- only REAL names. If a user has logged onto the local SysOp's BBS using
- a handle and the local SysOp is aware of this, the local SysOp must
- use whatever means are necessary to lock said user out of posting any
- messages within the SilverNet Areas.

- d. Msgs of Discriminatory, Inflammatory, and Morally Offensive Nature
-
- To protect the interests of all within the Network, No messages shall
- be distributed which can be in any way construed as discriminatory,
- personally inflammatory, or moral offensive. This is not to say these
- subjects cannot be discussed, only that these matters cannot be
- director towards any other person or group of persons.

- e. Solicitation of Business
-
- It is the LN's responsibility to solicit new business from their
- repective assigned areas. Each LN can solicit new business from
- outside their areas as well. Each LN must display the availability
- of silvernet services in a prominent position on his BBS to make his
- users aware of the availability of the service and its benefits.
-
- f. Downtime
-
- If any LN is planning an extended downtime of their BBS for any
- reason, they shall give a minimum of 24 hours notice to their AH.
- Due to the volatile nature of most BBS software, if a LN plans on
- leaving the BBS running in an untended node for more than 72 hours,
- they shall notify their AH. Failure to poll the responsible Hub for
- upload or download of silvernet data without proper explanation can
- be cause for suspension or deletion from Silvernet functions and
- activities.

- g. Suspension of Silvernet Activities
- Upon suspension or termination of participation in the silvernet network
- the Local Node must immediately make final payment of all revenue due
- to Silvernet and immediately cease the use of the Silvernet name and
- data in any of its activities.

- h. It is hereby understood and agreed that a Local Nodes is an Individual
- Marketing contractor for the sale of Silvernet services and is in
- no way employed by or an employee of Solve-It, inc, or Silvernet and
- is responsible for his/her own taxes and other expenses as with any
- other self-employed person.
- 2. Rights
-
- a. Appeal of Hub's Decisions
-
- It is always within the local Nodes Rights to challenge or otherwise
- appeal any decison of their respective Hub. This challenge must first
- be presented to the local SysOp's Hub. If the Hub does not satisfy the
- local SysOp's challenge, then it is within the local SysOp's rights to
- appeal to the RC. While any Hub's decision is being appealed by
- a local SysOp, the Hub's decision shall be in effect. The National
- Coordinator may review Regional Hub decisions under special appeals
- but except for special circumstances the Regional Hub decision will
- stand.

- b. Right of Participation
-
- Unless a local SysOp is suspended or deleted, any and all pertinent
- areas of SilverNet shall be made available by that Local SysOp's Hub.
-
- c. Right to Fair and Expediant Hearing
-
- It is within the rights of each and every LN to expect and receive
- prompt and fair treatment pertaining to any Appeal made to the RC.
- Any appeal made to the RC will be decided upon within a two week
- period and the LN will be notified of decision via phone, U.S.
- Mail, or Electronic Mail.

- II. Area Hubs (AH)
-
- ALL Area Hub Node Numbers will be assigned by the Regional Coordinator with
- immediate forwarding of signed application to NC for final approval and
- filing.
-
- 1. Responsibilities
-
- a. Solicitation of Nodes and Business
-
- In the best interest of all levels of those involved with SilverNet
- each AH is expected to use whatever means are necessary to announce
- the availability of SilverNet throughout their respective areas.
-
- Each AH is also expected to solicit business within their respective
- Area. Failure of an Area Hub to generate business in proportion to
- other Area Hubs can be reason for reassignment of Hub status to a new
- node.
-
- The continued success of SilverNet depends on the above and without
- SilverNet network the opportunity of national advertising capability
- and services would not be available.
-
- b. Availability of all EchoAreas and Functions Within SilverNet
-
- The AH will at all times make all pertinent area and functions within
- SilverNet available to all LN's assigned beneath them and make
- available Region defined polling times for both upload and download
- of silvernet data to both Local Nodes and to the Regional Node.
- As the Area Hub is key to the functioning of that specific area
- the inability to provide for polling services for any timeframe
- must immediately be communicated to the Regional Hub for temporary
- reassignment of Hub functions to another node...Failure to properly
- perform these functions and failure of notification when leaving
- system unattended for any period of time can be cause for termination
- and reassignment of Hub status..

- It is the Area Hubs responsibility to maintain a timely and
- efficient collection of all payments which pertain to SilverNet. These
- funds shall be promptly distributed to their proper RC as is outlined
- in the enclosed document SILVER.PAY. Failure to do so is deemed
- grounds for suspension and/or deletion from any and all SilverNet
- functions and activities.

- c. Conformation to SilverNet Policies
-
- Not only is it the AH's responsibility to maintain complete and
- total conformation of all rules and regulations pertaining to
- SilverNet, it is the AH's responsibility to be sure all LN's do the
- same.
-
- d. Downtime
-
- The AH shall notify their repective RC of planned Downtime. If
- downtime will exceed 24 hours, the RC will temporarily assign the
- Area to another SysOp.
-
- IMPORTANT - IF A AH MISSES PICKING UP 2 CONSECUTIVE MAIL PACKAGES
- WITHOUT PRIOR NOTIFICATION TO THEIR RC, THEIR RC WILL REASSIGN THEIR
- AREA TO ANOTHER CONSENTING SYSOP. THE AREA WILL REMAIN WITH THE
- TEMPORARY SYSOP UNTIL A SATISFACTORY EXPLANATION CAN BE OBTAINED BY
- THE RC.

- e. Suspension of Silvernet Activities
-
- Upon suspension or termination of participation in the silvernet network
- the Area Hub must immediately make final payment of all revenue due
- to Silvernet and immediately cease the use of the Silvernet name and
- data in any of its activities. The area hub agrees not to use the
- contents and information learned in silvernet to aid an existing
- competing network or establish a new competing network.

- f. It is hereby understood and agreed that an Area Hub is an Individual
- Marketing contractor for the sale of Silvernet services and is in
- no way employed by or an employee of Solve-It, inc, or Silvernet and
- is responsible for his/her own taxes and other expenses as with any
- other self-employed person.

- 2. Rights
-
- a. Suspension/Deletion of LN
-
- It is within the AH's rights to suspend or delete any LN assigned
- to it. If the LN does appeal the AH's decision then as per item
- I.2.a above, the AH's decision will remain in effect until a final
- determination can be made by the RC. The AH can appeal any RC's
- decision directly to first the RC and then the NC. If RC is not
- first notified of appeal, then NC will not involve themselves. The
- RC's decision will remain in effect until a final determination can
- be made by the NC. All suspensions and deletions will be promptly
- forwarded to NC for proper updating and filing of node data.

- b. Right of Participation

- It is within the rights of each AH to participate in any and all
- pertinent areas of SilverNet.
-
- c. Right to Fair and Expediant Hearing

- It is within the rights of each and every AH to expect and receive

- conflicts or detracts from the Regional or the National Policy and
- follows all legal guidelines of the area.

- III. Regional Coordinator
-
- 1. Responsibilities
-
- In addition to the pertinent responsibilities listed above, each RC
- will do the following
-
- a. Solicitation of Nodes and Business
-
- In the best interest of all levels of those involved with SilverNet
- each RC is expected to use whatever means are necessary to announce,
- the the availability of SilverNet throughout their respective areas.
-
- Each RC is also expected to solicit business within their respective
- Area. Failure of an Regional Coordinator to generate business in
- proportion to other Area Hubs can be reason for reassignment of Hub
- status to a new node.
- The continued success of SilverNet depends on the above and without
- SilverNet network the opportunity of national advertising capability
- and services would not be available.

- a. Collection and Distribution of SilverNet Funds

- It is each RC's responsibility to collect all funds due SilverNet
- from each LN and AH assigned below it. It is the RC's duty to
- provide prompt payment of said funds to the NC on a schedule of
- payment determined by the NC and to provide commission payment to
- all Area Hubs under the established pay rates(see Silver.pay).

- b. Conformation to SilverNet Policies and Procedures
-
- Each RC is expected to conform to all policies and procedures
- pertaining to SilverNet. The RC is at all times held accountable
- not only for the AH's assigned to it but also each and every
- individual LN in its region. It is hoped SilverNet will be self
- policing but in the event it is not, it is up to the RC to assure
- the smooth running of all nodes, hubs, and points within their
- region. In the case of any issues arising out of conduct and policy
- The National Coordinator will make final determination of hub
- status.

- c. Assigning of Node Numbers
-
- Given that a requesting SysOp meets the standards and requirements
- of SilverNet, it is each RC's responsibility to promptly issue a
- Node number to the requesting SysOp within seven (7) days.
- It is the RC's reponsibility to send a signed copy of the Node
- agreement to the NC for filing and updating of node information.

- d. Downtime
-
- The RC shall notify the NC of planned Downtime. If downtime will
- exceed 24 hours, the NC will temporarily assign the region to
- another SysOp.
-
- IMPORTANT - IF A RC MISSES PICKING UP 2 CONSECUTIVE MAIL PACKAGES
- WITHOUT PRIOR NOTIFICATION TO THE NC, THE NC WILL REASSIGN THEIR
- REGION TO ANOTHER CONSENTING SYSOP. THE REGION WILL REMAIN WITH THE

- THE NC.

- e. Each RC will assign a mail-time for the AH's and those Local Nodes
- for which there is no area hub. The RC will be responsible for
- sending all data received from Area Hubs(or Local Nodes) to the
- National Coordinator for consolidation and for downloading all
- data from the National Hub for distribution to the Area Hubs and
- Local Nodes.

- It is the responsibility of each RC to daily send all silvernet data
- both local and national to the NC on a scheduled upload poll and to
- download all national and regional ads from the NC on a scheduled
- download poll. Depending on the traffic this polling may occur once
- per day for uploads and downloads or may occur several times per
- day if traffic warrants, in order to provide all customers immediate
- availability of their ads..

- f. Suspension of Silvernet Activities

- Upon suspension or termination of participation in the silvernet network
- the Regional Coord. must immediately make final payment of all revenue
- due to Silvernet and immediately cease the use of the Silvernet name and
- data in any of its activities. The Regional coordinator agrees not to use
- the contents and information learned in silvernet to aid an existing
- competing network or establish a new competing network.

- g. It is hereby understood and agreed that a Regional Coordinator is an
- Individual Marketing contractor for the sale of Silvernet services
- and is in no way employed by or an employee of Solve-It, inc, or
- Silvernet and is responsible for his/her own taxes and other expenses
- as with any other self-employed person.

- 2. Rights
-
- a. It is within the rights of all RC to suspend or delete any BBS
- in its region as long as such action in no way conflicts with
- National Policy. This includes AH's as well as LN's. All
- deletions and suspensions will be netmailed to the National
- Coordinator for filing and updating of node status information.

- b. It is within the rights of each RC to develop and dictate
- policy to be enforced within their region as long as it in no
- way conflicts with the National Policy.

- c. It is within the rights of the RC to expect their region to be a
- protected Region with no assigning of Node Numbers and no breaking
- up of their Region without their consent.
-
- d. An RC does have the right to the protection of infringement of
- their region from other RC's. This pertains to both Nodes as
- well as income generation from all aspects of SilverNet. The
- exception to this rule would be - if a RC (or assigned LN or AH)
- develops an account with a national organization which has
- offices within another Region. The RC of the Region in which the
- office(s) are contained will retain all overides from this
- account but the RC from the Region from which the ad originates
- will retain the other commissions.

- IV. National Coordinator
- Solve-It, Inc. is the originator and developer of the Silvernet
- Commercial Services Network and maintains all rights of said network
- and to the status of National Coordinator.

- 1. Responsibilities
-
- a. Solicitation of Nodes and Business
-
- The National Coordinator is responsible for coordinating the efforts
- of the Regional Coordinators to ensure a high level of awareness of
- the Silvernet On-line Network within each of the regions and nationally.
- This will involve the sharing of marketing ideas and techniques,
- the sharing of the best techniques for advertising the system and
- for developing press releases,brochures, and other advertising
- material to ensure the continued success of the system as a whole.
- The National Coordinator will also research,develop and implement new
- services to fit into and increase the diversity of the Silvernet
- Online Services Network.

- a. Assigning of Node Numbers
-
- NC will collect all new node numbers and copies of registration
- agreements from Regional Coordinators for filing.. NC will be
- responsible for compiling and maintaining the Silvernet nodelist
- and ensuring all new nodes are assigned within 7 days of receipt.
-
- a. Collection and Distribution of SilverNet Funds
-
- It is the NC's responsibility to ensure by any means needed that
- all funds are properly collected and redistributed based on current
- pay schedules and percentages to all nodes and Hubs and that any
- breach in collections and distributions is promptly corrected.
-
- b. Conformation to SilverNet Policies and Procedures
-
- It is the National Coordinators responsibility to ensure that
- each RC properly implements and enforces all Silvernet Policies
- and procedures in its Region and that each RC assures the smooth
- running of all nodes, hubs and points within his system.
- NC will be the final point of appeal for all node issues and
- appeals as outlined above.

- c. Assigning of Regional Sites.
-
- Given that a SysOp meets the standards and requirements
- of SilverNet, it is the NC's responsibility to assign Regional
- Hub Status and to ensure that each regional Hub works towards
- the development and profitability of Silvernet in his region.

- d. Distribution of Silvernet Data.
-
- The NC will consolidate all silvernet data from each of the Regional
- Hubs at the established daily polling times.. The NC will make this
- data available to all Region Hubs for download and redistribution
- at established daily poll times.
- IF for any reason the NC is unable to meet any polling requirements
- NC will delegate such responsibility to one of the Regional Hubs
- for the time required or make suitable alternative arrangements
- so that no polling schedule is missed...

- 2. Rights
-
- a. It is within the rights of NC to develop and dictate national
- Silvernet Policy to ensure profitable and smooth operation of
- Silvernet as a whole.

- b. It is within the rights of NC to suspend or delete any Regional
- Hub which does not follow and enforce national Silvernet Policy
- and to reassign such Hub status.
-
- c. It is within the rights of NC to request the RC to suspend or
- delete any Node which does not follow and enforce national
- Silvernet Policy.RC has the right to appeal such request with
- written explanation within 7 days.

- All advertisements posted on the Silvernet network become the property of
- Silvernet and may not be distributed in any other commercial form without
- the express consent and agreement with the National Coordinator..
-
- All nodes must carry at minimum the Required Silvernet message areas.
- ..those areas specific to silvernet business must be defined as private
- viewable by silvernet nodes only.
-
- All nodes must provide full access to Area Hub, Regional Hub, and National
- Coordinator.
- Those becoming members of SilverNet have read and agree to abide by all of
- the above.
