  1. LICENSE AGREEMENT
  2.  
  3. CAREFULLY READ THE TERMS AND CONDITIONS OF THIS AGREEMENT. BY CLICKING 
  4. ON THE 'YES' BUTTON, YOU AGREE TO BE BOUND BY AND ARE BECOMING A PARTY 
  5. TO THIS AGREEMENT. IF YOU DO NOT AGREE TO ALL OF THE TERMS OF THIS 
  6. AGREEMENT, CLICK THE 'NO' BUTTON AND THE SOFTWARE WILL NOT BE 
  7. INSTALLED ON YOUR COMPUTER.

  9. 1. Subject to the terms of this Agreement, Kiss Software Corporation 
  10. ("KISSCO") grants to you a non-exclusive license to use the Software 
  11. in binary executable form only as defined below.
  12.  
  13. 2. If you have paid for the Software, you are granted a fully-paid 
  14. license to use the Software.
  15.  
  16. 3. If you have acquired the Software for a limited-time evaluation, 
  17. you are granted a license for the duration of the evaluation period 
  18. only.  You understand and agree that at the end of the evaluation 
  19. period, the Software will not function and your license is terminated 
  20. unless you pay for the Software, at which time your license will 
  21. automatically convert to a fully-paid license.

  23. 4. You may use the Software as a single individual only. You may 
  24. transfer the Software from one computer to another as long as you 
  25. abide by the stipulation that the Software is to be used by one 
  26. individual. You may install the Software in a multi-user system or 
  27. network providing you purchase a copy of the Software for each 
  28. individual that uses the Software. You may copy the Software only 
  29. for backup purposes so long as a complete and full copy is made and 
  30. all copyright and other proprietary notices on the original are 
  31. reproduced on the copy.

  33. 5. You may not resell the Software.  You may not copy the Software, 
  34. nor print copies of any related material except as defined above.  
  35. The Software contains trade secrets, and in order to protect those 
  36. trade secrets, you may not decompile, reverse engineer, disassemble 
  37. or otherwise convert the Software to human-readable form, whether 
  38. written, magnetically recorded or otherwise.

  40. 6. All right, title and interest (including copyright) in and to the 
  41. Software shall remain in KISSCO. You agree to abide by the copyright 
  42. law and all other applicable laws of the United States including, but 
  43. not limited to, export control laws. Any trademark, trade name, 
  44. copyright, or other proprietary notices, legends, symbols, or labels 
  45. appearing on or in the Software provided to you shall not be removed 
  46. or altered and shall be accurately reproduced by you on any and all 
  47. copies of the Software.

  49. 7. This license will remain in effect until terminated.  If you 
  50. transfer possession of any copy of the Software to another party, the 
  51. license is automatically terminated.  If you fail to comply with the 
  52. terms and conditions of this agreement, the license is automatically 
  53. terminated.  You may terminate this license by destroying all copies, 
  54. modifications or portions of the program.
  55.   
  56. YOU MAY NOT USE, COPY, TRANSFER, RESELL, SUBLICENSE OR RENT THE 
  57. SOFTWARE OR ANY PORTION OF THE SOFTWARE IN WHOLE OR IN PART, EXCEPT 
  58. AS EXPRESSLY PROVIDED FOR IN THIS LICENSE AGREEMENT.

  60. LIMITED WARRANTY
  61.  
  62. KISSCO MAKES NO WARRANTIES, EXPRESSED OR IMPLIED, INCLUDING WITHOUT 
  63. LIMITATION THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR 
  64. A PARTICULAR PURPOSE, REGARDING THE SOFTWARE. KISSCO DOES NOT 
  65. WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATION REGARDING THE USE OR 
  66. THE RESULTS OF THE USE OF THE SOFTWARE IN TERMS OF ITS CORRECTNESS, 
  67. ACCURACY, RELIABILITY, CURRENTNESS, OR OTHERWISE. THE COMPLETE RISK 
  68. AS TO THE PERFORMANCE OF THE SOFTWARE IS ASSUMED BY YOU. THE 
  69. EXCLUSION OF IMPLIED WARRANTIES IS NOT PERMITTED BY SOME 
  70. JURISDICTIONS. THE ABOVE EXCLUSION MAY NOT APPLY TO YOU.

  72. IN NO EVENT WILL KISSCO, AND THEIR DIRECTORS, EMPLOYEES, OR AGENTS BE 
  73. LIABLE TO YOU FOR ANY CONSEQUENTIAL, INCIDENTAL, OR INDIRECT DAMAGES 
  74. (INCLUDING DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS 
  75. INTERRUPTION, LOSS OF BUSINESS INFORMATION, AND THE LIKE) ARISING 
  76. FROM THE USE OR INABILITY TO USE THE SOFTWARE EVEN IF KISSCO HAS BEEN 
  77. ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. BECAUSE SOME JURISDICTIONS 
  78. DO NOT ALLOW THE EXCLUSION OF LIMITATIONS OF LIABILITY FOR 
  79. CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE EXCLUSION MAY NOT 
  80. APPLY TO YOU.

  82. KISSCO'S LIABILITY TO YOU FOR ACTUAL DAMAGES FROM ANY CAUSE 
  83. WHATSOEVER, AND REGARDLESS OF THE FORM OF THE ACTION (WHETHER IN 
  84. CONTRACT, TORT (INCLUDING NEGLIGENCE), PRODUCT LIABILITY, OR OTHERWISE) 
  85. WILL BE LIMITED TO THE AMOUNT YOU HAVE PAID FOR THE SOFTWARE, BUT IN 
  86. NO CASE WILL THE AMOUNT EXCEED $50 USD.
