  3. TEN SOFTWARE LICENSE AGREEMENT
  4.  
  5. IMPORTANT: YOU SHOULD CAREFULLY READ THE FOLLOWING
  6. TERMS AND CONDITIONS BEFORE PROCEEDING WITH THIS PROGRAM.
  7. DOING SO INDICATES YOUR ACCEPTANCE OF THESE  TERMS AND 
  8. CONDITIONS.  IF YOU DO NOT AGREE WITH THESE TERMS AND 
  9. CONDITIONS, YOU SHOULD PROMPTLY EXIT THE PROGRAM.  BY 
  10. ENTERING INTO THIS LICENSE, YOU CERTIFY TO TEN THAT YOU ARE 
  11. AT LEAST 18 YEARS OF AGE.
  12.  
  13. T E Network, Inc. ("TEN"), the owner of this software program (the "Program"), 
  14. grants to you a non-exclusive license to use the Program and its related 
  15. documentation (the "Documentation") only under the following terms and 
  16. conditions.
  17.  
  18. LICENSE -- what you can do with the Program
  19.  
  20. PROVIDED THAT YOU ARE AT LEAST 18 YEARS OF AGE, you may:
  21. -Use the Program solely for accessing the Total Entertainment Network (the 
  22. "TEN Service");
  23. -Copy the Program for backup purposes in support of your use of the Program 
  24. in accordance with this Agreement;
  25. -Copy and install the Program on more than one computer, or physically 
  26. transfer the Program from one computer to another; and
  27. -Transfer all of your rights in the Program under this Agreement to another 
  28. person, provided the other person  is at least 18 years of age and agrees to 
  29. accept the terms and conditions of this Agreement.

  31. YOU MAY NOT USE, COPY, MODIFY, OR TRANSFER THE PROGRAM OR 
  32. DOCUMENTATION, EXCEPT AS EXPRESSLY SET FORTH IN THIS 
  33. AGREEMENT.  YOU MUST REPRODUCE AND INCLUDE THE COPYRIGHT 
  34. NOTICE ON ANY COPY OF THE PROGRAM OR DOCUMENTATION.  
  35. The Program contains copyrighted material, trade secrets and other proprietary 
  36. material.  You agree that except as permitted by applicable legislation, you will 
  37. not decompile, reverse engineer, disassemble or otherwise reduce the 
  38. Program to a human perceivable form.
  39.  
  40. TERM.  This Agreement is effective until terminated.  You may terminate it at 
  41. any time by destroying all copies of the Program and the Documentation.  
  42. TEN may terminate your license at any time if you breach any of the terms of 
  43. this Agreement or if any of the representations you make in this Agreement 
  44. turn out to be false. Upon such termination, you must destroy all copies of the 
  45. Program and the Documentation.  If you accept a TEN Online Customer 
  46. License and Membership Agreement ("Online Agreement"), then the license 
  47. in the Online Agreement shall supersede and replace this Agreement.
  48.  
  49. LIMITED WARRANTY; LIMITATION OF REMEDIES.  THE PROGRAM AND 
  50. DOCUMENTATION ARE PROVIDED "AS IS" WITHOUT WARRANTY OF ANY 
  51. KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, 
  52. THE IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A 
  53. PARTICULAR PURPOSE.  THE ENTIRE RISK AS TO THE QUALITY AND 
  54. PERFORMANCE OF THE PROGRAM AND DOCUMENTATION IS WITH YOU.  
  55. SHOULD THE PROGRAM PROVE DEFECTIVE, YOU ASSUME THE ENTIRE 
  56. COST OF ALL NECESSARY SERVICING, REPAIR OR CORRECTION.  TEN 
  57. DOES NOT WARRANT THAT THE FUNCTIONS CONTAINED IN THE 
  58. PROGRAM WILL MEET YOUR REQUIREMENTS OR THAT THE OPERATION 
  59. OF THE PROGRAM WILL BE UNINTERRUPTED OR ERROR-FREE.

  61. IN NO EVENT WILL TEN BE LIABLE TO YOU FOR ANY DAMAGES, 
  62. INCLUDING BUT NOT LIMITED TO ANY LOST PROFITS, LOST SAVINGS 
  63. OR OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT 
  64. OF THE USE OR INABILITY TO USE THE PROGRAM, EVEN IF TEN HAS 
  65. BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, OR FOR ANY 
  66. CLAIM BY ANY OTHER PARTY.

  68. Some states do not allow the exclusion of implied warranties or the limitation 
  69. or exclusion of liability for incidental or consequential damages, so the above 
  70. exclusions may not apply to you.
  71.  
  72. GENERAL
  73. You may not sublicense, assign or transfer the license or the Program except 
  74. as expressly provided in this Agreement.  Any attempt otherwise to sublicense, 
  75. assign or transfer any of the rights, duties or obligations under this Agreement 
  76. is void.
  77.  
  78. This Agreement will be governed by the laws of the State of California.
  79.  
  80. YOUR USE OF THIS PROGRAM ACKNOWLEDGES THAT YOU HAVE READ 
  81. THIS AGREEMENT, UNDERSTAND IT AND AGREE TO BE BOUND BY ITS 
  82. TERMS AND CONDITIONS.  YOU FURTHER AGREE THAT, TOGETHER 
  83. WITH ANY OTHER LICENSE AGREEMENT BETWEEN US CONCERNING 
  84. YOUR USE OF THE PROGRAM, IT IS THE COMPLETE AND EXCLUSIVE 
  85. STATEMENT OF THE AGREEMENT BETWEEN US WHICH SUPERSEDES 
  86. ANY PROPOSAL OR PRIOR AGREEMENT (OTHER THAN AN ONLINE 
  87. AGREEMENT), ORAL OR WRITTEN, AND ANY OTHER COMMUNICATIONS 
  88. BETWEEN US RELATING TO THE SUBJECT MATTER HEREOF.
