  8.                                SITE LICENSE INFORMATION
  9.  
  10.           Site licensing enables companies, departments, government
  11.           agencies, etc., to equip their personnel with software at greatly
  12.           reduced cost.  The company purchasing a site license (the
  13.           licensee) provides a single point of contact for shipping,
  14.           technical support, upgrades, etc., and we (the licensor) provide
  15.           a single master of the diskettes and manual.
  16.  
  17.           A site license for dtSearch currently costs $150.00 plus $35 per
  18.           user up to 50 users.  Additional users beyond 50 cost $25 per
  19.           user.  After August 14, 1992 please contact DT Software, Inc. for
  20.           new prices.  Also, please contact DT Software, Inc. for prices
  21.           for more than 200 users.

  23.           Contract telephone technical support for dtSearch is available
  24.           separately from the Advanced Support Group, Inc.  For information
  25.           about this service, please call the Advanced Support Group at
  26.           1-314-256-3130.

  28.           To obtain a site license, simply print this file, fill it out,
  29.           sign it under LICENSEE, enclose a check or money order for the
  30.           correct amount, and mail it to:

  36.           Upon receipt of the completed, signed form, and a check or money
  37.           order for the correct amount, we will send you the required
  38.           masters and a copy of the license agreement with an authorized
  39.           signature under LICENSOR.

  41.                                        LICENSE
  42.  
  43.           DT Software, Inc. (Licensor) grants to _________________________

  45.           ______________________________________________________(Licensee),
  46.           and Licensee accepts, a license to use the licensed program in
  47.           accordance with the terms and conditions contained in this
  48.           agreement.

  50.  
  51.           1.0 DEFINITIONS
  52.  
  53.                1.1 "Licensed program" means the object code version of
  54.           dtSearch and related program user documentation.  No rights to
  55.

  64.           the source code versions of the licensed program are granted by
  65.           this license.

  67.                1.2 "Object code" means any instruction or set of
  68.           instructions in machine executable form.
  69.  
  70.                1.3 "User documentation" means any standard manuals or other
  71.           related materials used for user instruction or reference in use
  72.           of the licensed program.
  73.  
  74.                1.4 "Use" means copying of any portion of the licensed
  75.           program from a storage unit or media into the designated
  76.           equipment and execution of the licensed program on the equipment.
  77.  
  78.           2.0 LICENSE GRANT
  79.  
  80.                2.1 Licensee is granted a nontransferable, nonexclusive
  81.           right to use the number of copies of the licensed program
  82.           indicated below for Licensee's internal use.  Licensor will
  83.           deliver one copy of the licensed program to Licensee.  Licensee
  84.           may make additional copies of the licensed program, up to the
  85.           number of copies licensed herein, provided that each copy of the
  86.           program contains Licensor's copyright notice and any other
  87.           proprietary legends, including legends under the Federal
  88.           Acquisition Regulations (FAR), if any, contained on the delivered
  89.           copy.

  91.                2.2 Each copy of the licensed program provided under this
  92.           license may be used on only one computer at any one time.  If
  93.           used on a network system, each terminal user is automatically
  94.           considered to be using a distinct copy of the licensed program
  95.           whether or not he is actually using it.
  96.  
  97.                2.3 Licensee shall not use, copy, rent, lease, sell, modify,
  98.           decompile, disassemble, otherwise reverse engineer, or transfer
  99.           the licensed program except as provided in this agreement.  Any
  100.           such unauthorized use shall result in immediate and automatic
  101.           termination of this license.

  103.           3.0 TERMS
  104.  
  105.                3.1 This license is effective until terminated.  Licensee
  106.           may terminate it at any time by destroying the licensed program
  107.           and all copies of it and notifying Licensor in writing.  This
  108.           license will also terminate as otherwise provided in this
  109.           agreement.  On termination, Licensee shall return all materials
  110.           not destroyed to Licensor together with a written verification
  111.           that the remaining materials have been destroyed.

  113.           4.0 LIMITED WARRANTY

  123.                4.1 Licensor warrants that for a period of ninety days from
  124.           the date of delivery of the licensed program, the program, if
  125.           unmodified by the Licensee, will perform in substantial
  126.           conformity with the user documentation.  Any program problems
  127.           reported to Licensor during the warranty period and determined by
  128.           Licensor to be actual coding errors will be corrected by Licensor
  129.           within a reasonable time.
  130.  
  131.                4.2 The above warranty does not apply to the extent that any
  132.           failure of the licensed program to perform as warranted is caused
  133.           by the licensed program being (1) not used in accordance with the
  134.           user documentation, or (2) modified other than by Licensor.
  135.  
  136.                4.3 LICENSOR MAKES AND LICENSEE RECEIVES NO OTHER WARRANTY
  137.           OF ANY KIND, EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION,
  138.           ANY WARRANTIES OF MERCHANTABILITY AND/OR FITNESS FOR A PARTICULAR
  139.           PURPOSE.

  141.           5.0 LIMITATION OF LIABILITY
  142.  
  143.                5.1 The total liability of Licensor or its suppliers for any
  144.           claim or damage arising out of the use of the licensed program or
  145.           otherwise related to this license shall be limited to direct
  146.           damages which shall not exceed the license fee(s) which have been
  147.           paid by Licensee to Licensor for the specific client project
  148.           which is the subject of such claim or damage.
  149.  
  150.                5.2 IN NO EVENT SHALL LICENSOR BE LIABLE TO LICENSEE FOR
  151.           ADDITIONAL DAMAGES, INCLUDING ANY LOST PROFITS, LOST SAVINGS OR
  152.           OTHER INCIDENTAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF THE USE
  153.           OF OR INABILITY TO USE THE LICENSED PROGRAM, EVEN IF LICENSOR HAS
  154.           BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  155.  
  156.           6.0 TERMINATION.  This license may be terminated by Licensor if:
  157.  
  158.                6.1 Licensee fails to comply with any material term or
  159.           condition of this agreement and Licensee fails to cure such
  160.           failure within fifteen days after notice of such failure by
  161.           Licensor; or
  162.  
  163.                6.2 Licensee's normal business operations are disrupted or
  164.           discontinued for more than thirty days by reason of insolvency,
  165.           bankruptcy, receivership, or business termination.
  166.  
  167.           7.0 GENERAL TERMS
  168.  
  169.                7.1 Neither this agreement nor any rights or obligations
  170.           hereunder shall be assigned or otherwise transferred by Licensee
  171.           without prior written consent of Licensor, which consent will not
  172.           be unreasonably withheld.  Licensor may assign this agreement

  182.           entirely in its discretion upon the express written assumption of
  183.           the obligations hereunder by the assignee.
  184.  
  185.                7.2 This agreement shall be interpreted and enforced in
  186.           accordance with and shall be governed by the laws of the State of
  187.           Virginia applicable to contracts between residents.  No suit for
  188.           enforcement of or for a declaration of rights between the parties
  189.           to this agreement shall be commenced in any court other than the
  190.           Municipal or County Court in and for Arlington County, State of
  191.           Virginia, or in the United States District Court for the Northern
  192.           District of the State of Virginia.
  193.  
  194.                7.3 Any controversy or claim arising out of or relating to
  195.           this agreement or the breach thereof shall be settled by
  196.           arbitration in accordance with the commercial rules of the
  197.           American Arbitration Association, using an arbitrator with
  198.           knowledge of computers and software, and judgment upon the award
  199.           rendered by the arbitrator(s) may be entered in any court having
  200.           jurisdiction thereof.  No arbitration or other action arising out
  201.           of any claimed breach of this agreement or transactions under
  202.           this agreement may be demanded by either party more than one year
  203.           after the cause of action accrued.  The prevailing party in any
  204.           such action related to or arising under this agreement shall be
  205.           entitled to reasonable attorneys' fees.  This provision shall not
  206.           apply to any action or proceeding for injunctive relief. 
  207.  
  208.                7.4 This agreement and its exhibits contain the entire
  209.           agreement between the parties hereto, superseding all previous
  210.           agreements, representations, understandings and negotiations.
  211.           This agreement may not be amended other than by a written
  212.           agreement signed by an authorized representative of the parties.
  213.  
  214.                7.5 If any terms or provisions of this agreement shall be
  215.           found to be illegal or unenforceable then, notwithstanding, this
  216.           agreement shall remain in full force and effect and such term or
  217.           provision shall be deemed stricken.
  218.  
  219.                7.6 No amendment of this agreement shall be effective unless
  220.           it is in writing and signed by duly authorized representatives or
  221.           both parties.  No term or provision hereof shall be deemed waived
  222.           and no breach excused unless such waiver or consent shall be in
  223.           writing and signed by the party claimed to have waived or
  224.           consented.  Any consent by any party to or waiver of a breach by
  225.           the other, whether express or implied, shall not constitute a
  226.           consent to, waiver of or excuse for any other, different or
  227.           subsequent breach.

  229.                7.7 This agreement shall be binding on and shall inure to
  230.           the benefit of the heirs, executors, administrators, successors
  231.           and assigns of the parties hereto, but nothing in this paragraph
  232.

  241.           shall be construed as a consent to any assignment of this
  242.           agreement by either party except as provided hereinabove.

  244.                7.8 Timely payment is of the essence of this agreement.

  246.                7.9 This agreement may be signed in counterparts.
