  1.                      SOFTWARE VISION LICENSE AGREEMENT

  4.                                INTRODUCTION
  5.                                ------------

  7.    This is a legal agreement between you (the Licensee), and Software
  8.    Vision Corporation ("Software Vision").  By using PhotoVision Pro 
  9.    ("The Program"), you are agreeing to the terms of this agreement.  
  10.    If you cannot agree to abide by what this agreement says you should 
  11.    not use or evaluate PhotoVision Pro.
  12.  
  13.    This agreement explains when and how you may use both, the shareware 
  14.    version of The Program. In this agreement:

  16.     -  "Shareware version" means a promotional copy of PhotoVision Pro
  17.        distributed by us or by our authorized agents for evaluation
  18.        purposes and which is described as a shareware copy in the sign-on
  19.        messages and in the documentation.
  20.  
  21.     -  "Registered version" means a copy of PhotoVision Pro purchased from
  22.        us or from a dealer, and which is not described as a shareware copy
  23.        in the sign-on messages and the documentation.
  24.  
  25.     -  "we", "us" or "Software Vision" means Software Vision Corporation,
  26.        based in Pinellas Park, Florida, U.S.A.

  28.     -  "you" means the end user (Licensee) of PhotoVision Pro.

  31.                                  COPYRIGHT
  32.                                  ---------

  34.    PhotoVision Pro is protected by the United States Copyright law and
  35.    international treaty provisions.  You agree that your use of PhotoVision
  36.    Pro is subject to these laws, which prohibit unauthorized copying 
  37.    or duplication of the PhotoVision Pro software and documentation.

  40.          LICENSE FOR THE SHAREWARE VERSION OF PhotoVision Pro
  41.          ----------------------------------------------------

  43.    You may use the shareware version of PhotoVision Pro for an
  44.    evaluation period of up to 30 days.  The purpose of this evaluation
  45.    period is to allow you to determine whether PhotoVision Pro meets
  46.    your needs before purchasing it.  Once the evaluation period has ended,
  47.    you agree to either purchase a registered version of PhotoVision Pro,
  48.    or to stop using it.  If you have ordered a registered version of
  49.    PhotoVision Pro from us or from one of our dealers, you may continue
  50.    to use your shareware version beyond the end of the 30-day evaluation
  51.    period until your registered version arrives.

  53.    While you are evaluating the shareware version of PhotoVision Pro,
  54.    you may use it on as many computers as are required to perform your
  55.    evaluation.  Your 30-day evaluation period begins when you first install
  56.    PhotoVision Pro on one or more computers for evaluation purposes. 
  57.    Once the 30-day evaluation period is over and you decide to continue 
  58.    using the program, you MUST register your program.

  64.    SOFTWARE VISION SPECIFICALLY DISCLAIMS ALL WARRANTIES, EXPRESSED OR
  65.    IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF
  66.    MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. IN NO EVENT SHALL
  67.    SOFTWARE VISION BE LIABLE FOR ANY LOSS OF PROFIT OR ANY OTHER COMMERCIAL
  68.    DAMAGE, INCLUDING BUT NOT LIMITED TO SPECIAL, INCIDENTAL, CONSEQUENTIAL
  69.    OR OTHER DAMAGES.

  75.    This agreement shall be construed, interpreted, and governed by the laws
  76.    of the State of Florida, U.S.A.
